«The petition of LOY H. BARi-
NETT, EIRON L. BARNETT and
JAMES L. BARNETT, whose ad
dress is Cumming, Georgia, here
inafter referred to as petitioners,
respectfully shows:
1.
Petitioners desire for themselves,
their associates and successors to
be incorporated under the name
and style of
4 ‘BARNETT & SONS FEED &
POULTRY CO. ”
2.
The object of said corporation is
pecuniary gain and profit.
3.
The general nature of the busi
ness of the corporation shall be to
engage in the business of growing
and marketing broilers, including
buying and selling of feeds, poul
try, supplies and equipment, to
gether with hatching, breeding and
all other type work incident to the
producing, marketing and process
ing for the poultry business; peti
tioners also desire to purchase, ac
quire, hold, sell and convey prop
erty both real and personal of
every kind and character incident
to operation of said business.
4.
There will be outstanding only
common stock of par value of
SIOO.OO per share, which shall have
all the voting rights but no pre
emptive rights, the amount of com
mon stock outstanding shall not be
less than $4500.00 but shall not ex
ceed $50,000.00. The stock holders
may, without charter amendment,
by a two-thirds majority vote at
any meeting of the stockholders
duly called for such purpose, in
crease or decrease the number of
outstanding shares of stock be
tween the limits herein specified.
5.
The amount of capital stock with
which the corporation shall begin
(business shall not be less than
$1,000.00 which may be represented
either by cash or property with a
fair market value of that amount.
6.
The corporation shall have an
existence for a period of thirty-five
(35) years with the privilege of
renewal and its principal office
shall be in Forsyth County, Geor
gia, but it shall have the privilege
of establishing branch offices and
places of business elsewhere with
in this State.
7.
Petitioners desire that By-laws
of the corporation be adopted
which By-laws shall provide for
the officers of the corporation, the
manner of their selection, and
such other rules appropriate to
By-laws which have for their pur
pose the control and management
of the corporation, including pro
visions whereby the By-laws may
be amended.
Your petitioners herewith exhibit
a certificate of the Secretary of
the State of Georgia as required by
Section 22—1803, Code of Georgia,
19-33, as amended.
WHEREFORE, petitioners pray
to be incorporated under the name
and style of “BARNETT & SONS
FEED & POULTRY CO.” afore
said with all the rights, powers,
privileges and immunities herein
set forth and such additional rights
powers and privileges as may be
inherent in or allowed to like cor
porations under the laws of the
State of Georgia as they now exist
or may hereafter exist.
