or of the Estate of Mrs. A. B.
(Victoria) Terry, deceased, late of
said county, to sell the lands of
the said Mrs. A. B. (Victoria) Ter
ry, deceased, for the purpose of
paying debts and distribution, there
will be sold before the Courthouse
door, at Public Out-Cry to the high
est bidder in the City of Cumming,
Georgia between the legal hours of
sale, on the First Tuesday in May
1956, as the property of the said
deceased, the following described
lands to-wit:
All that tract or parcel of land
lying and being in the Third Dis
trict and First Section of Forsyth
County, Georgia and consisting of
Lots of Land Numbers 709 and 710
and 6 acres in the Southeast corn
er of Lot Number 711. The 6 acres
in Lot Number 711 is described as
follows:
Commencing at East and West
original line and thence running
North along original line to a rock
corner on a made line; Thence Due
West along a made line 15 rods to
a rock corner; Thence Due South
along a made line to the original
East and West line; Thence East
along said original line to the start
ing point. All of the above desrib
ed lands contain 86 acres, more or
less. There are situated upon said
lands One 4-room frame dwelling
and One 4-room frame dwelling to
gether with outbuildings.

Royalton C. Vaughan, Kathryn
McFarland Vaughan and W. P. Mc-
Farland, hereinafter called Appli
cants, bring this application for the
granting of a charter for a private
corporation, and shows to the Court
the following facts:

desire for themselves, their
associates and successors, to be in
corporated under the name of
”R. C. VAUGHAN HATCHERY,
INCORPORATED”. The principal
office and place of business of said
corporation shall be located in
Cumming, Forsyth County, Georgia,
with the privilege of establishing
other branch offices and places of
business at other places as may be
determined.

Vaughan are both residents of For
syth County and their Post Office
address being Route 5, Cumming,
Georgia, and the annlicant. W. r
McFarland, is a resident of Forsyth
County and his Post Office address
being Route 1, Alpharetta, Georgia.

The purpose and object of said
corporation is pecuniary gain and
profits to its share holders. The
general nature of the business to
be transacted is, and the corporate
powers desired are:
(a) To purchase eggs, fuel and
other materials necessary to be
used in the hatching of baby
chicks;
(b) To hatch baby chickens for
sale to growers or to be used by
said hatchery by the said corpor
ation;
(c) To contract the growing of
said baby chickens to be grown
into broilers;
(d) To sell said chickens after
they have been grown;
(e) To contract with growers for
the growing of chickens for the
market when the same reach the
broiler age;
(f) To raise and maintain flocks
of broilers for the purpose of grow
ing hens and to furnish eggs for
the purpose of operating said
hatchery;
(g) To purchase and maintain
equipment necessary to be used in
the growing of broilers into laying
hens and also all equipment neces
sary to be used in the hatching
the same into baby chicks and
preparing them to be placed on
the market;
(h) To buy, sell, acquire, own,
hold, rent, lease, transfer and as
sign both real estate and personal
property of every kind and char
acter and to deal with the same in
any way and manner that might
seem expedient in the operation of
| said business;
| (i) To contract agents to sell and
1 dispose of any property, both real
and personal, in the operation of
said business;
(j) To have all of the powers and
enjoy all of the Drivileges enumer
ated in Section 22-1827 and Section

all of the other powers and privi
leges enumerated in Chapters 22-
18 and 22-19 of said Code and all
of the powers and privileges en
umerated -therein are made a part
hereof to the same extent as if
the same were quoted herein.

The time for which said corpor
ation is to have existence is thirty
five (35) years.

amount of capital stock
which the corporation will begin
business with shall be Ten Thous
and Dollars ($10,000.00) with the
amount of Three Thousand Dollars
($3,000.00) having been paid in a
combination of cash and equipment.
The capital stock of said corpor
ation shall be divided into one
hundred (100) shares of the face
or par value of One Hundred Dol
lars ($100.00) per share.
The holders of the common stock
shall control the corporation and
shall be entitled to dividends on
each share of common stock upon
the basis of the amount of divi
dends declared at the end of each
fiscal year. The holder of each
share of stock shall be entitled to
one (1) vote per share of the com
mon stock so held and controlled
by him.
The rights of the holders of com
mon stock shall be defined and set
forth in the by-laws to be adopted
by the corporation at its’ first
meeting held for organization. The
by-laws shall also define the rights
of the stock holders to amend or
rescend by unanimous consent the
rights of such stock holders.
Applicants desire the privilege of
increasing the capital stock of said
corporation to one hundred fifty
(150) shares at par value of One
Hundred Dollars ($100.00) per
share by a majority of the votes
of the stock outstanding at the
meeting duly called for that pur
pose. The voting rights of the
share holders to be as hereinbefore
defined. The share holders to have
the right or option to purchase
such increased shares of stock on
such terms and at such times as
may be duly fixed by a majority
vote of such share holders at said
meeting.

Annlicants prav that the liability
of the stock holders in said corpor
ation be confined to the unpaid
purchase price of the stocks sub
scribed by each.

eration upon the same being order
ed by the Judge of the Superior
Court of said County and the fiscal
year for said corporation shall end
on the 31st day of March, 1957,
this being the first fiscal year of
the existence of said corporation.
The time for the holding of the
annual meeting of the stock holders
shall be designated in the by-laws
of said corporation which shall be
adopted at the first stock holders’
meeting for the purpose of organ
izing said corporation.
WHEREFORE, Applicants pray
to be incorporated under the style
aforesaid, with all rights and pri
vileges herein set out and such ad
ditional powers and privileges as
may be necessary, proper or inci
dent to the conduct and operation
of the business for which appli
cants are asking incorporation and
as may be allowed like corporat
ions under the Laws of Georgia
as now or hereafter exists.

of broilers and poultry of all kinds
and to buy and sell feeding equip
ment that is necessary to be used
in feeding domestic animals;
(d) To buy, mix, or rent all
equipment necessary 1o be used in
Ihe manufacturing of feeds and al
so all equipment necessary in the
distribution of feeds manufactured
by the corporation to places of
business that it should become
necessary to deliver the same for
consumption;
(e) To buy, sell, acquire, own,
hold, rent, lease, transfer, and as
sign both real estate and personal
property of every kind and char
acter and to deal with the same in
any way and manner that might

(f) To operate stores and ware
houses for wholesale or retail of
the merchandise manufactured by
said corporation;
(g) To have all of the powers
and enjoy all of the privileges enu
merated in Section 22-1827 and

ers and privileges enumerated in
Chapters 22-18 and 22-19 of said
Code and all of the powers and
privileges enumerated therein are
made a part hereof to the same
extent as if the same were quoted
