PETITION FOR CHARTER
GEORGIA, FORSYTH COUNTY.
TO THE SUPERIOR COURT OF
SAID COUNTY AND TO THE
HONORABLE HOWELL BROOKE,
JUDGE OF SAID COURT:
The petition of A. C. SMITH, JR„
ELLORIE V. SMITH and BEN F.
SMITH, hereinafter called the pe
titioners, respectfully show:

desire for themselves,
their associates and successors to
be incorporated under the name of
“SMITH MILLING COMPANY,
INC:”

The object of said corporation is
pecuniary gain and profit.
The general nature of the busi
ness is as follows: That of pur
chasing and selling grain, concen
trate, poultry and swine feeds and
to manufacture the same into feed
for poultry, swine and livestock
and selling the finished feed at
wholesale or retail and such other
matters as are commonly done by
a feed mill. Petitioners also seek
the right to purchase real estate,
equipment and any other devices
that are now being used or may
hereinafter be used in the milling
business.

Petitioners further desire that
said corporation be vested with all
the rights and powers now or
hereinafter given to do any and all
things which may be needful or
proper in the operation of the
above described business, and that
said corporation have all the pow
ers enumerated in Sections 22-1827
and 22-1828, Georgia Code Anno
tated, and such powers as may
hereafter be given by law.

maximum number of shares
of stock shall be One Hundred
(100) of the par value of One
Hundred Dollars ($100.00) per
share, all of which shall be com
mon stock. However, the amount
of capital stock with which the
corporation shall begin business
shall be not less than TEN THOUS
AND AND NO-100 ($10,000.00)
DOLLARS.
The time for which the corpor
ation is to have existence is 35
years, with the privilege of re
newal of the charter, from time to
time, upon the expiration of said
periods of 35 years.

The county in which the princi
pal office of the corporation is to
be located is Forsyth County, Geor
gia, but the privilege is desired of
establishing branch offices and
places of business both within and
without the State of Georgia.
The name and postoffice address
of each of the applicants for chart
er are as follows: A. C. Smith, Jr.,
Route 3, Cumming, Georgia; El
lorie V. Smith, Route 3, Cumming,
Georgia, and Ben F. Smith, P. O.
Box 222, Marietta, Georgia.

Petitioners further desire that
by-laws of the corporation shall be
adopted by the stock holders, and
such by-laws shall provide for the
officers of the corporation, the
manner of their selection, and such
other rules appropriate to by-laws,
which have as their purpose the
control and management of the
corporation, including provisions
whereby the by-laws may be amend
ed.

the State of Georgia as required
by Section 22-1803, Georgia Code
Annotated.
WHEREOF, petitioners pray to
be incorporated under the name
and style aforesaid with all the

leges as may be necessary, proper
or incident to the conduct of the

for the purpose of obtaining eggs

same.

all the rights and powers now or
hereafter given to do any and all
things which may be needful or
proper in the operation of the
above described business, and that
said corporation have all the pow

Telegraph Company has filed an
application with the Georgia Public
Service Commission for an amend
ment to its Certificate of Public
Convenience and Necessity for the
construction of additional telephone
facilities in Dawson and Forsyth
Counties to be served from the
Company’s Cumming, Georgia ex
change, as more specifically set
forth in the copy of the map at
tached to the application and made
a part thereof, pursuant to an Act
of the Georgia Legislature approv
ed February 17, 1950. A copy of the
application and map is on file in
the Commission's offices for the
inspection of any interested party.
This application has been assign
ed for hearing before the Com
mission beginning at 10 o’clock AM,
on May 9, 1956, in the Commis
sion’s hearing room, 417 Atlanta
National Building, 50 Whitehall
Street, SW, Atlanta, Georgia at
which time anyone interested in
this matter will be afforded an
opportunity of expressing his views.
