GEORGIA, FORSYTH COUNTY.
TO THE SUPERIOR COURT OF
■SAID COUNTY:
The petition of MARK HEARD.
JR.. A. C. SMITH. JR., and JAMES
A. OTWELL. JR., whose address is
Cumming. Georgia, hereinafter re
ferred to as petitioners, respectfully
shows:

desire for themselves,
their associates and successors, to
bo incorporated under the name
and style of: “LAKE LANIJCP. DE
VELOPMENT CORP.”
The object of said corporation is
pecuniary gain and profit to its
stockholders, whose principal office
shall be in Forsyth County, Geor
gia, with the privilege of establish
ing offices elsewhere.

The general nature of the busi
ness of the corporation shall bo to
own. buy, sell, acquire, exchange,
lease, promote, develop, subdivide
and improve all kinds of real es
tate, to construct, or cause to be
constructed, all kinds of houses and
buildings, tv> engage in tlie develop
ment of real estate in all its phases

There will be outstanding only
common stock of par value of
5100 00 per share, which shall have
all voting rights but no preemp
tive rights. The amount of com
mon stock outstanding shall not be
less than 520.000.00, but shall not
exceed SIOO,OOO 00. The stock
holders may, without charter
amendment, by a two-thirds maj
ority vote at any meeting of the
stockholders duly called for such
purposes increase or decrease the
number of outstanding shares of
stock between the limits herein
specified.

officers of the corporation, the
manner of their selection, and such
other rules appropriate to By-laws
which have for their purpose the
control and management of the
corporation, including provisions
whereby the By-laws may be amend
ed.
