The petition of
John T. Pittard, Cecil S. Mize,
and James T. Coots respectfully
shows to the court.

Petitioners desire to be incorpor
ated and made a body corporate
under the laws of this State under
I the name and style of the Kiwanis
jciub of Cumming, Ga., Inc. for a
period of Thirty Five (35) years,
with full right of renewal as may
be provided by law, with its prin
cipal office at such place in For
syth County, Georgia, as it may
from time to time determine.
2.
The object for which incorpora
tion is sought are as follows:
1. To give primacy to the human
and spiritual rather than to the
material values of life.
2 To encourage the daily living
of the Golden Rule in all human
relationships.
3. To promote the adoption and
the application of higher, social,
business, and professional stand
ards.
4. To develop by precept and
example, a more intelligent, ag
gressive, and serviceable citizenship
5. To provide through Kiwanis
Clubs, a practical means to form
enduring friendships, to render al
truistic service, and to build better
communities.
6. To cooperate in creating and
maintaining that sound public op
inion and high idealism which
make possible the increase of
righteousness, justice, patriotism,
and good will
7. For the purposes aforesaid, to
take over the assets, rights and
franchises of the unincorporated
club, known as the Kiwanis Club
of Cumming, or the Cumming Ki
wanis Club, or both, and its mem
bers.
8. To do all such things as are
incidential or conducive to the at
tainment of the above objects, and
not for personal gain or profit.

No part of the property of said
corporation and no part of its net
earnings shall ever at any time
inure to the benefit of any private
shareholder or individual, or mem
ber of said corporation, provided
however that this provision is not
intended to prohibit payment to
members or persons for their ser
vices to said corporation.
4.
Petitioners desire said corpora
tion to have a right to receive do
nations, gifts, and bequests, to ac
quire, buy, own, hold and transfer
all property of any kind which
may be necessary or proper for
carrying into effect the purposes of
this organization to lease sell, im
prove, and incumber its property
and to make loans and borrow
money for carrying out its purpos
es together with the right to and
privilege of doing any and all
other things necessary or proper
in carrying out the purpose of its
organization.
5.
Petitioners desire the right for
said corporation to establish by
laws, rules and regulations relat
ing to the admission of member
ship therein.
6.
Petitioners desire for said cor
poration the right to sue and be
sued, plead and be impleaded, to
have and to use a corporate seal,
and generally the right and power
to do all things commonly allowed
to all corporations of like charact
er under the laws of Georgia.
7.
Petitioners desire that they may
be incorporated under the Corpor
ation Act of 1938, as amended by
the Acts of 1949, page 953; with
the right to amend its charter, as
provided by law.
WHEREFORE, petitioners pray
that they may be incorporated un
der the name and style aforesaid,
with all the rights, privileges and
immunities as are or may here
after be conferred upon corpora
tions of like character under the
laws of Georgia.

Court that said petition is within
the purview and intent of the law
in such cases made and provided
and it further appearing to the
court that petitioners have com
plied with all conditions precedent
and all statutory requirements ap
plicable to such petitions:
IT IS HEREBY ORDERED AND
ADJUDGED that said petition be,
and the same is hereby granted,
and the petitioners and their suc
cessors are hereby incorporated
for the term of thirty-five (35)
years, with the right to renew this
charter, as may be now or here
after provided by law, as a body
corporate under the name and style
of Kiwanis Club of Cumming, Ga.,
Inc., without Capital Stock, and
with all of the power, privileges
and immunities set forth in said
petition, together with such other
rights, privileges and immunities
as are or may hereafter be afford
ed by the laws of this state to
similar corporations.

The petition of Bank of Cum
ming, in Forsyth County, Georgia
shows the following facts, to-wit:
—FIRST—
The Bank of Cumming, Cumming,
Georgia was duly incorporated un
der the laws of Georgia on the
11th day of October, 1904, under
an order duly executed and passed
by Honorable Phil Cook, Secretary’
of State, based upon a previous ap
plication and notice and has ever
since continued in business as 9
Banking Institution.
—SECOND
That said Bank was originally
chartered with a Paid-In Capital
Stock of $25,000.00.
—THIRD—
That on the 27th day of Septem
ber, 1934, its charter was renewed
upon proper petition, notice and
order of the Honorable John B.
Wilson, Secretary of State.
—FOURTH—
That by petition, notice and order
of the Honorable John B. Wilson,
Secretary of State, its charter was
amended on the 26th day of Nov
ember, 1935, by reducing its Capital
Stock from $25,000.00 to $15,000.00.
—FIFTH—
-1 That by petition, notice and order
of the Honorable John B. Wilson,
Secretary of State, its charter was
amended on 11th day of December
1944, increasing its Capital Stock
to $25,000.00.
—SIXTH—
That by petition, notice and order
of the Honorable Ben W. Fortson,
Jr., Secretary of State its charter
was amended on the 28th day of
September 1953 increasing Capital
Stock to $50,000.00.
—SEVENTH—
That its present paid in Capital
Stock is $50,000.00.
—EIGHTH -
Petitioner now desires to amend
its charter so as to increase its
Capital Stock from fifty thousand
dollars to one hundred thousand
dollars by capitalizing fifty thous
and dollars of its Surplus as pro
vided by law.
—NINTH—
That the Board of Directors of
said Bank on September 21, 1956
passed a Resolution calling a meet
ing of Stockholders of said Bank
for the purpose of increasing the
Capital Stock of said Bank of Cum
ming from $50,000.00 to $100,000.-
0C and such other acts as might
be necessary.
—TENTH -
That in accordance with the
call for the Stockholders meeting
for this purpose the meeting was
held October 2, 1956 and that
Stockholders owning 482 Shares of
Stock of the Bank of Cumming,
were represented and owners of
18 shares of stock in the Bank
of Cumming were not represented.
—ELEVENTH-
That the owners of 482 shares
of stock represented in said meet
ing voted in favor of amending
the Charter of the Bank of Cum
ming to increease its capital stock
from $50,000.00 to $100,000.00, and
that said increase be taken from
the Surplus account, and that said
500 Shares of Common Stock be
issued at SIOO.OO per Share Par
Value so as to raise the Capital
Stock of the Bank of Cumming
from $50,000.00 fo $100,000.00 and
that said Stock be issued porpor
tinally to the Stockholders as of
this date, October 2, 1956 and that
our Charter be Amended according
to Georgia State Banking lav/ as
of this date.
WHEREFORE, petitioners pray,
after having paid the required fee
of $25.00 for Amendment to Its
Charter that said Charter of the
Bank of Cumming be Amended as
authorized by law and that certifi
cate of amendment to said Charter
shall be issued to it together with
all rights and privileges ns may
under the law be authorized.
