1937, page 644, ot seq.).

The said charter so granted will
expire by its terms and under the
laws which authorized its granting
20 years from the date thereof, or
on July 16, 1958.

On August 17, 1950, by order of
Honorable Howell Brooke, Judge
of said court, the corporate name
was changed from Forsyth County
Electric Membership Corporation
to Sawnee Electric Membership
Corporation, the said Sawnee Elec
tric Membership Corporation suc
ceeding to all the rights, privileges,
and immunities theretofore enjoy
ed by and vested in Forsyth Coun
ty Electric Membership Corporation
under its original charter.

which said charter was originally
granted, and desires that its char
ter be renewed for a period of 35
years from July 16, 1958.

Petitioner exhibits herewith a
certified copy of resolution of the
membership of said corporation
authorizing the renewal of its
charter as aforesaid.
Wherefore, petitioner prays that
order be entered by your Honor
renewing the charter of Sawnee
Electric Membership Corporation
for a period of 35 years from July
16, 1958, all as provided by law.

RESOLUTION
“WHEREAS, heretofore, order
was entered by the Honorable J. H.
Hawkins, Judge, Superior Court,
Forsyth County, Georgia, dated
July 16, 1938, granting Charter to
Forsyth County Electric Member
ship Corporation, pursuant to pro
visions of the Electric Membership
Corporation Act, March 30, 1937;
and
WHEREAS, the said Charter so
granted will expire by its terms,
and under the laws which author
ized its granting. 20 years from
ihc date thereof, as result of
which the said Charter wil! expire
July 16, 1958; and
WHEREAS, on the 17th day of
August, 1950, order was entered
by the Honorable Howell Brooke,
Judge, Forsyth Superior Court,
changing the corporate name from
Forsytli County Electric Member-
ship Corporation to Sawnee Elec
tric Membership Corporation; and
WHEREAS, Sawnee Electric
Membership Corporation succeeded
to all of the rights, privileges, and
immunities of Forsyth County
Electric Membership Corporation
and has conducted and is now con
ducting the business for which
said Charter was originally grant
ed; and
WHEREAS, the said Electric
Membership Corporation Act of
1937 has been amended, providing
for the incorporation and renewals
of Charters for periods of 35
years:
Now Therefore, the premises
considered, and in order to con
tinue in existence the Sawnee Elec
tric Membership Corporation, Be
it RESOLVED, That, the mem
bership of the Sawnee Electric
Membership Corporation in duly
assembled Annual Membership
Meeting held in Cumming, Forsyth
County, Georgia, on this the sth
day of October, 1957, do hereby
authorize and approve the renewal
of the Charter of Sawnee Electric
Membership Corporation for a
period of 35 years from its ex
piration date of July 16, 1958.
Ik- it further RESOLVED, That
the Board of Directors and the
Corporation Attorney prepare such
papers as are necessary for said
purpose and present the same to
the Superior Court of Forsyth
County, Georgia, for approval and
order, and to take such other
steps as are necessary, proper, or
convenient for carrying into full j
effect the purposes and intents of
this resolution.”

certify that I am the duly elected,
qualified and acting President of
the Sawnee Electric Membership j
Corporation, an Electric Member
ship Corporation chartered and
existing under the law of the State
of Georgia, (Ga. Laws 1937, page
644, et seq.). as amended; that at
a duly called and held annual
meeting of the members of Saw
nee Electric Membership Corpora
tion in Forsyth County, Georgia,
on the sth day of October, 1957
at which a quorum of said mem
bers were present, the within and
foregoing resolution authorizing
the renewal of the Charter of the
Sawnee Electric Membership Cor
poration for a period of 35 years
| from July 16, 1958 was duly pre
sented, voted upon, and passed by
the unanimous vote of those mem
bers present and voting, and that
jail of the requirements of said
laws, and especially, as amended
by Georgia Laws 1957, page 604,
(et seg), have been fully complied
with.
In Witness Whereof, the under
signed has set his hand and seal,
and has caused the same to be
attested by the Secretary of the
Corporation, this 26 day of October,
1957.

The within and foregoing peti
tion for the renewal of the charter
of the Sawnee Electric Membership
Corporation having been presented
and considered, and it being made
to appear that the same is within
the purview of the laws of Geor-
gia, and that the petitioner has
fully complied with all laws per
taining to said renewal:
It is therefore considered, decreed,
ordered and adjudged that the char
ter of the Sawnee Electric Mem
bership Corporation be and the
same is hereby renewed for a
period of 35 years from July 16,
1958, with the right to further
renew said charter at the expira
tion thereof, in accordance with
the laws now, or hereafter, in ef
fect, during which time the said
corporation shall be vested with
all the rights, privileges, and im
munities as are enjoyed by similiar
corporations chartered under and
by virtue of the Electric Member
ship Corporation Act of March 30,
1937, (Ga. Laws 1937, page 644,
et seq.). as amended.
