Mr. £. J. Purse, who waa afterwards nominated M
Secretary.
The Secretary then read the minetaepf themeet-
ing of the Board of Gomaisaloaera held on Thurs
day last, and the resolutions adopted for the meeting
of the Stockholders to apt upon.
The resolutions provide that than

before It be disposed Of. •
The adoption of the’ resolutions was abo'nt to bo voted
upon, when Capt. T. M. Norwood suggested that it
would be advisablo to ascertain wbetber or not
quorum was present before voting. I
The Chair said that moat probably a quorum waa
present, but ’twaa better to call the noli, which was
done and a quorum found to be present; $96,000 being
represented. "loH
In response to a question of how mnofe had bean
subscribed, the Chair announced that $67,WO waa
the total amount pledged on the roll.
Mr. T. Holcombe said that he did not desire to’
see the eloction commenced until all or the Stock
holders bad paid up, and wanted to know how much
had been paid in.
The Chair said that all ortho subscriptions were
tone fide; ifbre properly signed and could be recovered

Mr. Holcombe was of the opinion that the stock
could bs forfeited, but the amount could not be col
lected under the charter.
Capt. T. M. Norwood said he had carefully examined
tbe charter, and was of the opinion that it was in the
power of tbo Company to forfeit the stock and to sue
tba stockholder and make him pay. That it was
clearly th$ right of a stockholder to vote whether ho
had paid or not, and to give one vote for each share
subscribed for. Tue Captain in support of.liis opin
ion. quoted from the charter, after which it w:i3 de
cided that each person who bad, subscribed bad a
right to vote.
The resolutions were then pat to a vote and
adopted.
Capt. Geo. A. Mercer raovod that a committee of
five be appointed by tbe Chair to nominate a Board
of Directors. '* ,
Tbe motion was carried aad Mosers. Geo fl. Mer
cer, T. Holcombe, J. F- Pel at. A, A. Lolomons .
and H. A. Palmer appointed on the committee. .
The committee then retired.
Col. Symons said that he was gratified to aanounos ,
that arrangements bad been made by which tho ob-*
| jec’.a of tho organization would be carried through.
He urged upon all prosent to increase their stock and
to induoe others to subscribe, as there were two
streets that tbe oompany would have u> build upon
which would cost about $30,000 more than the road.

Cotton.—There has boon a moderate inquiry for
the article to-day, but? tho relnctanco of holders to
make conce ,aions, and come down to the views of
buyers has rendered transactions limited. A few
bales of middling have changed hands at 30c, but we
can haruly accept this as tbe tone of the market, as-
most ol our holders are firm at higher figures. The
improvement in New York and Liverpool seems to
justify this feeling, though wq would hero repeat
whut we had occasien to remark, that we have for
soma time eviacei great indifference to the fluctul-
lions of thoee markets, and have been quite above
th4 perity of tl\yir quotations. ‘^Tbid ptwiHon cn the

part be considered as fobbed.
