principal office (f -aid Company shall be
in the city of Fort. Valley, and said corpor
ation is hereby authorized and empowered
to lay out and construct, build and etjliip,
maintain and use a Railroad with all neces
sary equipments and appurtenances to com
mence at, and extend from the city of
llawkinsville; in Pulaski county, throunh
Ilaynvilie, Perry and Fort Valiev, of IF-us
ton county, Knoxville, Perry and Fort
ley. of Houston conty, Knoxville, of Craw
ford county, Thomaston, ol Upson county,
Greenville, of Merriwether county, and La
Grange, of Tr up county, to such point on
the line between ttie States of Georgia and
Alabama, aw may be hereafter determined
upon hy the board .t Directors of said Cern
pany ; atid such corporate name shall be
capable in law, to purchase, accept, bold,
-ell.and convey real and pergonal property,
make contracts, sue and be sued, make t>y —
laws, and do all lawful acts, properly inci

Skc. 3. Be it Jurther enacted, That the
capital st ck, in said Company, shall not
exceed thr« e million of dollars to be divided

Sec. 4 Be it further enacted, That the

President and eight Directors, or such num

by laws. 'I he Piesident and B ard of Di
rectors shall be elected by the stockholders,
and shall bold their office for one year, or
until anew election is field. The Presi
dent shall always have a vote and voice as
a Director. Trie annuai election lor Presi
dent and Directors shall be annually, on
the first Wednesday of No'ember until the
B aird of Directors shall by by-laws fix upon
a different day.
Sf.c 5 Be it jxnther enacted. That the

snail be entitled, shall be equal to the num
ber ot share* that. fie. she or they may have

'I i ustee 'or thirty days prior to the election,

r ctors shall have power to till all vacancies
which may occur on their r. ad, and shall
fix ihe compensation of the President of

pany. Five Directors shall eonsiitute a
quorum for the transaction ot business, of
whom the Pr.sident shall be one, except in
case of sickness or necessary absence, in
which event bis place may be supplied by

the aforesaid Railroad, or to vary or to alter

like manner purchase and hold any land*,

Railroad, that ibey may find necessary for

and mbquately guarding and sustaiuing

chase all rights of way on land, and all
necessary privileges on water courses, that
may lie on or acerosa the route of said
road; also the lands contiguous thereto that

structures or accommodations that may be
necessary or useful to said road, or the
bu-iness thereof, and said company shall
have power to conduct the Railroad across

streams or water courses that may be across
the route: Provided, said company shall so
C instruct their Railroad across all public
roads as not to obstruct or impair the same.
Sec 7. Be it further enacted. In all, br
in any case or where land or private
rights of way be required by said company
for the use aforesaid and the same onntfot,
for the want of agreement between the par
ties as to price or any other cause be pur
chased from the owner or owners thereof
the same may be taken at a valuation to be
made by three Oornni'ssioners, or a majori
ty of them, to be appointed by the Superior
Court of the county where the land, or the
right of way be situated, and the said Com
missioners before they act, shall severally
take an oath before some Justice; of the
Peace, faithfully and impartially to dis
charge the duties assigned them ; in mak
ing such valuation, and said Commissioners
shall take into consideration the loss nr
damage which may occur to the owners in
c-msequence of the land being taken, or the
right of Way obstructed, and also the bene
fit and advantage, ihat lie. she of they may
receive from tf>6 establishment of said Rail
road, and shall State particularly the nature
and amount of each, and the excess or loss
or damage over and above the benefit and
advantage, shall from the measuro of valu
ation of said land or right of way ; the pro
ceeding of said Commissioners accompanied
with a full description and plat of said land
shall be returned under the bands and seals
of said Commissioners or maj rity of them
to the Court whence said Comfhicsioner is
sued. tliero to remain on record, arid the
land or right of way shall vest in said com
piny in fee simple, as soon as the valuation
thereof may be paid or when tendered may
be refused: Provided, That if either party
shall be dissatisfied with the Award of the
Commissioners, he. she or they may appeal
to the Superior Court of the country in
which the land lies, and have the damage
ascertained by the verdict shall be conclu
sive and bindihg on both parties, but with
the right to appeal to the Supreme Court
of the State.
Sec. 8. Be it further enacted, That pA'icf
company shall have the exclusive right of
transportation tin conveyance of persons,
produce and merchandise, and all other
things 6?er the Railroad to be by them
constructed as long and they shalj see St to
exercise such exclusive right. They may
in tb6 discretion of the Directors lease or
rent out their said road and other property,
arid make all by-laws and regulations touch
ing said roads, and the uses and business of
said road and Corporation which they rnav
deem fir. and expedient: Provided, The
same be not repugnant to the Constitution
and Laws of this State or of the United
States.
Sec. 0. Be it fuHh'ef enacted, That if any
perMins shall intrude on said road, or any
part thereof, by any manned of injury, ob
struction or use thereof, or if the rights or
privileges thereof; or if the rights or privil
eg**s therewith connected. Without the per
mission, or contrary to the will of the dem
pany, the persons so intruding shall and
ftiav be indicted as for a ftisJenteanor, and
on conviction, fined and imprisoned by sen
tcoce of the Superior Court of the county
where such oflerrse is committed ; and if
any person shall wiiiully and maliciously
destroy or in any manner hurt, damage,
injure or obstruct, or shall wilfully and
m i.ic.ously cause, or aid and assist or
counsel advise any other person nr persons
to destroy, or in any manuer to bun, dam
age or injure, of obstruct the said Railroad,
or any bridge, vehicle, ed See, right or priv
ilege connected then with, such persons so
offending shall be liable to be indicted, and
on c nvietion thereof shell be punished as
tsow provided by law.
Sec 10 Be it further enacted, That the
powcr of making ihe by-laws, and of ap
pointing such officers, agents and servants,
as the bustuess of the company may require,
and of controlling generally its affairs,- and

Sec 11. Be it Jurther enacted, That the
President and Directors* of said company

Sfc. 12. Be it further enacted. That tho
said company shall hate and enjoy ail tho
rights aifd privileges, and immunities grant
ed to the Central Railroad and Ranking
Company, and except the privilege*'! Bank
ing, and also all rights and privileges and
immunities granted to this company by its
original charter and amendments thereto.
Sec. 13 Be it further enacted. That the
charter hereby grunted shall continue for
the term of thirty years, to be computed
from the time said road shall have (jeen
completed to the Alubnma line.
Sxc 14. Be it further enacted, That said
Corporation shall in no case pay a higher
rate of taxation on its net income, or on its
property, than may by law be imposed ou
the Central Railroad, the Georgia Railroad
or the Air-Line Railroad.
fc'Ec 15. Be it further enacted, That a
number of stockholders, not less than ten,
who together shall be proprietors of five
hundred shares or more, shall have power
power at any time to call a meeting of the
stockholders for the purposes relative to the
interest of the corporation, giving at least
thirty days notice iu or.e or more of tho
public gazettes, published at Fort Valley
and La Grange, specifying in each notice
the subject of such meeting.
Sec 1G Be it further enacted, That said
corporation shall have power in the discre
tion of the Directors, to issue bonds for the
building or eq'uiping of said ruad, or for
funding any debt or debts of said Company,
and to mortgage the roaland other proper
ty of the Company to secure the payment
of all b nds thus issued.
Sko. 17. Be it fuyther enicled, That all
laws and parts of laws militating against
this act be and the same are hereby repeal
ed, and that this Act shall boos force from
the dute of its passage.

The following is from the Athens (Ga.)
Watchman, arid it will apply to many other
places as well as Athens :
A merchant of this place sent in an ac
count a few days ago, made out on a bill
head which we knew had not been printed
in Athens. We informed him that we could
bought the goods in New York for which
we were then paying, as easily as he got
his printing done there. Ila said he want'
ed to get it as cheap as possible. We re
plied that we could save more in the pur
chase of goods than he could in printing,

icy of sfehding to New York for supplies,
the merchants' occupation would be gone ;
that they depended on their profits for a
support, and Were the last persons on earth
who should 1 sef the example of bestowing
their patronage on other communit es ; that
if there was any good in it we would all
find it out aDd adopt it, rfnd they would bo
compelled to seek a livelihood at some other
business.
lie acknowledged the justice of our con
clusions, and wt then inquired what his
bill-bead's had cost, and had the satisfaction
of informing him that we would furnish
them at $2 »ess per 1000 than ho had paid
for them, while he admitted that ours were
printed in better style T fie then showed
us some cards printed in New York, which
we found cost him just double what we have
charged for them.
These facts will serve to show bow men
overreach themselves attempt
ir.g to get things cheap. When a man fet

to himself,” sayeth ,ts’e Apostle, and we
add, the attempt to do so will always work
injuriously upon his temporal as well as
his spiritual interests. “Live and let live,”
autf “Help one another,” are the maxims
which build up prosperous towns and com
munities’. A selfish, cut-throat policy will
never pay in the long run.
