Tuesday in December, 1964,
to the highest bidder for cash,
the following described real
estate:
Twenty Five (25) acres of
land, more or less, together
with improvements thereon,
lying and being situated in
Land Lot 163, 3rd Land Dis
trict, Taylor County, Georgia,
and being same land as that
described in deed to Floyd A.
Brewer from Annie S. Brew
er as recorded in Book 13
Page 527, office of Clerk
of Superior Court, Taylor
County, Georgia, said des-
scription being made a part
hereof as if copied herein.
Also, Two (2) acres of land,
more or less, together with
improvements thereon, lying
and being situated in Land
Lot 193, 12th Land District,
Taylor County, Georgia, and
being same land as that
described in deed to Floyd
A. Brewer from Robert M.
Turner as recorded in Book
12, Page 12, office of Clerk of
Superior Court, Taylor
County, Georgia, said des-
scription being made a part
hereof as if copied herein.
Said security deeds con
veying the above described
real estate were executed and
delivered by Floyd A. Brewer
to undersigned on April 30,
1963, October 9, 1963, and
November 25, 1963, together
with the notes recited there
in as precisely referred to
herein and shown recorded
in Office of Clerk of Su
perior Court, Taylor County,
Georgia, in Book 14, Pages
226, 282, 283 and 378 respec
tively.
Said indebtednesses evi
denced thereby are now due
and in default. Said property
will be sold as the pro
perty of Floyd A. Brewer
and the proceeds of said sale
will be applied as provided
in said security deeds. Un
dersigned will issue a deed
under power of sale in fee
simple to purchaser or pur
chasers in as full a manner as
the same is held by Floyd A.

certain Deed to Secure Debt
executed by M. L. Stephens to
W. W. Jarrell on the 23rd day
of July I960, and duly trans
ferred to The Citizens State
Bank of Reynolds, Georgia on
July 23, 1960, said Deed and
Transfer recorded in Deed
Book 10 at page 311 in the Of
fice of the Clerk of the Su
perior Court of Taylor County,
Georgia, the undersigned, The
Citizens State Bank of Rey
nolds, Georgia, will sell on
the First Tuesday in Decem
ber 1964, same being De
cember 1, 1964, at public sale,

Butler, Taylor County, Geor
gia, during the legal hours
of sale, to the highest bidder
for cash, the following de
scribed property, to-wit:
All that tract or parcel of
land, with improvements there
on, lying and being in Land
Lot No. One (1) in the 14th
District of Taylor County,
Georgia and known as Lot No.
82 in the Byrd Subdivision,
more particularly described in
a plat of surrey prepared by
R. e. Smith, Registered Sur
veyor No. 262, said plat being
of record in Plat Book 1 page 169,
Clerk’s Office of Taylor Su
perior Court. Said lot front
ing on Florence Street a dis
tance of 135.7 feet.
Said sale is for the pur
pose of paying the balance due
on a certain promissory note
bearing date of July 23, 1960
payable to the undersigned in
the original amount of $8550.00
plus interest together with all
costs of this proceeding.
Default having occured in the
payment of said indebtedness
the undersigned has declared
the entire indebtedness due
and payable and hereby ex
ercises the Power of Sale
contained in said Deed to Se
cure Debt. A conveyance will
be executed to the purchaser
by the undersigned as autho
rized in said Deed to Secure
Debt.

That a charter was granted to
your petitioner by the Secretary
of State, State of Georgia, on
September 8, 1922. That an
amendment was granted allow
ing the petitioner to increase its
capital to the sum of Twenty-
five Thousand ($25,000.00)Dol
lars on January 15, 1926. That
charter was renewed on June 30,
1952.

That an amendment was
granted April 10, 1958 allowing
the petitioner to increase its
capital stock to Seventy-five
Thousand ($75,000.00) Dollars
upon a motion made on January
14, 1958 at a stockholder’s meet
ing.

That the stockholders of your
petitioner, representing a ma
jority of the capital stock is
sued, outstanding and fully paid
in, did at a special meeting held
on October 26, 1964, authorize
the application for an amend
ment to its charter to provide
an increase in capital to the
sum of One Hundred Thousand
($100,000.00) Dollars, such in
crease in capital to be made
from surplus, and that the par
value of the common stock of
petitioner remain Fifty ($50.00)
Dollars per share and that the
number of shares be increased
from Fifteen hundred (1500) to
Two thousand (2000) of the par
value of Fifty ($50.00) Dollars
per share, in accordance with
resolution adopted by said
stockholders at said annual
meeting. A certified copy of the
minutes of such meeting is
hereto attached, marked "Ex
hibit A’’.

The special meeting of the
stockholders of the Citizens
State Bank, Reynolds, Georgia
held in the banking house, Rey
nolds, Georgia at 2:00 p.m. on
the 26th day of October, 1964
pursuant to written notice
thereof to each stockholder of
record.
The meeting was called to
order by the vice president who
read the notice of the annual
meeting as follows;
To_ Stockholders of
Record, The Citizens State Bank
Reynolds, Georgia; You are
hereby notified that a special
meeting of the Stockholders of
the Citizens State Bank, Rey
nolds, Georgia will be held at
the banking house at Reynolds,
Georgia, on the 26th day of Octo
ber, 1964 at 2;00 p.m. for the
purpose of conducting any and
all business that might come be
fore the stockholders and for the
purpose of considering a reso
lution to make application for an
amendment to the charter of The
Citizens State Bank, Reynolds,
Georgia, so as to provide for an
increase in the capital.

nounced that the notice was
transmitted by registered mail
to each stockholder of record,
or delivered personally, and
that the same was received by
such stockholders more than ten
(10) days before the date set for
the annual meeting.

The Cashier called the roll of
stockholders and Fifteen Hun
dred (1500) shares of stock, be
ing all of the common stock out
standing, was represented.
The vice president announced
that a majority of the outstand
ing stock was represented and
that a quorum was present.
The following resolution was
offered by Mr. J. H. Neisler
who moved its adoption;
A RESOLUTION
WHEREAS, at the close of
business on December 31, 1963,
the surplus of this corporation
was the sum of Seventy-five
thousand ($75,000.00) Dollars
and the undivided profits was
the sum of Seventy-five thou
sand ($75,000.00) Dollars;
WHEREAS, it is desirous that
the capital of this bank be in
creased to the sum of One hun
dred Thousand ($100,000.00)
Dollars, such increase in capi
tal to be made from surplus,
and, that the par value of each
share of stock remain Fifty
($50.00) Dollars but that the
number of shares be increased
to Two Thousand ($2,000.00).
NOW, THEREFORE, BE IT
RESOLVED:
NOTICE
We are happy again this
season to announce that Mrs.
Elmer Swain will represent
us in Butler. Please call Mrs.
Swain for services you may
need or call 847-5600 in
Reynolds.

1. That application be made
to the Secretary of State to
amend the charter of the Citi
zens State Bank, Reynolds,
Georgia, so as to provide for
an increase in capital to the
sum of One Hundred Thousand
($100,000.00) Dollars and the
par value of shares to remain
Fifty ($50.00) Dollars each, and
the number of shares be in
creased to Two Thousand (2000)
2. That the Vice President
and Cashier proceed to file ap
plication to amend the charter
of the Citizens State Bank, Rey
nolds, Georgia, as herein pro
vided and they are hereby au
thorized to do all acts neces
sary to the accomplishment
thereof as may be provided or
required by law.
3. That upon the approval
of the amendment to the charter
as herein provided that the
capital be increased to One
Hundred Thousand ($100,000.00)
Dollars to be divided into shares
of the par value of Fifty ($50.00)
Dollars each and that the num
ber of shares be increased from
Fifteen Hundred (1500) to Two
Thousand (2000).
4. That all outstanding cer
tificates of common stock of this
bank be surrendered by the own
ers thereof and new certifi
cates be issued to such owners
upon the basis of four (4) shares
of common capital stock of the
par value of Fifty ($50.00) Dol
lars each for each three share
of the common capital stock
now outstanding, any fractions
to be adjusted equitably.
5. That upon the increase of
the capital stock as herein pro
vided for that surplus be de
creased in the amount of the
increase in the capital stock.
6. That all stock certifi
cates now outstanding shall be
exchanged for new certificates
as herein provided, within sixty
days from the date of the appro
val of the amendment to the
charter by the Secretary of
State. If such shares have not
been exchanged on the date that
any dividend shall be payable,
such shares shall receive divi
dends upon the basis of the num
ber of unexchanged shares and
not upon the basis of the num
ber of shares such stock certi
ficate or certificates would be
entitled to receive in new stock
as herein provided.
Mrs. Charles H. Neisler sec
onded the motion to adopt the
foregoing resolution.
The Cashier called the roll
of the stockholders and the
resolution received the affir
mative vote of all stock repre
sented.
The Vice President announc
ed that the resolution having
received the affirmative vote
of a majority of the shares of
stock outstanding that the same
was declared adopted.
It was moved an unanimously
adopted that the Cashier furnish
certified copies of the minutes
of this meeting to the Secretary
of State and the Superintendent
of Banks.
There being no further busi
ness the meeting adjourned at
3;00 p.m.
