land, resulting from the frenzied
inance of New York city and the
consequent loss of general confr
dence all over the United States.
A panic may be called a pause in
the financial progress of a nation
superinduced by a loss of public
confidence in places of deposit.

all of us have had to face, aud that
man who seeks to prey upon the
prevalent distrust lor political pre.

otisui which makes a man love his

Killing at Edison.
Near Edison, on Thursday last,
Mr. Clarence Weaver shot to death
Mr. Ben Duke^his landlord, about
a mule which Duke bad taken irom
the possession of a negro tenant of
Weaver. When remonstrated with
Duke drew his knife and advanced
upon Weaver who drew his pistol
and shot his adversary to death.
Duke had the reputation of being
a violent turbulent man and was
dangerous when aroused.

back yard, chop down the weeds

The petition of J. M, Fleming, W. B.
Fleming, E. T. Hines and L. A. Freidman,
all of said county, respectfully shows:
1st. That they desire for themselves,
their associates, successors and assigns, to
become incorported under the name and
style of “Freidman Tobacco Company.”
and. The term for which petitioners
ask to be incorporated is twenty [20] years,
with the privilege of renewal at the expira
tion of that time,
3rd. The capital stock of said corpora
tion is to be Fifty Thousand Dollars £$50,
000) divided into shares of One Hundred
Dollars [$100} each. Petititionere ask the
privilege of being pejmitted to increase
said capital stock at any time, and from
time, to any sum not exceeding in the ag
gregate Two Hundred Thousand Dollars
[$200,000} in tfle tollowing manner, to-wit:
That said- capital -tack may at any time be
increased by a majority vote of the direc
tors of said corporation, and that alt stock

4th. That ten per cent of said capital
stock has 'been* paid in, and that before
commencing work under this charter nine

paid in; 'petitioners ask the privilege of
holding the remaining ten pei oent of said

ers may see fit to hold, in the treasury of
the Company, to be known as treasury
stock, and that petitioners have the author
ity to plase said treasury stock on the
market at any time, and dispose of the
same.
5th. Petitioners ask that the directors
of said corporation be allowed the privilege
at any annual meeting, of setting aside any
portion, of all of the profits earned by said
corporatioa for the past year as a surplus
fund, and that said surplus fund so created
shall remain in the business, and be used
by said corporation without the payment of
interest thereon, and that said surplus fund
can only be withdrawn from said corpora
tion by a vote of txvo-thirds of the directors.
That said surplus fund shall not become a
part of said corporation , but shail be held
as a special fund, and shall be so shown on
the books, and can be withdrawn at any
time upon a two-thirds vote of the direc
tors as above provided, and they further
ask that in the event of an increase in the
capital stock, as above asked for, that the
directors, in their judgment, upon a two-
thirds vote, may distribute said surplus
fund to the stockholders of said company,
for the purpose of purchasing increa-ed
capital stock.
6th. The object of the proposed cor
poration is pecuniary profit and gain to the
stockholders.
7th. Petitioners propose to carry on the
business hereinafter named, to-wit: To
buy, sell, pack, grow and manufacture to
bacco. Operate farms, own, lease, release
and soil real estate; own, lease and sell per
sonal property; own and operate tram
roads, run commissaiy and supply stores,
loan and borrow money, sue and be sued,
.manufacture, buy and sell fertilizers, own
and operate cotton seed oil mills, act as
agents for parties owning tobacco and
pack and sell same for such parties under
such contracts as may be made by the au
thorized officers of said company, and to do
and to perform such other and further acts
in connection with said business as is al
lowed by law, and to have a seal.
8th. That no stock of the corporation
earn be transferred so as to pass title thereto,
nor can any lien be created thereon, except
the transfer of said stock is regularly en
tered upon the stock book of said company,
by the officer authorized by said corpora
tion ro make said entry. The corporation
shall have a first lien upon the stock of any
stockholder for any and all indebtedness of
said stockholder to the company, and that
th* provision be printed or written on the
backofvach certificate of stock,
9th. Subscription to stock may be paid
in cash, or collateral security, or real or
personal property, but except when said
subscription is paid in cash, the security or
property shall receive the approval of the
Board of Directors before the same is ac
cepted in settlement of the subscription.
10th. The principal place of business
of the proposed corporation will be in the
city of Bainbridge, said State-and County.
Wherefore, Petitioners pray t* be made
a body corporate, under the name and
style aforesaid, entitled to the rights, pri
vileges and immunities, and subject to the
liabilities fixed by law.
