Ciiarbonnieb, and others respect fully showetli tlmt they desire a Charter, incor porating them and their successors, as a body politic and corporate under the name and stvle of the Athens Mutual Loan Association with power to sue and be sued, to have and use a common seul, should they so desire, to hold such real estate or othc property as may be conveyed, or mortgaged, or pledgc’d to said As sociation and to adopt such a Constitution and By-Laws, and amendments thereof, as they may deem advisable and proper to cany out, the ob jects of their Association; the nature and ob ject of which Association, and the particular business they propose to carry on, being as follows: First—The object is the accumulation of a fund by monthly subscriptions or savings of the members thereof, to aid them in their business, or in procuring such real estate and improving the same as they may deem proper. Second—They desire to regulate and pre scribe by llicir By-Laws, who may be members of said Association. Third—Each stockholder is to pay in par funds, one dollar each month on each share of stock he or she holds, into the treasury of said Association, so long as said Association con tinues, at such time and place as the By-Laws may designate. When each stockholder shall have received the sum of two hundred dollars, or property of that value, or an advance or loan of two hundred dollars for each share he or she holds as prescribed iu section 15 of this charter,- then the Association is to determine and close. The By-Laws may require each stockholder to take an advance or loon for the full amount of his or her stoek, and prescribe the roles in re spect thereto. Fourth—Should any stockholder fail to pay his or her dues or premiums ot insurance, as often as the same shall be payable os aforesaid, lie or she shall forfeit ana pay the additional sum of ten cents for each dollar thus unpaid, including interest, fines and premiums of in surance, the same to be charged with the month ly dues. Fiith— Should any stockholder, not having received an advance, neglect to pay his or her monthly dues or fines for three months, lie or she shall receive from the Treasurer the amount of dues actually paid, without interest thereon, all fines and arrearages, with his or her pro portionate part of any losses or expenses sus tained, being first deducted, and tlicn cei se tc be a member of said Association, or the Direc tors may iu their discretion sell the stock of such delinquent stockholder, at the succeeding monthly rneetiug of the Association, to the highest bidder, and after deducting from the proceeds of such sale all fines aud arrearages with such delinquent stockholders proportionate purt of all losses and expenses as aforesaid, shall pay over the balance, if nnv, to such de linquent stockholder, who shall thenceforth cea-e to lie a member ot said Association and if a sale cannot be affected ill the mauucr specified then such stock shall be forfeited and the said delinquent stockholder reeceive nothing Sixth —Should any stockholder not having received an advance wish to withdraw from the Association lie or she inuy be allowed to do si by giving thirty days notice, on s-ucli terms n the By-Laws may prescribe. Transfers of stock u ay be trade at any time, by consent of Directors, iu the presence of the Treasurer, but no transfer shall be valid until all arrearages on the shares shall have been fully paid and the person or persons to whom the transfer is to be made shall have agreed to, and signed the Con stitution and By-Laws of said Association, such transfers must be made at least thirty days be fore an election to entitle the holder thereof to a rote. Seventh—The legal icprcsentation of a de ceased member, who lias received uo advance, may continue his or her relation to the Associa tion, or niav be settled with, on the same terms, as are pro-cribed for a withdrawing member^ should any member die, having received an advance, the heirs or legal representative may return the balance duej according to the By- Laws of said Association, or continue to pay tho interest and monthly dues until the Asso ciation is closed. Eighth— No stockholder is to hold in his or her own right more than thirty shares, nor in voting at an c’.cctien or altering the Constitu tion or By-Laws represent more than fifty, and each stockhodcr for each and every slmie of stock held by him or her, either in his own right or as trustee or proxy, shall be entitled when personally present at any of the meetings of the Association to one vote iu a 1 elections, either for offices or other punioses. Each stockholder shall receive a certificate of the number of shares held by Id in or her on pnying the first month's dues; said certificate to be signed by tl-.c Secretary nud Treasurer and countersigned by the President. Ninth.—The officers of tlie Association are to be a President, Secretary and Treasurer, (the same person to fill both olkces,) and five direc tors, and the President shall be ex-officio a member of the Board. The officers alt to be stockholders, to be elected by numbers of the Association annually, and vacancies to be filled in such manner and*at such times as the By- Luws prescribe. The Board of Directors shall appoint a Solicitor. ?he duties of all the offi cers shall be defined in the By-Laws of the Association. The Board oi' Directors shall fix the compensation of 'he Secretary und Treas urer, aud also that of the Solicitor and Direc tors, to be paid out of the funds of the Associa tion holder refusing or failing to give tho additional security demanded to incur a pectimary penalty, to be'impoBed by the Board of Directors. Whenever practicable the title to the property offered as security shall be vested in the Asso ciation, the conveyance to be made to the Secretary and Treasurer of the Association, and his successors in office, os trustee for the same aud he is hereby authorized ns said Trustee to execute a bond for titles to the borrower, con form; blc to the conditions of the loan. When thus loaned, in case of failure to offer sufficient security for air advance within one month, the months interest to be charged to such stock holder, and his or her right to said advance to cease. A stockholder taking an advance, to "pay the Secretary and Treasurer in addition to liis or her monthly dues for shares, one dollar per month for each share on which such ad vance is made. The borrowcrshall pay all costs and charges flint may accrue in perfecting the security offered for an advance or advances, ex cept the solicitors lees. Twelith—No s ockholder to he entitled to an advance who is in arrears to the Associt tion, and no real estate taken os security for an ad vance outside of the county of Clarke. Should stockholder having received an advance, neglect to pay any or all of his or her dues to the Association for three consecutive mouths, then the Dive ".tors may compel payment of irincipol aud interest by instituting proveed- ngs according to law when suoh proceedings are necessary or proper, unJ when .uoh pro ceedings are suspended or dismissed by such dues ot arrearages being paid up, the solicitors fees and court costs incurred therein, are to be paid as part of such dues. When any sale shall take place of any property mortgaged, conveyed or pledged to the Association, and ti e same, together with the stock transferred as collateral security ; may be sold under a power Of sale, if so provided in tho deed or mortgage, tiie Directors to retain so much of the purchase money as would, at the rate of premium of the funds then selling or fixed in the By-Laws, produce the same monthly payment of'intcre-t as that which said stockholder liad been pre viously paying on his or lierad vancc (in uo case to beless than the ndt amount actually received by him or her) together with all other pay ments, money and expenses duo to the Associa tion by such stockholder; and in cnse^tlu security consists of an absolute conveyance of property, ormo-tgage with power tc sell, the directors may sell said property in the same manner, as to advertisement, and time and place of sale, as Sheriffs are authorized to sell pro perty under general execution, and prior to the formal liquidation of the amount claimed to be due. ' Thirteenth -The Board of Directors to W empowered to give the consent of the Associa tion to the sale of property mortgaged *r pledged to it and to the substitution of other property in lieu of that mortgaged or pledged on terms to be fixed by the By-Laws. The Directors to have authority to make such settle ment of debts due tlie Association ns the Py- Laws may prescribe, and in case of doubtful security, such compromise settlements ns they may deem best. Fourteenth—Titles to land vested in said Association in tlie course of its business, may be conveyed by a quit claim deed, executed by the Secretary and Treasurer. Firrlento——Whenever the accumulation of funds, are sufficient to pay off und settle every uncuncellcd share of stoek at the sum of two hundred dollars by deducting the rate of minimum premium tbut may at the time exist the Directors are empowered to make such deduction and declare the Association deter mined and closed, provided that tho premium shall never be less than 40 per cent without the consent of evcrystockholder. Sixteenth—The capital stoek of the Associ ation to lie three hundred shares with the privilege to increase it to one thousand shares. The available funds of the Association shall be put up at each regular meeting of tlie stock holders and be sold to the highest bidder or bidders among them, provided the same be not sold below the rate ot premium to be fixed by the By-Laws, us the premium rate at which the fuuds uiav be sold. The By-Laws to prescribe the minimum rate of premium to be applicable to each period of six mouths, during tne exis tence of the Associition, provided it be notices than 40 per cent at auy time. Should there at any time, be uo bid for the money as high as the minimum rate prescribed, tlie Secretary aud Treasurer shall prepare and deposit, in a receptable to be provided for that purpose; tickets numbered so as to represent each share of stoek not borrowed on, and the verson to whom the said share belongs, and the Prcsideut shall draw therefrom a ticket aud the owner of the share so drawu shull be compelled to take an advance on the share thus drawn at. the then fixed minimum rate, but lie shall be permitted to procure another stockholder to take the amount s-.-assigned to him. If the available funds be not taken by the stockholder whose share is thus drawn, then another share sha 1 be drawn and the game process be rep ated, uutil all the funds are disposed of, and the share or shares thus drawu by a stockholder, shall be held lor him or her, less his or her monthly dues, and interest, until he or she cifor satisfoctoiy security.
