Onr ] In conclusion I will still state that when in November 1877, it was thought we would lose the road alto gether through failure of the endorse ment of tho Suite, you advised some of the directors to negotiate with the Georgia Railroad with a view to a coalition in such terms as would se cure a payment of the entire debt of the Northeastern Railroad, forty per cent or more on the stock, and termix nal rates of tariff for all time to Ath ens. This you thought then could have beer accomplished, if done he' fore the adoption of the Constitution of 1877, and this you stated, that yon only advised as a last resort, a choice between these evils, of a private sale and a possibly ruinous public sale after February court of 1878, when judge ments would be had against the road for tho whole debt. I well remember thut your advice impressed me as lieing wise and pru dent, but I declined to consider it. I told you frankly that the time was too short to accomplish anything, as our stockholders must be consulted. You raid you only proposed that it be subs milted to a lull meeting of stock holders. I, and others consulted, fi nally decided not to intertain the proposition, which was that we ap proach the Georgia Railroad. You were like a drowning man catching at staws, and you thought it our duty to try tiie Georgia lin'd road authorities. Tuis is all that ever occurred, which I now recall, looking even to a connec tion with the Georgia Railroad by your advice, and was only suggested by you in our then known extremity, llad wc failed to get the endorsement of the Slate aud the road been sold, those of us who refused to consider even your suggestion and not you, would have been condemned by the people ot Athens. In addition to acts of yours already stated, I recall the fact that iu order to induce Grant, Alexander «fc Co,, to make certain material changes in their bid for grad ing—first contract—which changes were t-i onr benefit, you took a thous and dollars of the stock they were re quired to accept in payment. This was then practically giving one thous and dollars to tiie company.
