ust, 1925, by the Superior Court
of Clarke County, for a term of
twenty (20) years.

provided in said Act and granted’

amendments thereof. .
4. Petitioner also desires to
amend its charter and then sur
render the same as provided by
ljaw and then be reincorporated
under -the . Georgia Corporation
Act of 1938.

its charter, to surrender the same
for the purpose of being reincor
porated, and to be reincorporated
with its charter amended as 1S
shown by a resolution passed by
a legal majority of its members
at a special called meeting for
the purpose held on January 17,
1945. #
6. That attached hereto and
made a part of this petition is a
copy of said resolution marked
«“Exhibit A” together with the
certificate of the Secretary of pe
titioner certifying the same as is
required by law.
WHEREFORE, petitioner prays
that an order issue amending its
charter as set forth, allowing the
surrender thereof for the pur
pose of being reincorporated, and
reincorporating it under the
Georgia Corporation Act of 1938,
all as provided for by said reso
lution of petitioner.

provision of the Georgia Corpor
ation Act of 1937 and 1938, and |
BE IT FURTHER RESOLVED
that its charter be amended by
striking the sixth paragraph of
the original charter and inserting
in lieu thereof the following:
Said corporation shall be a
non-profit organization, without
capital stock or shares, and mem
bership in the corporation shall
be limited to persons, Or associa
tiong, or corporations, engaged in
the hatchery industry in the
State of Georgia as provided for
in Section 65-205 of the Georgia
Code of 1933. Each member shall
be assessed, and shall pay, a stip
ulated sum ~annually as dues,
such dues to be {ixed by the
Board of Directors, for the pur
pose of paying the necessary ex
penses of operating the business
of the corporation.
BE IT FURTHER RESOLVED
that this said amendment be in=-
corporated and be made a part of
the new charter of the said cor=-
