AGRICULTURAL FAIR, INCOR
PORATED. Attached hereto and
made a part hereof is the Certifi

9. The purposes and objects of
said corporation are:
(a) To sponsor and main
tain fair grounds, fair buildings,
exhibits and other such related
matters, and to initiate and pro
vide agricultural and other fairs,
and to exhibit as principal or
sponsor as agent carnivals and
any other form of amusement and
amusement features as may be
deemed to be to the interest of the
corporation; |
(b) To promote improve-1
ments in agricultural and the‘
breeding and growing of better‘
livestock, and to promote interest
and activity generallv in agricul-l
tural pursuits of all kinds;
(¢) To provide a means ofl
education as to , agricultural
methods, farm quip@nt. dairy-i
ing, dairy equipment, ‘dairy pro
ducts, cattle, cattle breeding, live
stock and poultry of all sorts, vet
erinary science, agronomy,. seed
cultivation, and any and all agri
cultural pursuits and related
fields;
(d) To provide a piace for
sale of pure bred and registered
livestock, especially dairy cattle,
beef cattle, hogs and chickens;
(e) To act as.a cenier for
oromotion of 4-H Club and Future
Farmers of America pursuits,
Home Economics .and Home
Demonstration interests, and all
other agricultural interests of simi
lar nature:
(f) To opergte as a medium
for cooperation between bustness
men, bankers and farmers in all
surrounding communities and
counties; - :
(2) For pecuniary gain and
profit to its shareholders.
3. Petitioners desire that the
capital stock of said corporation
shall be $40,0%0.00, divided into 2,-
M 0 shares with par value of $20.00
each, bus, “petitioners desire the
privilee of increasing the capital
stock 10 $100,000.00 by a major
ity vote of the stockholders. The
st ack shall be non-assessable. No
one person may own._in his in
dividual name in excess of fifty
shares of the stock es the corpora
tion. Every stockholder of record
of the corporation shall be en
titled at each meeting of the stock
holders thereof and upon each
proposal presented at such meeting
to one vote irrespective of the
number of shares of stock held by
an individual stockholder.
4. Petitioners desire the said
corporation to have existence for
the full term of thirty-five. (35)
vears with the privilege of re
newal as provided by law.
5. The principal office of said
corporation is to be located at
Athens, Clarke County, Georgia,
with the right desired to establish
branch offices and places of busi-~

without the State of Georgia.

the privilege of establishing branch

2. The purpose of object of
said corporation is pecuniary gain
and profit to its shareholders. The
general nature of the business to
be transaction in handling of milk
and other dairy products, both
wholesale and retail, and to have
all the powers and enjoy all the
privileges which similar corpora
tions may have under the laws
now existing or which may here
after be enacted.
3. The time for said corporation
to have existance is thirty-five
years. -
- 4. The amount of the capital
stock with which the corporation
is to begin business shall be $lO,~
000.00, the said amount having
heretofore been subscribed for‘

5. The capital stock of said cor
poration shall consist of one hun
dred (100) shares of common stock
of the par value of SIOO.OO per
share and one hundred (100)
shares of preferred stock of the

By a majority vote of the com
mon stockholders, the common
stock may be increased to an
amount not exceeding Four Hun
dred (400) shares of the par value
of $1060.00 each and the preferred

ganized under the 1921 Coopera
tive Marketing Act.
2. Petitioners desire to amend
said charter by striking paragraph
8 of the original charter which
specifies the amount of stock that
may be issued and inserting in
lieu thereof a new Paragraph 8 as
follows:
“The capital stock of suid cor
poration shall consist of 800 shares
of common stock of the par value
of SIOO.OO per share and 1,200
shares of preferred stock of the
par value of SIOO.OO per siare.”
Petitioners desire to have the
right to have the subscriptions of
said capital stock paid in money
or property taken at a fair valua~

3. That a resolution was adopt
ed upon the approval of two
thirds of the directors by the un-l
animous vote of all the stockhold

ment as recorded in the Clarke
County Court House in Plat Book
No. 3, page No. 5 and better des
cribed as follows:
Beginning at a point 362 feet
from the northwest corner of
Carlton Terrace and West South
view Drive and running in a
northerly direction:9o feet along
West Southview Drive to an iron
pin; thence running in a westerly
direction 130 feet to another iron
pin; thence running in a southerly
direction 82 feet to another iron
pin; thence running 142 feet in an

Citizens and Southern National
Bank, as Attorney in Fact for
Tracy A. Powell, to the purchaser,
