ment Company, a corporation
heretofore created by this court,
respectfully shows:
1. At a special meeting of the
board of directors of said corporz
aticn, duty held at Athens, Geor
gia, on October 1, 1948, it was
unanimously - resolved that it is
desirable that said corporation be
liquidated and dissolved, and a
special meeting of the stockhold
ers of said corporation was call
ed to take action on said resolu
tion. A certified copy of said
resolution of the board of direc
tors. marked Exhibit A, is here
to attached and made a part
hereof.
2. The special meeting of _the
stockholders of said corporation,
called by the beard of directors
as set out above, was duly held
at Athens, Georgia, on October 1,
1948. immediately following said
meeting of the board of direc
tors;. and, at said meeting of
stockholders, it was unanimously
resolved that said corporation be
liquidated and dissolved, and its
charter surrendered. A certified
copy of said resolution of the
stockholders, marked Exhibit B,
is hereto attached and made a
part hereof.
3. In conformity with the coi
rorate actibn taken as set out
herein, said corporation has been
liquidated; all of its debts, taxes
anc other obligations have been
paid; provision has been made
for paying all expense of ‘he
liquidation and digsolution; all of
said corporation’s remaining
money on hond and in bank has
been paid over to its sole stock
holder, Mrs. Alma B. Hendon;
and all other assets of the cor
boration have been transferred
and assigned, and conveyed to

prinecipal funds of the corporation
as well as to administer any such
funds for wvarious purposes as
agreed upon by the corporation
and the agency making such funds
available to it.
5. Applicants desire to have the
power to buy and sell real prop
erty, or any interest therein, and
to invest as they deem necessary
any of the funds belonging to said
corporation in real or personal{
property, including securities, ofl
such kind and character as in the
exercise of the. judgment of the“
officers and directors of said cor-J
poration may be appropriate. Ap~

6. Applicants desire that they
be constituted the first Board of.
Directors of said corporation, for
such tenure as shall later be pre

funds belonging to the corporation
be handled by a Treasurer, which

Georgia or his successors in office.

dents are busy planning the gu-

in the Gallery of the University
Fine Arts Building on Monday
and Tuesday, November 29-30 and
which is being sponsored by the
Athens Art Association.
The sale will offer the local
public an opportunity to purchase
Christmas gifts of originality and
in the range of the average per
son’s gift budget. Members of the
students will contribute craft and
art objects-—~bowls, vases, cigar
ette boxes, and other types of
ceramic work; bracelets, neck
laces, belt buckles, and other jew
elry in metal; printed and woven
scarves, luncheon sets, table
cloths, ties, handkerchiefs, etc.;
leatherwork such as pocketbooks,
‘belts, biilfolds, wood-work, draw
ings, paintings and even Christ
mas cards., The proceeds realized
ifrom the sale by the Art Associa
‘tion will be used by the organiza
tion in continuing its work of sti
imulating art production and ap
preciation within the community.

scholarship to the University, for
the purchase of art magazines for
