respectfully shows:
1. At a special meeting of the
poard of directors of said corpors=
ation, duly held at Athens, Gecrs
gia, on October .1, 1848, it was
unanimousiy resolved - that it is
desirable that said corporation be
liquidated and disselved, and a'
special meeting of the stockhold
ers of said corperation .was call
ed to take action’om said resolu
tion. A certified ~ copy of said
resolution of the board of direc
tors marked Exhibit A, is here
to attached and made a part

2. The special meeting of the
stockholders of, said, corporation,
called by the beard of directors
ac set out above, was duly held
at Athens, Georgia, on October 1,
1948, immediate‘iy following said
mecting of the board of direc
tors: and, at said' meeting of
stockholders, it was unanimously
resolved that said 'corporation be
liquidated and -dissolved, and its
charter surrendened. A certified
copy of said:. resolution of the
stockholders, marked Exhibit B,
is hereto attached and made a
part hereof. .=
3. In conformity with the coi
porate action taker as set out
herein, said corporation has been
liquidated; all of its debts, taxes
anc: other obligations have been
paid; provision has been made
for paying all expense of i{ne
liquidation and dissolution; all of
said corporation’s: remaining
money on hand and in bank has
becn paid over to its sole stocke
holder, Mrs. Almha B. Hendon;
and all other assets of the cor
poration have been transferred
and assigned, and conveyed to
Mrs. Alma B. Hendon in fee
simple.

take action on this resolution.

3. The purpose and object of
said corporation is an educational
one and not for individual pecuni-~
ary gafn to any of the incorpora
fors. The corporation shall have

is formed for such educational and
recreational purposes as in the
judgment of said corporation will
best meet the needs and advance
the interests of 4-H Club work
throughout the State of Georgia, in
‘providing practical and experi
mental training in agriculture and
related fields for the farm youth
of the State.
' 4. Applicants desire the power:
‘to receive, maintain, and hold by
‘bequest, devise, gift, or otherwise,
‘either absolutely or in trust, for
any of its purposes, any property,
both real and personal, fund or
funds, without limitation as to
-amount of value; to convey such
property and to invest and: re-in
vest any principal; and to deal
with and expend the income or
pringipal funds of the corporation’
as well as to administer any such
funds for wvarious purposes as
agreed upon by the corporation
and the agency making such funds
available to it.
5. Applicants desire to have the.
power to buy and sell real prop
erty, or any interest therein, and’
to invest as they deem necessary
any of the funds belonging to said
corporation in real or personal
property, including securities, of;
such kind and character as in the |
exercise of the judgment of the
officers and directors of said cor
poration may be appropriate. Ap~
plicants also desire the power to
lease real property. _ {
6. Applicants desire that they
be constituted the first Board of
Directors of said corporation, for
such tenure as shall later be pre
scribed by the by-laws of the cor
poration and that such Board shfill
be self-perpetuating, the majority
of members of said Board of Di
rectors having power to fill a
vacancy on said Board.
7. Applicants desire that any
funds belonging to the corporation
be handled by a Treasurer, which
'Treasurer shall be the present
' Comptroller of the University of
Georgia or his successors in office.
8. Applicants desire to have all
‘the pewers and enjoy all the. pri=
vileges and immunities given to
‘like corporations under the laws
of Georgia.
9. Applicants desire that the
corporation shall have an exis
tence of twenty years, unless
sooner dissolved by actiom of the
Board of Directors, and to have
the privilege of renewing its
charter after the expiration of
said twenty years. ' I

and style aforesaid with all the
rights and privileges herein set
out and such additional powers
and privileges as may be neces
sary, proper, or incident to the
