The petition of Southern Mutual
Insurancce Company respectfully
shows:
1. That petitioner was incor
porated by an Act of the General
Assembly of the State of Georgia
approved December 29, 1847,
2. That said original Act of in
corporation was successively
amended by various acts of the
General Assembly of the State of
Georgia, approved respectively
December 21, 1849; February 18,
1854; March 5, 1856; November
23, 1866; December 17, 1902; and
July 18, 1914.
- 3. On June 8, 1932, petitioner’s
charter, as amended as above set
out, was renewed by the Secre
tary of State of the State of Geor
‘gia for a period of thirty years.
4. Subsequentiy petitioner’s
charter has been amended twice
by amendments granted by the
‘Secretary of State of the State of
Georgia; one on June 17, 1942 and
the other on June 11, 1945.
| 5. Your petitioners desires that
its present charter, as amended
and renewed and then further
‘amended all as set out above, be
‘now further amended by enlarging
its corporate powers so as to con
fer on it, in addition to its present
corporate powers, the powers of
issuing insurance om reaity and
personalty against such perils to
property as the Board of Directors
of your petitioner may from time
to time determine and cause to be
specified in policies or endorse
ments issued by this company, and
subject to such limitations and re
strictions as may be determined by
said Board of Directors from time
to time and specified in said pol
ces or endorsements, whether such
perils be occasioned by forces of
nature, or by design or intention
of any person or persons other
than the insured, or by accident,
negligence or other cause or causes.
6. Petitioner is a mutual com
pany with no stockholders, and is
controlied by action of its policy
holders.
7. The provisions governing ac
tion of the policyholders respecting
all matters within their power
were and are
First; Section 2 of the above
mentioned act approved December
17, 1902, reeading as follows:
“And be it further enacted, That
at all meetings of said corporation
every matter shall be decided by
a majority of votes, each member
holding a policy for one year or
longer being allowed one vote, and
4f his policy exceed one thousand
dollars, an additional wote for
every thousand, with the right of
voting by proxy.”
And second; the first paragraph
of Section 10 of your petitioner’s
by-laws, reading as follows:
“The company shall hold its an~
nual meeting of policyholders on
the first Tuesday in June of each
vear, at 11 A. M. in the home office
of the company in Athens, Ga. At
all meetings of the policyholders
fifteen (15) members in person
who are entitled to vote, as shown
by the records in the home office
and not less than one thousand
(1,000) votes by proxies of mem
bers entitled to vote as shown by
the records of the home office,
shall constitute a quorum to or
ganize the meeting to transact bus
iness and elect officers. Such
members as may be present shalli
have the power to adjourn the
meeting to a later time.” |
8. Petitioner files herewith a
certified abstract from the minutes
of the corporation showing that
this application for amendment
of its charter has been authorized
by proper corporate action in pur
suance of the provisions quoted in
paragraph seven above of this pe
tition, which abstract is marked
exhibit “A” and is hereby made a
part of this paragraph of this pe
tition; and also pays herewith the i
requisite fee in connection with the
filing of this petition.
Wherefore, petitioner prays an
amendment to its present charter,
enlarging its corporate powers so
as to confer on it, in addition o
its present corporate powers, the
additional powers specified above.

Proxy.

THE STORY: Falling in love had
been far from (lemency Norton's
plans when she became nursery
governess to Baba, small daughter
of Syrie and Jon Amberley, who
live at the home of Jon brother
Piers in Algeria. But soon Cle
mency finds she has lost her heart
to Piers. Syrie, despising her weak
ling husband and in love with
Piers herself, is angered over
Clemency’s engagement to Piers.
Jon tells Clemency that before his
marriage Syrie and Piers were en
gaged and he only invited them to
live at his home so he and Syrie
could be together. Clemency, in
dignant over this slur on Piers,
goes te see Piers, but finds him
talking with Syrie. Clemency
rushes out of the room, and Syrie
keeps Piers from explaining. Later
Syrie appears in the nursery where
Baba is ill and leads Clemency so
believe that Jon's remarks were
the truth,

Clemency went softly into the
next room, and crossing to Baba's
bed, bent down.
The child was lying on her back,
flushed and breathing heavily. She
turned her head restlessly on the
pillow and coughed — a short,
cruelly hard, dry little cough.
Clemency’s heart missed a beat
as she slipped a hand under the
clothes and felt the small body—it
was dry and burning hot, and in
an instant she was hurrying in
search of a thermometer,
Baba was still lying in & half
stupor as Clemency fitted the lit
tle glass tube beneath an armpit.
She knew enough about nursing so
have realized at once that some
thing was very wrong, and as she
held the thermometer up to the
light and read the tale it told a
new fear which banished every
thing else from her mind.
Covering Baba up again - she
hurried out into the passage, and
a few minutes later was knocking
imperatively on Syrie’s bedroom
door.
There was no reply to either her
first or second summons, and try
ing the door she found it locked.
She knocked loudly again, and was
still hammering against the panel
ing when Jon Amberley spoke
from behiad her:
“What the devil’s the matter?”
Clemency swung around to find
him standing by an open door on
the other side of the passage.
“Miss Norton!” He looked at her
in amazement. “What’s up?” And
as she told him his face changed.
“Baba ill!” He frowned at Syrie’s
door. “Syrie’s probably taken some
sleeping stuff—anyhow she would
be no good. I'd better come with
you. What’s up—tummy?”
“Oh no—TI could cope with that,”
she answered. “I’m terribly afraid,
Mr. Amberley, that it may be —
pneumonia.”

He was interrupted by the open
ing of Syrie’s door.
“What on earth’s the matter?
It’s not the crack of dawn yet,” she
said crossly, her eyes heavy with
sleep. .
“Baba’s ill,” Jon told her curtly.
“We ought to get a doctor at once.”
“Oh, good gracious!” exclaimed
Syrie fretfully. “What on earth’s
the matter with her?”
“Pneumonia.”
Syrie looked at her contemptu
ously.
“What nonsense—she’s got an
ordinary cold.”

How could they stand there ar
guing—and so helpless, thought
Clemency angrily.
“I am afraid it may be pneu
monia, Mrs. Amberley,” she said.
“I have seen a case or it before—
but the doctor will know. If you
will tell me where to ring him—”
“Jon, ring Dr. Rigaud.,” Syrie
looked imperiously at her husband.
“I’ve no idea of his number, and

through to Biskra at this hour.”
There was a note of helpless panic
in Jon's veice, :
“Tell Piers,” said Syrie. “He'll
know what to do.”
Jon’s face darkened. “No need
for Piers. I can manage—Tl'll find
Rigaud’s number.”
As soon as her husband had left,
Syrie turned to Clemency. “While
he’s thinking Piers will act,” she
said. “I'll call Piers. You go back
to Baba.”
Syrie went toward the stairway
as Clemency ran back to the nurs
ery. It was broad daylight now.
Plugging in the electric kettle
and then dragging blankets off her
own bed, for she would not waste
time asking for other blankets,
Clemency tried to shut out the
thought that it was only natural
for Syrie to turn to Piers.
But the thought remained like
another knife in the open wound
in her heart, even though she told
herself she must not think of any
thing now,_except that there was
a sick child on her hands—that
Baba might have pneumonia.

Nevertheless, as she ministered
to Baba with all the means at
hand, Clemency could not rid her
self of the frightening feeling that
all of the evil which she had
sensed in this house from the be
ginning, the hatred between broth
er and brother, and between hus
band and wife, had gathered it
self into one cruel destructive force
of which the helpless child was the
vietim.
Clemency was sitting beside her
little gharge when Syrie came up
stairs again. Tn any circumstances
the servants were usually moving
by this time in the morning, and
