tions in Sections 22-1827 and 22-
1828 of the Code of Georgia, 1933,
as amended, and all powers con
ferred upon like corporations by
the laws of Georgia, without lim
itation by reason of the specific
powers herein stated.
3. That said corporation be au
thorized to issue capital stock in
the total amount of $3,000.00,
sanre to be divided irto 60 shares
of the par value of SSO per share;
with the right by action of its
stockholders at any time to in
crease the capital stock to $lO,-
000.00.
4, The amount of capital with
which said corporation will begin
business shall be $3,000.00.
5. The principal office of the
corporation shall be located in
Clarke County, Georgia, but peti
tioners desire that said corpora
tion have the power, from time to
time, as may be provided in its
by-laws, or by action of its stock=
holders in accordance with its by
laws, to establish branch offices
and places of business elsewhere.
6. The names and post office
addresses of each of the petition

7. Said corporation shall be
governed, managed and operated
by a board of directors to be
elected, and to conduct the affairs
of the corporation in accordance
with the corporate by-laws.
8. Petitioners present herewith
a certificate issued by the Secre
tary of State of Georgia showing
that there is no other corporation
of the same name now in exist
ence in this state.

they be incorporated in accord=
ance with the provisions of the

certificate issued by the Secretary
of State of Georgia, that the name
of the proposed corporation is not
the name of any other existing
corporation in this state, and it ap
pearing that said petitioners have
complied with the requirements of
law regulating the granting of
such charter, and that the pro
posed corporate powers are law
ful and in accordance with the
provisions of the Corporation Act
of 1938,
It is therefore ordered, consid
ered and adjudged that said ap
plication be and the same is here
by granted, and the above named

ENS, GEORGIA, INC.,” for a
period of thirty-five years, with the

have no capital or shares of stock
and shall not be organized for
pecuniary gain or profit. No indi
vidual shall have any pecuniary
interest in the assets or income of

individual, and no dividend or
profits shall be paid or payable to
any such individual, member, of

and principles of Optimist Inter
national and for the carrying out
of the programs promulgated by
the Optimist International and the
Optimist Club of Athens, Georgia,

the corporation shall be located in
Clarke County, Georgia.
5. That said corporation shall
have the right to accept gifts, en
dowments, funds and properties
for the objects and purposes
herein stated, and wupon terms
agreed upon by the corporation
and the donors of such monies
and properties. Said corporation
shall also have the right to ac
quire, hold, lease, repair, sell,
transfer or to encumber, and to
purchase, own, control and sell by
way of investment every charac
ter of property, real and persoqal.
6. That the said corporation
shall be governed by a Board of
Directors which shall perform the
duties and have all of the rights
of a board of directors under the
law, and the additional rights and
powers hereafter granted. Said
Board of Directors shall be com=
posed of the duly elected presi
dent, first vice-president, second
vice-president, immediate past
president, sergeant-at-arms, sec
retary-treasurer and the six
members of the Board of Gover
nors shall be elected and installed
and serve for such terms as pre
scribed by the by-laws of the Op
timist Club of Athens, Georgia,
and the Optimist International.
7. That the said Board of Gov
ernors shall have full and com
plete charge of all the business
affairs and properties of said cor
poration. The removal or surren
der of this charter, the dissolution
of the corporation, amendments to
the charter and all other affairs,
action and business of the corpor
ation shall be decided upon, deter=
mined amd controlled by the said
Board of Directors. In case of dis
solution of the corporation, the
directors shall determine the dis=-
position of its assets, but in no
eventeshall the same inure to the
financial benefit of any director,
but such funds _and properties
upon dissolution shall be used
exclusively for educational and
charitable purposes concerning the
“ideal and principles of Optimist

8. That the said corporation
shall have the rights, powers, and
privileges, and be subject to all
limitations of the Corporation Act
of the State of Georgia, and the
amendments thereto, now or here
after adopted, and every provis

poration.

that they be incorporated in the

Is Set At Tech
ATLANTA, Ga, April 18—
Engineer’'s Week at the Georgia
Institute of Technology will be
observed this year on April 24-27, |
it was announced by Louis Col-“
lins, chairman of the committee.‘
This annuai event will be spon~
sored by the student St. Patrick‘s\
Council, headed by Collins, Jerry |
Clark, Roland Holt, R. E. Jarrett,
John McGlosson, Howard Hole
and Mack Nickles.
The celebration will include
tours of the campus, a Hall of
Engineering including exhibits by
the various Schools of Engineer=
ing, a concert by the Georgia Tech
band, and a football ganre on
Grant Field.
The public is invited to attend
and special invitations to high
schoo! students all over the state
are being extended.
Georgia farmers have indicated
they will plant as much corn in
1952 as in 1951, but agricultural
leaders point out that more corn
will be needed this fall due to a
shortage of this grain throughout
the country. Georgians are urged
to produce more corn per acre,
