PETITION
GEORGIA—Barrow county
To the Superior Court of said County
and the Judge thereof:—
Sinith-Mayne Manufacturing Compa
ny, a corporation duly organized un
der the laws of Georgia and incorpor
ated by the Superior Court of Barrow
county, shows by its petition the fol
lowing facts:
1.
Said corporation was created by the
Superior Court of Barrow County on
March 13, 1018. and since that time
has been exercising its corporate fran
chise.
2. *
That the original charter fixed the
authorized capital at the sum of one
hundred thousand dollars, tl00.000.tx>)
with the actual capital stock at thirty
thousand dollars which was by the pro
visions of the charter later Increased
to sixty thousand dollars ($60,000.00).

That the business of the company
demands a greater authorized capital
stock than that now permitted by the
original charter and the compnny de
sires a greater authorized capital stock
to permit the expansion that is desired
and necessary for the development of
the company.

That the shares of the stock as fixed
by the original charter were one hun
dred dollars per share.
5.
That the company desires to have the
authorized capital stock increased to
two hundred fifty thousand dollars,
divided into shares of the par value of
ten dollars each.

That the company desires In addition
to the things permitted and authorized
in jts original charter to manufacture
and sell wood and metal specialties and
fixtures and toys and other allied lines.

That at a meeting of the Board of
Directors of said company the follow
ing resolution was duly passed au
thorizing the amendments to the char
ter asked for herein, as follows :

Held at the offices of the company.
Present: John M. Williams, A. Y. Eav
enson, Claud Mayne, li. A. W. Smith,
and W. B. MeCants.
The meeting was called to order by
the chairman and thereupon the fol
lowing resolution was offered.
Whereas, at a former meeting of the
directors a resolution was passed au
thorizing the increase of the capital
stock of the company to two hundred
and fifty thousand dollars, the date of
the resolution referred to being May
20th. 1921.
Whereas, this action was later con
firmed by the stockholders in regular
meeting held on August 26th. 1921.
Whereas, it now seems propitious in
the further development of the compa
ny.
Now therefore, be it resolved by the
Board of Directors of Smith-Mayne
Manufacturing Company that the said
capital stock of the company he increas
'd to the sum of two hundred fifty
thousand dollars: that the par value of
the shares in said company be made ten
dollars each: that the said capital
stook he divided into twentv-flve thou
sand shares of the said value of ten
dollars per share.
Whereas, it is desirable to broaden
the scope of the product of the compa
ny in order that g-eatcr economy in
the manufacture of raw materials into

Now, therefore, he it resolved by the

While touring Florida in their Ford
car. Jinnies Planter and wife stopped at
DeFuniak Springs for the purpose of
joining other tourist automobile par
ties. A boy was born to them in their
Ford home on wheels, and he was nam
ed Henry.
