PETITION FOR CHARTER.
GEORGIA —Barrow county.
To the Superior Court of said county.
The petition of L. L. Moore, Hubert
E. M. Moore and J. 11. Perry, all of said
State ajid County, respectfully shows:

That thT*} desire for themselves, their
associates and successors, to be incor
porated and made a body politic under
the name and style of L. L. MOORE
MANUFACTURING COMPANY for
the period of twenty years.
2.
The principal office of said company
shall be in Winder, State and county
aforesaid, but petitioners desire the
right to establish branch offices within
this state or elsewhere, whenever the
holders of a majority of the stock may
so determine.
3.
The object of said corporation is
pecuniary gain to itself and it's share
holders.

corporation is the manufacture,
distribution and sale of farming im
plements, tools, machinery and appli
ances in the form of a machine general
ly called MOOCHE S BOLL WEEVIL
MACHINE, invented for the purpose
of combatting the boll weevil.

tion shall be Five Thousand
Dollars, with the privilege of increasing
same to the sum/of Rifty \ Thousand

and be sued, to plead and be impleaded,
to have and use a common seal, to make
all necessary by-laws and regulations,
and to do all other things that may be
necessary for the successful carrying
on of said business, including the right
to make contracts, to buy, hold and sell
real estate and personal property suit
able to the purposes of the corporation,
and to execute notes and bonds as ev
idence of indebtedness incurred or
which tnay be incurred in the conduct
fLtf the affairs of the business.
They desire for said incorporation
power and authority to apply for
accept amendments to its charter
vote of a ma jority of its stock out
standing. They also ask authority for
aid incorporation to wind up its affairs,
liquidate and discontinue Its business
at any time it may determine to do so
by a vote of two-thirds of its stock out
standing.

They desire for said incorporation
such other rights, powers, privileges
and immunities as are incident to like
incorporation or permissible under the
laws of Georgia.
Wherefore, petitioners pray to be in
corporated under the name and style
aforesaid with the powers, privileges
and immunities herein set forth, and
iis are now. or may hereafter be. al-

ter under the laws of Georgia.

PETITION
GEORGIA —Barrow county
To the Superior Court of said County
and the Judge thereof:—
Smith-Mayne Manufacturing Compa
ny, a corporation duly organized un
der the laws of Georgia and incorpor
ated by the Superior Court of Barrow
county, shows by its petition the fol
lowing facts:
1.
_ Said corporation was created by the
Superior ( ourt of Barrow County on
March 13, 1918, and since that time
has been exercising its corporate fran
chise.
2,
That the original charter fixed the
authorized capital at the sum of one
hundred thousand dollars. 1 100.00fi.00 >
with the actual capital stock at thirty
thousand dollars which was by the pro
visions of the charter later increased
to sixty thousand dollars ($00,000.00).
3.
That the business of the ompany
demands a greater authorized capital
stock than that now permitted h.v the
original charter and the company de
sires a greater authorized capital stock
to permit the expansion that is desired
and necessary for the development of
the company.

That the shares of the stock as fixed
by the original charter were one hun
dred dollars per share.
5.
That the company desires to have the
authorized capital stock increased to
two hundred fifty thousand dollars,
divided into shares of the par value of
ten dollars each.

That the company desires in addition
to the things permitted and authorized
in jts original charter to manufacture
and sell wood and metal specialties and
fixtures and toys and other allied lines.

That at a meeting of the Board of
Directors of said company the follow
ing resolution was duly passed au
thorizing the amendments to the char
ter asked for herein, as follows:
Meeing of Directors of Smith-Mayne
Manufacturing Company, Winder, Ga.
April 12, 1922.
Held at the offices of the company.
Present: John M. Williams, A. Y. Eav
enson, Claud Mayne, R. A. W. Smith,
and W. B. McCants.
The meeting was called to order by
the chairman and thereupon the fol
lowing resolution was offered.
Whereas, at a former meeting of the
directors a resolution was passed au
thorizing the increase of the capital
stock of the company to two hundred
and fifty thousand dollars, the date of
the resolution referred to being May
20th, 1921.
Whereas, this action was later con
firmed by the stockholders in regular
meeting held on August 26tli. 1921.
Whereas, it now seems propitious in
the further development of the compa
ny.
Now therefore, be it resolved by the
Board of Directors of Smith-Mayne
Manufacturing Company that the said
capital stock of the company be increas
ed to the sum of two hundred fifty
thousand dollars; that the par value of
the shares in said company be made ten
dollars each; that the said capital
stock be divided into twenty-five thou
sand shares of the said value of ten
dollars per share.
Whereas, it is desirable to broaden
the scope of the product of the compa
ny in order that greater economy in
the manufacture of raw materials into
the finished output may result.
Now, therefore, be it resolved by the
Board of Directors of Smith-Mayne
Manufacturing Company that wood and
metal specialties and fixtures and toys
be made a part of the business to be
engaged in by the company.
Be it further resolved that the char
ter of the company be changed so as
to permit the of the

changed so that fhb capital stock of
the company be increased to the sum
.( two hundred fifty thousand dollars,
in shares of ten dollars par value each,
and that the president and secretary
of the company employ counsel and
-ave these amendments made to the
charter of the company forthwith.
This resolution was read to the di
rectors and on motion of Claud Mayne
duly seconded by A. Y. Eavenson, the
said resolution was carried and order
ed spread upon the minutes of the
company and the Board of Directors.
There being no further business be
fore the body, the meeting was ad
journed subject to the call of the chair
inan.

duly spread on the minutes of the com
pany as its corporate action relative to
the‘amendments to the charter asked
for herein.
Wherefore, petitioner, Smith-Mayne
Manufacturing Company, files this its
petition in the office of the Clerk of
the Superior Court of Barrow county,
and prays that after the same has been
advertised as is required by law, that
the court by proper order grant this
petition and' all of the charter amend
ments asked for in this petition.
