Appliration for Renewal of Charter.
State of Georgia—County of Barrow.
To the Superior Court of said coun
ty and to the Judge thereof:
Winder Cotton Oil Mill Company, a
corporation, brings this its petition for
renewal of its charter, and shows to
the Court the following facts :
1. That upon the petition of J. A.
Thompson, et al.. Winder Cotton Oil
Mill Company was duly incorporated
by an order of the Superior Court of
Walton county on July 23, 1902, for a
period of twenty years from that date,
under the name and style of “WINDER
COTTON OIL MILL COMPANY” with
its principal office and place of busi
ness in the city of Winder
2. That the City of Winder was then
located in the counties of Walton,
Gwinnett and Jackson and that the said
original corporation was created by
the order of the Superior Court of
Walton county iu which the original
petition was tiled, the property of the
proposed company then being located
ia Walton county, and the Superior
Court of said Walton county then had
jurisdiction of the whole subject mat
ter.
3. That in 1914 the County of Bar
row was created out of territory tak
en from the said counties of Walton,
Jackson and Gwinnett, and the said
Winder Cotton Oil Mill Company has
since the organization of Barrow coun
ty in 1915, had its residence and its
principal office and place of business
at Winder, Barrow county, Georgia,
and that the Superior Court of Barrow
county now has Jurisdiction of this
petition for renewal of chaster.
4. The order of cpurt creating the
said corporation, Winder Cotton Oil
Mill Company, was granted at a special
term of Walton Superior Court, on July
22, 1902, for a period of twenty years
and this period will expire on July 22,
1922, and it is necessary that the orig
inal charter be renewed before the date
of expiration on July 22, 1922, but to
take effect from the date when the ex
piration would occur but for this appli
cation.
5. That said Wilder Cotton Oil
Mill Company desires a renewal of its
said charter and in pursuance of the
statute in such cases at a meeting of
the directors of said corporation held
at its principal office on June 14, 1922.
said corporation authorized a renewal
of the original charter by passing and
placing on its minutes a resolution, of
which a certified abstract is attached
to this petition and filed with same as
is required by law, marked Exhibit ‘A.’
6. That said corporation, as will ap
pear from an examination of the said
resolution, desires the original charter
amended so as to permit the increase
of the capital stock from time to time
to a sum not exceeding One Hundred
Thousand ($100,009.00) Dollars, but
any increase in the capital stock from
time to time shall be made only after
an affirmative vote in favor of such in
crease by the stockholders holding ma
jority of the stock of said company
then outstanding: and the company
desires the like privilege from time to
time of decreasing the capital stock to
a sum not less than the original cap
ital stock are authorized by an affirm
ative vote of the stockholders holding
a majority of the outstanding stock of
-said company.
7. That the original petition for in
corporation asked that the name of the
proposed company be Winder Oil Mill
Company, but that the order of incor
poration gave the company the name of
“Winder Cotton Oil Mill Company”
though the company has used the name
of Winder Oil Mill Company in the
transaction of its business. These
names are confusing and should be
harmonized and the company desires
the charter amended so as to make the
corporate name of the company “Win
der Oil Mill Company.”
Wherefore, Winder Cotton Oil Mill
Company prays that its original char
ter be renewed for a period of twenty
years, dating from July 22. 1922, and
that its original charter he amended
in the particulars set forth in para-

pany, meeting of Directors.
The Board of Directors having met
iu tlie office of the company at the call
of the chairman, the attention of the
said Board of Directors was called to
the fact that the original charter of
the company was about to expire and
would expire on July 22, 1922, and that
immediate action was necessary in or
der to prevent the expiration of the
charter and tHut certain amendments
to the charter were desirable permit
ting an increase or decrease in the out
standing stock of the company so that
the minimum capital stock would be
Thirty Thousand ($30,000.00) Dollars,
and the maximum capital stock One
Hundred Thousand ($100,000.00) Dol
lars, and thereupon the following res
olution was introduced, discussed, and
passed, to-wit:
BE IT RESEOLVED by the Board
of Directors of Winder Cotton Oil Mill
Company that an application be made
in the Superior Court of Barrow coun
ty, through its attorney, G. A. Johns,
asking for a renewal of tlie original
charter with all powers, privileges, and
immunities for a period of twenty
years, dating from July 22, 1922, and
that in Said application for renewal an
amendment be asked for amending the
original charter so as to permit an in
crease of the capital stock of said com
pany from time to time to a sum not
exceeding One Hundred Thousand
($100,000j00) Dollars, after such in
crease from time to time iu the capital
stock of said company have been au
thorized by a vote of th* stockholders
holding a majority of the stock with
the like privilege of decreasing the cap
ital stock from time to time to a sum
not less than the original capital of
Thirty Thousand ($30,000.00) Dollars,
after such decreases in the capital stock
have been authorized by the stockhold
ers holding a majority of the stock
then outstanding, and that the corpor
ate name be changed to Winder Oil
Mill Company.
This resolution was passed and or
dered spread upon the minutes of the
company.

The Georgia Supreme Court Thurs
day ruled iu the case of M.
appealed from Savannuh, that the ffiad
check” provision of the new banking
law is unconstitutional because not
covered in the caption of the act. Oor
enblun was convicted in the City Court
of Savannah, on the charge of issuing
a check that was turned down. The
higher court ruled that he should have
had 30 days to make the check good, as
provided in the old law. The new law
allowed no time to make a check good.
