Application for Renewal of Charter.

To the Superior Court of said coun
ty and to the Judge thereof:
Winder Cotton Oil Mill Company, a
corporation, brings this its petition for
renewal of its charter, and shows to
the Court the following facts;
1. That upon the petition of J. A.
Thompson, et al., AA’inder Cotton Oil
Mill Company was duly incorporated
by an order of the Superior Court of
Walton county on July 23. 1902, for a
period of twenty years from that date,
under the name and style ef “'AA’IXDER
COTTON OIL MILL COMPANY’’ with
its principal office and place of busi
ness in the city of AA’inder
2. That the City of AA'inder was then
located in the counties of AA'alton.
Gwinnett and Jackson and that the said
original corporation was created by
the ortler of the Superior Court of
AA T alton county in which the original
petition was tiled, the property of the
proposed company then being located
in AValton county, and the Superior
Court of said AA'alton county then had
jurisdiction of the whole subject mat
* ter.
,3. That in 1914 the County of Bar
row was created out of territory tak
en from the said counties of Walton,
Jackson and Gwinnett, and the said
Winder Cotton Oil Mill Company has
since the organization of Barrow coun
ty in 1915, had its residence and its
principal office and place of business
at Winder, Barrow county, Georgia,
and that the Superior Court of Barrow
county now has jurisdiction of this
petition for renewal of charter.
4. The order of court creating the
said corporation, Winder Cotton Oil
Mill Company, was granted at a special
term of Walton Superior Court, on J uly
22, 1902, for a period of twenty years
and this period will expire on July 22,
1922, and it is necessary that the orig
inal charter be renewed before the date
of expiration on July 22, 1922. but to
take effect from the date when the ex
piration would occur but for this appli
cation.
That said Wilder Cotton Oil
Mill Company desires a renewal of its
said charter and In pursuance of the
statute in such cases at a meeting of
the directors of said corporation held
at its principal office on June 14, 1922,
said corporation authorized a renewal
of the original charter by passing and
placing on its minutes a resolution, of
which a certified abstract is attached
to this petition and fibs! with same as
is required by law, marked Exhibit ‘A.’
6. That said corporation, as will ap
pear from an examination of the said
resolution, desires the original charter
amended so as to permit the increase
of the capital stock from time to time
to a sum not exceeding One Hundred
Thousand ($100,000.00) Dollars, but
any increase in the capital stock from
time to time shall be made only after
an affirmative vote in favor of such in
crease by the stockholders holding ma
jority of the stock of said company
then outstanding; and the company
desires the like privilege from time to
time of decreasing the capital stock to
a' sum not less than the original cap
ital stock are authorized by an affirm
ative vote of the stockholders holding
a majority of the outstanding stock of
said company.
7. That the original petition for in
corporation a ski'd that the name of the
proposed company he Winder Oil Mill
Company, but that the order of incor
poration gave the company the name of
“Winder Cotton Oil Mill Company"
though the company has used the name
of Winder Oil Mill Company in the
transaction of its business. These
names are confnsing and should be
harmonized and the company desires

til Mill Company.”

Company prays that its original char
ter be renewed for a period of twenty
rears, dating from July 22, 1922, and
that its original charter be amended
in the particulars set forth in para
graphs 6 and 7 of this petition?- and
that the said company for the new pe
riod of twenty years, have all of the
powers, privileges, and immunities set
forth in the original charter and fn the
application' for renewal and such as are
now or may hereafter be allowed a
corporation of similar character under
the laws of Georgia.

The Board of Directors having met
in the office oT the company at the call
of the chairman, the attention of the
said Board of Directors was called to
the fact that the original charter of
the company was about to expire and
would expire on July 22, 1922, and that
immediate action was necessary in or
der to prevent the expiration of the
charter and that certain amendments
to the charter were desirable permit
ting an increase or decrease in the out
standing stock of the company so that
the minimum capital stock would be
Thirty Thousand ($30,000.00) Dollars,
and the maximum capital stock One
Hundred Thousand <$100,000.00) . Dol
lars*. and thereupon the following res
olution v*as introduced, discussed, and
passed, to-wit:
BE IT RESEOLA KD by the Board
of Directors of AA’inder Cotton Oil Mill
Company that an application be made
in the Superior Court of Barrow eoun
ty, through its attorney, G. A. Johns,
asking for a renewal of the original
charter with all powers, privileges, and
immunities for a period of twenty
years, dating from July 22, 1922., and
that in said application for renewal an
amendment he asked for amending the
original charter so as to permit an in
crease of the capital stock of said com
pany from time to time to a sum not
exceeding One Hundred Thousand
($100,000.00) Dollars, after such in
crease from time to time in the capital
stock of said company have been au
thorized by a vote of the stockholders
holding a majority of the stock with
the like privilege of decreasing the cap
ital stock from time to time to a sum
not less than the original capital of
Thirty Thousand ($30,000.00) Dollars,
after such decreases in the capital stock
have been authorized by the stockhold
ers holding a majority of the stock
then outstanding, and that the corpor
ate name be changed to AA’inder Oil
Mill Company.
This resolution was passed and or
dered spread upon the minutes of the
company. '

That they desire for themselves, their
associates, successors and assigns, to
be incorporated for the period of twen
ty (20) year, with the privilege of re
newal thereafter, under the name and

petitioners desire authority to estab
lish other offices both within and with
out the State of Georgia.

The object of said corporation is pe
cuniary gain to its stockholders.

The particular business to he car
ried on by the corporation will-be the
buyiqg and selling, leasing, improving,
and otherwise dealing in real and per
sonal property, particularly the pur
chasing and selling both at wholesale
and retail of dry goods, clothing, hats,
shoes, hardware, and similar
articles.

The capital stock of said corporation
shall be fifteen thousand ($15,000) dol
lars, for which petitioners desire the
right to pay either in cash or in mer
chandise or other personal property
suitable to the uses of the corporation
and taken at a fair market value. Pe
titioners desire the right to increase
said capital stock from time to time
upon the affirmative vote of a majori
ty of the owners of its common stock
to an amount not exceeding one hun
dred thousand ($100.000) dollars com
mon stock. And petitioners also desire
the right to issue, from time to time
upon the affirmative vote of a majority
of the holders of the common stock,
preferred stock of the corporation in
an amount not exceeding $50,000 which
preferred stock shall bear such rate
of interest and have such priorities of
lien upon the assets and earnings of
the company, as may he determined by
the owners of a majority of the com
mon stock.

Petitioners desire that said corpor
ation shall have the rigid to borrow
money and to issue therefor its notes,
bonds or other evidence of .indebtedness
and to secure the same by mortgage,
deed or other form of lien upon any
or all of its real or personal property.

Petitioners desire that said corpor
ation shall have the right upon a vote
of the majority of the outstanding
stock at any time to procure amend
ments to its charter, to close up its
business, liquidate its affairs, and af
ter payment of all its debts, to distrib
ute the residue of its assets among the
stockholders.
Wherefore, petitioners pray to be
incorporated under the name and style
aforesaid, with, the poWer privileges,
and immunities herein set out, as well
as such as an' now or may hereafter
he allowed a corporation of similar
character under the laws of Georgia.

. The petition of George Thompson,
W. C. Harris and W. J. Smith, Jr., all
of the City of Winder, county of Bar
row and state of Georgia, respeet|ully
shows :
1. That they desire for themselves,
their associates and successors, to be
incorporated and made a body politic
under the name and style of “BAR
ROW COUNTY ICE & COAL COM
PANY” for the period of twenty years
from the date of incorporation.
2. The principal office of said com
pany shall be in the City of Winder.
State and County aforesaid, but peti
tioners desire the right to establish
branch offices within this State or els
where whenever the holders of a ma
jority of the stock may so determine.
3. The object of said corporation is
pecuniary gain to itself and its share
holders.
4. The business to he carried on by
said corporation is that of a general
coal and ice business either at whole
sale or retail or both and such other
businesses as are allied thereto, and pe
titioners propose in the operation of
said business to manufacture ice for
sale at wholesale or retail or for use
in refrigeration or in the making of ice
cream: petitioners propose*, when de
sired, to enter into the manufacture of
ice cream; to operate, when desired,
a cold storage plant either at Winder
or other points in this state ; to buy and
seel coal, wood, coke, either at whole
sale or retail; to deal in other fuel
production of all kinds, such as kero
sene, gasoline or other light fuels; to
manufacture, when so desired, artificial
gas for use as fuel; to manufacture
and deal in and to buy and sell either
'at wholesale or retail, when
by the company, not only the things
specifically mentioned heroin, but al'
other things allied to a business
or incident to its proper conduct and
operation. i

The capital stock of said corporation,
minimum, shall he twelve thousand,
five hundred ($12,500.00) Dollars, with
the privilege of increasing the same by
a majority vote of the stockholders to
a sum not exceeding at any time Thir

Said stock shall be divided into shares
of One Hundred ($100.00) Dollars each
and more than ten per cent of the
amount of capital to be employed by
them has actually been paid in. Peti
tioners further desire the right to have
the subscription to said capital stock
paid either in cash or in property to
be taken at a fair valuation.
6. Petitioners desire the right to
sue anil he sued, to plead and be im-
pleaded, to have and use a common
seal, to make all necessary by-laws and
regulations, and to do all other tilings
that may be necessary for the success
ful carrying on of said business, in
cluding the right to buy, hold anil sell
rt-a! estate and personal property suit
able to the purpose of the corporation,
and to execute notes and bonds as evi
dence of indebtedness incurred, or
which may be incurred, in the conduct
of the affairs of the corporation and
to secure the same by mortgage, secu
rity deed, or other form of lien, under
existing laws.
7. They desire for said incorpora
tion tin* power and authority to apply
for and accept amendments of its char
ter of either form or substance by a
vote of a majority of its stock outstand
ing at the time. They also ask au
thority for said incorporation to wind
up its affairs, liquidate and discontinue
its business at any time it may deter
mine to do so by a vote of two-thirds
of its stock outstanding at the time.
8. They desire for the said incor
poration the right of renewal when and
as provided by tin* laws of Georgia, and
that it have nil such other rights, pow
ers, privileges and immunities as are
incident to like incorporations or per
missible under the laws of Georgia.
