submits to the Court the following
facts:
1. They desire f<r themselves, their
associates, successors, and assigns, to he
incorporated under the name and style of
“Carmichael-M ai. let Company"
fora period of twenty years with the
privilege of renewal thereof at the end
of said peri >d.
2. Tire principal oilice and place of
business of said Company shall be in
the City of Jackson, said State and
County, but the privilege is asked of |
establishing branch offices at such oth
er place or places as may be desired, j

pecuniary gain for the stockholders.
4. The capital stock of said corpora-j
tion shall be Twenty-Five Thousand
Dollars, with the privilege of increas
ing the same to One Hundred Thou- i
sand Dollars, all of which lias been !
fully paid in, said stock to be divided
into shares of One Hundred Dollars
each.
o. The principal and particular bus
iness they desire to conduct and carry
on is that of general merchandise, the
buying and selling of goods, wires and
merchandise, at wholesale and retail
for cash or credit, such as drygoods,
hats, shoes, notions, millinery, hard
ware, supplies and farming implements.
To deal generally in buying and sell
ing buggies, wagons, harness, saddles
and like articles, cotton, corn, and
other farm products, horses, mules,
and all kinds of live stock.
To buy, sell, own, lease, rent and
otherwisehold real estate, stocks, bonds
and other securities, to loan and bor
row money, to hold and sell goods on
commission and act as agent for other
companies, persons or corporations.
(5. The right to sue and be sued,
plead and he impleaded, to have and
use a common seal, to make all neces
sary by-laws and regulations, ami do
all things necesary for the successful
carrying on of said business, is asked.
7. The right to secure any debt ow
ing to it by mortgage, mortgage deed
and any and all other kinds of liens
ami obligations and a similar right is
asked for the said corn milion in secur
ing debts owed by it to others.
8. The right is asked to subscribe for,
purchase, sell, or otherwise acquire or
dispose of shares, bonds, other obliga
tions secured or unsecured, of any cor
poration or corporations now or hereaft
er organized under the laws of this or
any other state, and to hold the same
with all the rights of ownership there
in as is permitted to natural persons.
n. The right to sell, rent, or other
wise dispose of any and all of its prop
erly is asked, whenever in the opinion
of thestockholders it is for the interest
of the company to so do, and under
like circumstances to sell or to nego
tiate any of its property for the pur
pose of raising money.
