PETITION FOR CHARTER
State of Georgia—County of Butts.
To the Superior Court of Said County:
The petition of the PEPPERTON
COTTON MILLS, a corporation wiih
its office and principal place of busi
ness in said county, respectfully shows
to the Court as follows:
Ist. That on the sth day of March,
1896, by order of the Superior Court of
said county, it was duly incorporated
with a capital stock of One Hundred
Thousand ($100,000.00) Dollars, with
the privilege of increasing the same
from time to time to an amount not
more than Five Hundred Thousand
($500,000.00) Dollars in the aggregate,
for the full term of twenty (20) years,
with the privilege of renewal a- allow
ed by law.
2nd. As will appear from the origi
nal petition and order of incorporation
on the minutes of said court, the ob
ject and business of said corporation
was as follows: To manufacture all
classes of cotton goods, woolen goods
and yarns; to buy, sell, manufacture
and deal in all classes of woolen and
cotton materials; to buy and sell all
classes of cotton and woolen machin
ery; to operate the same, and also to
engage in a general merchandise busi
ness. The complete nature of said ob
ject and business being more particu
larly set forth in said original petition.
3rd. On the 28th day of November,
1896, by order of said Court, said origi
nal charter w as amended in such man
ner as to make the minimum capital
stock of said company $50,000.00, as
will appear from the petition and order
granting said amendment on the min
utes of this Court, reference to which
is prayed.
4th. The original charter of said
corporation, as amended, expired by
limitation on the sth day of March,
1916, but through ignorance and over
sight, no petition for renewal was tiled
liefore such expiration, and said corpo
ration has since continued in business.
sth. Said corporation desires a re
newal and reviver of its said original
charter, as amended, for the full term
allowed by law, and a majorityof the
stockholders of said corporation, at a
meeting regularly called for the pur
pose, due notice of which was giv en to
all stockholde's, adopted a resolution
asking for such renewal and reviver.
6th. Said corporat ion further desires
an amendment toitssaid original char
ter, as amended, when and as the same
shall be renewed and revived, permit
ting and authorizing it to issue and
sell, from time to time, preferred stock,
in such series and amounts, and in such
proportion to common stock, with such
preferences over common stock, as to
principal, dividends, etc., and under
such terms, conditions, limitations,
and restrictions, and with such powers

proper corporate action of the stock
holders of said corporation at a meet
ing duly called and held for the pur
pose, due notice of which was given to
all stockholders.
Bth. Petitioner herewith files along
with this petition, a certified abstract
from the minutes of the corjroration,
showing that the application for re
newal and reviver, and the application
for amendment, have been authorized
by proper corporate action. Haid ab
stract is hereto attached marked Ex
hibit “A.”
Wherefore, petitioner prays:
First. That its original charter, as
amended, be renewed and revived, as
and (or the full term allowed by law.
Second. That when and as renewed
and revived, its said original charter,
as amended, be further amended in the
manner and to the extent herein set
forth.
