THURSDAY, FEBRUARY 7, 1952 LE SAL APPLICATION FOR AND ORDER GRANTING CHARTER of PEPPERTON STORE INC. Georgia, Butts County. To the Superior Court of Said County. The petition of HYMAN R. SHAF FER, SARAH G. SHAFFER, both of Atlanta, DeKalb County, Georgia, and ISAAC M. WENGROW, of At lanta, Fulton County, Georgia, re spectfully shows to the Court the following facts: 1. Petitioners desire to be incor porated for a period of thirty-five (35) years, with the right of renew al, as provided by law, under the name and style of: PEPPERTON STORE INC. 2. The principal office and place of business of said corporation shall be in Jackson, Butts County, Geor gia, with the privilege of establishing branch offices and places of business outside of Jackson, Georgia, by a ma jority vote of the stock outstanding entitled to vote. 3. Said corporation will engage principally in the general merchan dising business and particularly, in the operation of a retail general mer chandise store in the Pepperton Mills Area of Jackson, Butts County, Geor gia. Said corporation desires the fur ther right to manufacture, buy and sell, at wholesale or retail, either as principal or as agent for others, any article incidental to and not incon sistent with the business of a general merchandise establishment, as well as to purchase, sell, own, manufacture, fabricate, distribute, rent, lease and finance all forms of real and person al property, especially items sold in a general merchandise store, and to act as processors, buyers, sellers, fac tors, agents, jobbers, promoters, retailers, brokers, im porters and exporters of personal property of every class and descrip tion. 4. Said corporation also desires * the right to open retail stores and de partments and engage in the retail business in Georgia and elsewhere in the United States, and in this connec tion desires the right and authority to buy and sell, lease, sublease and im prove real estate, and to buy, own and sell all kinds of real estate notes and securities. 5. Said corporation also desires the right to guarantee, become surety 'upon or endorse contracts or obliga tions of any other person, firm or corporation and the right and power to enter into contracts of guaranty, suretyship or endorsement, when it has either direct or indirect interest in the subject matter of the contract guaranteed. 6. Said corporation desires the right and authority to borrow money, and to execute the necessary secur ity deeds, loan deeds, bonds and notes to secure the same, to issue purchase money notes, and the right to buy and sell and own stock in other cor porations; as well as the right to loan money to others, either under secur ity or otherwise. 7. Said corporation desires the further right to keep the books and records of this corporation (subject to any prohibition thereof which may be contained in the statues of Georgia), outside of the State of Georgia, and at such places as may be from time to time designated by the Board of Directors. 8. The minimum capital stock of ■•said corporation shall be FIFTY ' THOUSAND DOLLARS ($50,000.- 00), divided into five hundred (500) shares of common stock of the par I value of One Hundred dollars (SIOO.- 00) per share, with the right to in crease said capital stock from time to time by a majority vote of the out standing stock, entitled to vote at said times or time in an aggregate amount not to exceed ONE HUND RED THOUSAND DOLLARS ($100,000.00), such increases may be issued in common or preferred stock of the par value of One Hund red Dollars ($100.00) per share, upon such terms and conditions as may be authorized at the time of said increase in capital stock of said cor poration. In the event said capital stock is increased, as herein provi ded, the same may be reduced, from time to time, by a majority vote of the outstanding stock entitled to vote, provided the same is not re duced to an amountt less than the minimum capital stock. 9. Said corporation desires au thority to make all necessary by-laws and regulations, and to do all things that may be necessary for the suc cessful management and carrying on of said business as outlined above, including the right to accept in pay ment of stock subscriptions, money, property or qther things of value, taken at a fair valuation. 10. The amount of capital with which the corporation will begin busi ness is at least Five Thousand Dol lars ($5,000.00). 11. The names and addresses of each of the applicants for the Char ter are: Hyman R. Shaffer, 1219 Zimmer Drive, N. E., Atlanta, Ga. Sarah G. Shaffer, 1219 Zimmer Drive, N. E., Atlanta, Ga. Isaac M. Wengrow, Biltmore Hotel, Atlanta, Ga. 12. Petitioners are a t taching hereto a certificate from the Secre tary of the State of Georgia declar ing that the name of the proposed corporation is not the name of any other existing corporation, as requir ed by law. Wherefore, petitioners pray an or der be granted incorporating them, their associates, successors and as signs, under the name aforesaid, with the powers and privileges herein prayed for, together with such other powers and privileges as may be nec essary, proper or incident to the con duct of the business for which peti tioners are seeking incorporation as may be allowed to private corpo rations under the terms of the Act of January 28th, 1938, authorizing the chartering of corporations, and that said charter be granted for a period of 35 years, with the right of renewal, as provided by law. The Within application for Charter having been examined, and it appear ing that the application is legitimate ly within the purview and intention of the laws of this State, and that petitioners have complied with the requirements of the law regulating the granting of charters by present ing to the Court a certificate from the Secretary of State, declaring that the name of the proposed cor poration is not the same of any other existing corporation, said application is hereby granted under the name and style of: PEPPERTON STORE INC. and said Charter is hereby granted for a period of 35 years, with the right of renewal as provided by law.
