for a period of 35 years from May
29, 1953, with the privilege of re
newing same at the end of that time,
and that it have all the benefits and
be subject to all the liabilities pre
scribed by the laws of Georgia for
corporations of like kind.

Newton Hardware Company be, and
the same is hereby renewed and ex
tended, and it is hereby reincorpora
ted, for a period of 35 years to be
gin on the 29th day of May, 1953,
and extended to the 29th day of May,
1988; and that said corporation have
all the benefits and be subject to all
the liabilities prescribed by the laws
of Georgia for corporation of its
kind.

(A stockholders meeting of New
ton Hardware Company held at the
office of said corporation in Jackson,
Georgia, on April 16th, 1953, after
due and timely notice to all the
stockholders, in terms of law).
It appearing that all of the stock
holders are present, the meeting pro
ceeded to the consideration of the
subject of the call, to-wit: Reincorpo
ration under the terms of the “1938
Corporation Law.”
On motion, duly seconded, and car
ried by a unanimous vote of all
shares of the corporation, the offi
cers of the company were directed
to procure a renewal and reincor
poration of the charter which will
expire May 29, 1953, for a period
of 35 years from said date.
I, the undersigned, as secretary of
the Newton Hardware Company, do
hereby, certify that the above is a
correct extract from the minutes of
the stockholders meeting held April
16, 1953.
