Tuesday in January, 1925, within the
legal hours of sale, all the following

All that lot or parcel of land lying
and being in the City of Hartwell,
Ga., and being composed of Lots Nos.
5, 6 and 7, in the division of a 13 1-3
acres tract of land, of the estate of
J. F. Craft, deceased, adjoining lands
of the estate of W. Z. Yates on the
north; Richardson street on the east;
Lots Nos. 3 and 4 of said division on
the south, and Elbert street on the

Myers, J. D. Cleveland, H. H. Mad
dox, T. B. Thornton; F. C. Gaines,
S. H. Jones and A*_ I. Knox, re
spectfully shows:
I.
That the petitioners, all of whom
are resident and citizens of the
State of Georgia, engaged in the pro
duction of agricultural products, de
sire, for themselves, their associates
and successors, to associate them
selves together for the purpose of
forming a non-profit cooperative
marketing association, without capi
tal stock, under the provisions of
the Cooperative Marketing Act of
the State of Georgia, under the name
and style of Georgia Seed Growers
Cooperative Association.
11.
The objects and purposes for
which this association is to be form
ed, are:
a. To promote, foster and encour
age the business of marketing seed
cooperatively; to minimize specula
tion and wastes in the productioa
and marketing of seed and their pro
ducts; to stablize seed markets; to
handle cooperatively and collectively
the problems of seed growers.
b. To engage in any activity in
connection with the grading, hand
ling, processing, treating, storing,
shipping, warehousing, and market
ing of seed or seed products of the
Association and of its members; and
in the financing of any of said opera
tions.
c. To purchase or sell any seed or
seed products of its members; and
to purchase and to sell to its mem
bers machinery, equipment, or sup
plies used in any of the above men
tioned activities, either by the As
sociation, or by the members there
of.
d. To borrow money and to make
advances to the members of the As
sociation; and to incur indebtedness
without limitation.
e. To lend money to the members
of the Association, in connection with
any of the said activities, upon any
adequate security; and to accept as
collateral for any such loans, ware
house receipts, mortgages, or any
other kind of property or security
permitted by law.
f. To sell, issue, discount or borrow
money upon any commercial paper
or negotiable instruments, or promis
sory notes, or warehouse receipt, or
mortgages, or bonds, or any other
kind of property or security owned
by or under the control of the As
sociation.
g. To act as the agent, representa
tive, or brewer of its members in
any of the above activities.
h. To purchase or otherwise ac
quire, and to hold, own, exercise all
rights of ownership over, sell, trans
fer, or pledge or guarantee the re
demption or retirement of and the
payment of dividends on shares of
the capital stock, or bonds,, or se
curities of any corporation or asso
ciation engaged in the processing, or
treating or grading or storing or
handling, or marketing of any seed
or seed products in furtherance of
any of the above mentioned activi
tied.
i. To buy, hold, lease, construct,
contract for the use of and eVer
cise all privileges of ownership over
such real or personal property as
may be necessary or convenient for
the conduct and operation of any of
the business of the Association.
j. To acquire, own develop, any
interest in patents, trademarks, or
copyrights, connected with the hand
ling or manufacturing or marketing
of seed or seed products of the As
sociation or its members.
k. To do each and everything nec
essary, suitable or proper, in the
judgment o fthe Directors of this
Association, anywhere throughout
the world for the accomplishment of
any of the purposes or attainment
of any one or more of the obpects
herein enumerated, or which shall at
any time appear conducive' to or
expedient for the interests of bene
fit of the Association and the mem
bers thereof and to contract accord
ingly.
l. To make no profits for itself
from any of its activities; but all of
its operations shall be for the mutual
benefit of its members only and shall
be cooperative in character.
The operations and activities of
this Association shall be limited to
activities arising out of the proces
sing, treating, grading, manufactur
ing, shipping, storing, warehousing,
handling, and marketing of the seed
and or seed products, of the Asso
ciation and of its members only and
to the financing of any of the said
operations.
The Association shall not be per
mitted to buy or sell seed except
from and for its members only and
on a standard cooperative hasis. It
shall not buy or handle any seed
from non-members; or be permitted
to go in the open market to buy seed
or any seed product whatsoever.
m. The Association shall be ex
pressly forbidden to do anything with
the intent or effect of lessening the
production or use or consumption of
seed; but this Association shall do
everything within its power to pre
vent speculation, in the handling of
seed and seed products and to secure
for its members a fair price for their
seed or seed products in the markets
of the world; and do everything, rea
sonable within its powers to stabilize
to a fair level downward, the prices
to be paid by the ultimate consumers;
to increase the sale, use and con
sumption of seed and seed products
by all possible commercial and mer
chandising methods; and to use every
possible means to improve this sup
ply and to extend and increase the
demand for seed and seed products.
n. This Association shall have and
exercise all powers, privileges, and
rights authorized by the laws of this
State and all powers and right inci
dent thereto.
111.
The office and principal place of
business of said Association, will be
in the City of Hartwell County of
Hart, State of Georgia; but the As-
sociation shall have the rights to j
establish branch offices elsewhere, 1
as it may deem advisable.
IV.
The term for which the Associa-1
tion is to exist is twenty (20) years,;
with the right to renewal.
V.
The Association is to be managed
by a Board of directors to be elected ,
in the manner provided in the by- j
laws. The names and residences of I
the Directors selected to serve for i
the first year and until their succes-.

Georgia Seed Growers Cooperative I
Association shall not have any capi- >

of an entrance fee of as provided in |
the by-laws and other uniform condi
tions. The Voting power Os the mem
bers of this Association shall be
equal; and each member shall have
one vote only.
The property rights and interests
of each member shall be equal; and
each member shall have one unit of
property rights only.
VII.
The private property of the mem
bers shall not be subject to the pay
ment of corporate debts; and no
member shall be liable for the debts ■
of the Association of any amount
exceeding the unpaid balance of his
' entrance fee.

The Association is to have all the
| powers and rights, limitations and
restrictions, obligations and privi
' lege, se forth in the Cooperative
Marketing Act of the State of Geor
gia, approved 1921 WHEREFORE
petitioners bring this petition and
pray that after publication for the
time required by law and compliance
with the formalities of law, they be
incorporated and be made a body
politic and corporate, under the name
and style aforesaid with all the
rights, privileges, and immunities i
herein requested and subject to the
restrictions fixed by law.
