to encumber, sell or otherwise dis
pose of the same for the purposes
of carrying out the objects of the
corporation.
8. The government and manage
ment of the property and business
of said corporation is to be vested
in a board oi directors, to consist
ot not less than three and not more
than seveu, under such restrictions
as the stockholders in the conven¬
tion assemeled may deolare.
9. The board of directors shall
be authorized to elect from their
own members a president, a vice
president, a secretary, a treasurer,
and general manager and shall pre
scribe the duties of each and fix
their compensation subject, how¬
ever, to any limitations the stock¬
holders may prescribe. Any one
or more or more of these offices
may be held by one and the same
person.
