The PPA Bonds shall be issued

Bonds to be issued to finance

Resolution. The PPA-2 Bonds

The Non-PPA Bonds are
direct and special obligations of
MEAG Power to which MEAG
Power has pledged the Trust
Estate (as defined in the Non-
PPA Bond Resolution) in trust
for the payment of the principal
and redemption price of and
interest on the Non-PPA Bonds
and the Parity Obligations as
defined in the Non-PPA Bond
Resolution, subject only to
