Building Authority Refunding
Revenue Bonds (Water and
Sewer Facilities Project), Series
2009, in the aggregate princi

Bonds” or the “Bonds”).
The Series 2009 Bonds
are to be issued by the City
of Jefferson Public Building
Authority (the “Authority”), for
the purpose of (1) refunding

Bonds, Series 1998, in the out
standing principal amount of
$3,935,000 (the “Series 1998
Bonds”), issued pursuant to
an ordinance adopted by the

The Series 2009 Bonds

secured by a Trust Indenture,

into between the Authority
and Regions Bank, Atlanta,
Georgia, as trustee (the
“Trustee”), and a resolution of
the Authority duly adopted on
March 23, 2009 (the “Bond
Resolution”). The City and the
Authority will enter into a Lease
Agreement, dated as of May 1,
2009 (the “Agreement”), under
the terms of which the Authority
has agreed to acquire from the
City its water and sewer sys
tem (the “System”), and then
lease the System back to the
City as part of the proposed
refunding of the Series 1998
Bonds and the prepayment of
up to $2,800,000 of principal
amount of the GEFA Loans,
and the City has agreed to pay
the Authority rental payments
sufficient to pay the principal of,
redemption premium (if any),
and interest on the Bonds as
the same become due and
payable, all described in the
Agreement, and the City has
agreed to pay the Authority
