The petition of Robert J. Starling,
Jacob H. Holley and John W. Mill
er, hereinafter called petitioners,
respectfully shows:
1. Petitioners desire for them
selves, their associates and their
successors to be incorporated under
the name of “SEMINOLE ME
MORIAL HOSPITAL, INC.”
2. The object of said corporation
is pecuniary gain and profit.
3. The general nature of the
business or businesses to be trans
acted is the operation of a general
hospital, to receive patients for
medical treatment and surgery and
receive payment therefor, and to
have all the powers sfnd privileges
necessary to operate a general
hospital, including the right to
employ nurses, interns, physicians,
the right to fix fees for services
Tendered and to do everything in
general that is necessary and need
ful to operate, maintain and run
a general hospital.
4. Petitioners further desire that
said corporation be vested with all
of the rights and powers now or
hereafter given, to do any and all
things which may be needful or

said corporation shall have all <*
the powers enumerated in Sections
22-1827 and 22-1828, Georgia Code
Annotated, and such powers as
may hereafter be given by law.
i 5. The maximum number of
shares of stock shall be $100,000.00
and shall be divided into 1,000
shares of common stock of the face
or par value of SIOO.OO per share.
| However, the amount of capital
with which the corporation shall
begin business shall be not less
than $5,000.00. The corporation
shall be authorized to issue
additional shares to be to the
maximum sum above stated,
and, thereafter, from time to
time, shall within the limi
tations set forth in Section 22-1854,
Georgia Code Annotated, to reduce
the amount of capital outstanding.
6. The time for which the cor
poration is to have existence is
thirty-five (35) years, with the
I privilege of renewal of the Chart
er, from time to time, upon the
expiration of said periods of thirty
five (35) years.
7. The County in which the prin
cipal office of the corporation is to
be located is Seminole County,
Georgia, but the privilege, is de
sired of establishing branch offices
and places of business both within
and without the State of Georgia.

; 9. Petitioners further desire that
, by-laws of the corporation shall be
adopted by the common stock hold
ers, and such by-laws shall provide
for the officers of the corporation,
the manner of their selection, and
such other rules appropriate to
by-laws which have as their pur
pose the control and management
of the corporation, including pro-
I visions whereby the by-laws may
be amended.
10. Your petitioner herewith ex
i hibits a Certificate of the Secre
! tary of State of Georgia as requir
ed by Section 22-1803, Georgia
Code Annotated.
Wherefore, petitioners pray to
be incorporated under the name
and style aforesaid with all of the
rights, powers, privileges, and im
munities herein set forth, and such
additional rights, powers ‘and pri
vileges as may be necessary, pro
per or incident to the conduct to
the business aforesaid, and as may
be inherit in or allowed to like cor
porations under the laws of the
State of Georgia, as they now or

The foregoing petition of Robert
J. Starling, Jacob H. Holley and
John W. Miller to be incorporated
under the name of Seminole Me
morial Hospital, Inc., read and con
sidered,
It appearing that said petition is
within the purview and intention
of the laws applicable thereto and
that all of said laws have been
fully complied with including the
presentation of a certificate from
the Secretary of State, as required
by Section 22-1803 of the Code of
Georgia,
It is hereby ordered, adjudged
and decreed that all the prayers
of said petition be and the same
are hereby granted and said appli
cants and their associates, succes
sors, and assigns are hereby in
corporated and made a body politic
under the name and style of Se
minole Memorial Hospital, Inc.,
for and during the period of thirty,
five (35) years next following this
date, with the privilege of renewal
at the expiration of that time, ac
cording to the laws of Georgia, and
that said corporation is hereby
granted a nd vested with all the
rights and privileges mentioned in
said petition and all other rights,
privileges and immunities con
ferred by the laws of Georgia.
Granted at Chambers this 14th
day of December, 1963.
