the city of Cairo, as chief of po
lice for the past five years, dur
ing which five gear’s i have made
a record that I am proud of and
one that is irreproachable, and

of police and with the experience
I have had in assisting in county
affairs, that I am fully competent
to make (Irady county a first
class sheriff, I therefore, respect

To the Superior Court of said
County:
The petition of W. E. Gilmore,
K. M. Maxwell and II. A. Max
well all of Grady eounty, Georgia,
respectfully shows:
1. That they desire for them
selves, their associates and succes
sors, to be incorporated and made
a body politic under the name and
style of Gilmore-Maxwell Company
for the period of twenty years.
2. 1 he principal offibe and place
of business of said company
shall he in the city of Cairo, slate
and county aforesaid, but petition
ers desire the right to establish
branch offices and places of busi
ness at other places within this
state or elsewhere, whenever the
holders of a majority of the stock
may so determine.
!i. Tlie object of said corpora
tion is pecuniary gain to itself and
its shareholders.
4. Tlie capital stock of said cor
poration shall lie Ten Thousand
[$10,000.00) Dollars with the pri
vilege of increasing the same from
time to time to any sum not ex
ceeding Fifty Thousand ($50,000-
000) Dollars, by a majority of the
stockholders. Said stock to lie di
vided into shares of One Hundred
($100.00) Dollars each. Ten per
cent of the amount of capital to ho
employed hy them lias been ac
tually paid in.
5. Petitioners desire the right to
have the subscription to said capi
tal stock paid in money or proper
ty to he taken at a fair valuation,

by said corporation is that of gen-
erni retail merchants, consisting of
the buying and selling of dry goods
if all sorts, including clothing, no
tions, groceries, hardware and all
other goods or property that may
be conviently handled and sold in
connection with said business.
7. Petitioners desire the right
to sue and be sued, to plead and lie
impleaded, to have and use a com
mon seal, to make all necessary by
laws and regulations, to do all other
things that may he necessary for
the successful carrying on of said
business, including the light to
buy, hold and sell real estate and
personal property suitable to the
purposes of the corporation, and to
execute notes and bonds as evidence
of indebtedness incurred, or -which
may he incurred, in the conduct
of the affairs of the corpor-
tion and to secure the same by
mortgage, security deed, or other
-forms of lien, under existing laws.
8. They desire for .■•aid incorpo
ration the power and authority to
apply for and accept amendments
to the charter of either form or
substance by a yotc of a majority
of its stock outstanding at the time.
They also ask authority for said in
corporation to wind up its affairs,
liquidate and discontinue its busi
ness at any time it may determine
to do so by a vote of two-thirds of
its stock outstanding at the time.
