others, on September 1st,
filed a petition in Newton
Court praying that they be incorp
orated under the style and name of
ANDREW'S CAFE. INC., for a
period of twenty years.
2nd. That the capital stock of
said corporation was Two Thous
and Dollars issued at the par value
of Ten Dollars per share.
3rd. That on October 22nd, 1932,
an order was passeed decreeing
and granting a charter in accord
ance with the prayers of said peti
tion, same being recorded Minutes
1927, page 229, Newton Superior
Court.
4th. Your petitioner shows thft
for the past five years, he has been
and now is the sole owner of ; l
of the capital stock that was issuer!
by said corporation.
5th. Your petitioner deems it
desirable and advantageous
said corporation be dissolved; tha}
there are no outstanding corpor
ate debts and no stockholder
any other person or persons
will suffer injury or loss by a dis
solution of said corporation
6 th. That at a meeting of stock
holders held on April 29th, 1941.

be instituted to dissolve and
surrender the charter of said
corporation.’’

That the charter heretofore grant
ed creating the corporation of An
drew’s Cafe, Inc., be dissolved
thereby surrendering back to the
State all corporate powers, rights,
privileges, franchises and liabili
ties heretofore enjoyed by said
named corporation in accordance
with laws as embodied in the Act
of the General Assembly set out
in Georgia Laws 1937-1938 pages
214-24 7 inclusive.
