general insurance agency, to
deal with all types and kinds

brokers; and generally to deal
with insurance policies and
contracts of all kinds and de
scriptions in every proper and
legitimate manner according to
the usages and customs of the|
business.

corporation shall be in New
ton County, Georgia, with the
privilege of establishing branch
offices and places of business
elsewhere, both within and

a maximum of five hundred
(500) shares of stock, all of
which shall have a par value
of One Hundred Dollars
($100.00) per share, and all of
which shall be common stock,
with equal voting rights. The
amount of capital with which
said corporation shall begin
business, however, shall be not |

($200.00) Dollars. The corpora
tion shall be authorized io is
sue additional shares up to the
maximum sum above stated,
and thereafter, from time to
time, to reduce the amount of
capital outstanding, but not
below the minimum above

by the by-laws to be duly
adopted by the stockholders,
such by-laws not to be incon
sistent herewith or the laws
