Petitioners desire for them
selves, their associates and suc
cessors to be incorporated under
the name of “DEKA INVEST
MENT CORPORATION, INC.”

The object of said corporation
is pecuniary gain to itself and
its stockholders. The general
nature of the business to be
transacted by the corporation
shall bethat of dealing, managing,
developing, selling and operating, _
renting and leasing real estate
and interests therein.

In addition, but not in, limit
ation of, the general powers con
ferred by law, petitioners desire
for said corporation the power to
buy, hold for investment, sell,
lease, and otherwise deal in prop
erties of every kind and char
acter, real or personal; to im
prove, develop, and manage real
estate, to erect on real prop
erty owned or occupied by the
corporation or others, buildings
or other structures with their
appurtenances; to manage, oper
ate, lease, rebuild, enlarge or
alter, and improve buildings on
real estate owned or occupied by
the corporation or others; the
power to survey, subdivide, im
prove and otherwise develop land;
tiie power to lend money and ex
tend credit; the power to enter
into any contract of guaranty,
surety or endorsement in which
it shall have no direct interest;
the power to borrow money, issue
bonds, promissory notes and
other obligations and evidence
of indebtedness, and to secure the
same mortgage, pledge or other
wise. Petitioners desire that
the corporation be given the
power to engage in any and all
types of business activity or act
ivities.

The maximum number of
shares of stocks outstanding at
any time shall be ONE THOU-
Fand (1,000) shares of common
stock with a par value of Ten
Dollars ($10.00) per share.

said corporation be vested with
all the rights and powers now
or hereafter given to do any
and all things which may be
needful or proper in the oper
ation of the above described bus
iness, and that said corporation
have all of the powers enumer
ated in Sections 22-1827 and
22-1828, Georgia Code An
notated, and such powers as may
hereafter be given by law.

The amount of capital with
which the corporation will begin
business shall be at least ONE
THOUSAND DOLLARS,
($1,000.00).

principal office in Newton County,
Georgia with the right to estab
lish additional offices elsewhere

money for casual deficiencies;
zoning; board of zoning appeals;
fiscal year; execution of formal
contracts; bonds required of city
manager and other officials; and

returns.

1965, by resolution adopted by the
holders of more than two-thlrds
of the outstanding stock of each
class of Petitioner’s stock auth
orized and outstanding, an
amendment to Paragraph 5 of Pe
titioner’s charter was authorized
all as more particularly set out
in that resolution, a certified copy
of which hereto attached marked
Exhibit A is made a part of this
petition and paragraph.
WHEREFORE, Petitioner
prays that its charter be amend
ed in the particulars set out in
Exhibit A hereto.

(2) At a joint meeting of the
directors and stockholders of the
Company duly held on December
20, 1965, at which was present
and acting throughout a quorum
of the Board of Directors and in
person and by proxy the holders
of all shares of stock of the Com
pany’s outstanding stock of all
classes the attached resolution
was unanimously adopted, ap
pears on the minutes of that meet
ing and has not been amended or
revoked.

RESOLVED, that the Charter of
Fowler Fertilizer Company, Inc.
(the "Corporation”) be amended,
and to accomplish this Paragraph
5 of the Petition for Charter filed
by Corporation in the Superior
Court of Newton County, Georgia,
be and the same is hereby strick
en in its entirety and the follow
ing paragraph numbered 5 sub
stituted in lieu thereof:
"5. The Corporation shall have
a maximum 'apital of $250,000
and shall be authorized to issue
and have outstanding three class
es of stock:
(a) 500 shares of the SIOO par
value five per cent (5%) cumula
tive preferred stock (the ‘‘Pre
ferred Stock”) having no pre
emptive rights but with the fol
lowing rights and preferences
and subject to the following pro
visions:
(i) The holders of the Pre
ferred Stock shall be entitled to
receive out of the surplus or net
profits of the Corporation as and
when declared by the Board of
Directors dividends at therateof
$5 per share per annum payable
annually on the fifteenth day of
December in each year. The
dividends shall be cumulative
from the date if issuance of the
stock and no dividend may be de
clared or paid on the Corpora
tion’s SIOO par value Class A
non-voting Common Stock (the
‘‘Class A Stock’’) or its SIOO
par value Class B voting Com
mon Stock (the "Class B Stock”)
until all accumulated and unpaid
dividends on the Preferred Stock
have been paid or money set aside
for their payment.
(ii) In the event of the volun
tary or Involuntary dissolution or
liquidation of Corporation, there
shall be distributed to the holder
of each share of Preferred Stock
then outstanding money or assets
of the Corporation In an amount
equal to $lO2 per share plus all
cumulative dividends and frac
tions thereof through the date of
distribution in preference to and
before any distribution shall be
made to holders of Class A and
Class B Stock, but after that dis
tribution no holder of Preferred
Stock shall have any further in
terest in the Corporation’s
assets.
(Hi) This Corporation by re
solution of Its Board of Directors
may on any Preferred Stock divi
dend date, provided 30 days’prior
written notice Is given to the
holder of Preferred Stock by mall
addressed to his address appear
ing on the books of the Corpora
tion, redeem the Preferred Stock
In whole or in part at $lO2 per
share plus the amount of any
accumulated dividend whether or
not earned or declared through
the date fixed for redemption.
The Board of Directors may re
deem all of the Preferred Stock
held by any one holder or all or
part of all held by all holders of
the Preferred Stock in which
latter event the redemption shall
be pro rata.
(iv) So long as any Preferred
Stock is outstanding, this Cor
poration may not without the
written consent of the holders of
two-thirds of the Stock at that
time outstanding
(A) redeem, purchase or
otherwise acquire for value any
of the Class A or Class B stock,
or
(B) issue any stock having
equal or greater rights with the
Preferred Stock to dividends on
dissolution or liquidation, or
(C) merge or consolidate
with any other corporation, un
less after th? merger or con
solidation the Preferred Stock be
senior to all stock of all classes
of the surviving or resulting cor
poration and have all the powers,
privileges and preferences it now
has.
(v) Subject to the laws of the
State of Georgia, the entire vot
ing power shall be vested In the
holders of the Class B Stock who
shall be entitled to one vote for
each share held of record, pro
vided, however, that if at any
time dividends on the Preferred
Stock shall be in arrears in an
amount equal to or exceeding the
cumulative dividend on the Pre
ferred Stock forthreeyears, then
so long as such arrears of di
vidends on the Preferred shall
contnue, the holders of the Pre
ferred Stock shall be entitled,
voting separately as a class and
to the exclusion of the holders
of each other class of stock then
outstanding, to elect a majority
of the Board of Directors of this
Corporation.
(b) 1,600 shares of Class A
Stock having neither voting nor
preemptive rights of which 600
shares are now issued and out
standing and 1,000 shares of
which may be issued by the af
firmative vote of the holders of
an amount of two-thirds of the
Class B Stock at a meeting duly
called for that purpose and for
such consideration as they may
direct and each share of Class
A Stock shall share equally with
each share of Class B Stock in
all dividends declared after pay
ment or provision for payment
of all cumulative dividends on the
Preferred Stock and in any dis-
trlbution made in the event of
liquidation or dissolution of the
Corporation after satisfaction tn
full of all preferences of all
Preferred Stock outstanding.
(c) 400 shares of Class B
Stock which shall have both vot
ing and preemptive rights and
each share of which shall share
equally with each share of Class
A Stock In all dividends declared
after payment or provision for
payment of all cumulative divi
dends on the Preferred Stock
and in any distribution made in
the event of liquidation or dis
solution of the Corporation after
satisfaction in full of ail prefer
ences of all Preferred Stockout
standing.
RESOLVED FURTHER, that the
officers of this Corporation be
and they are hereby directed to
make application for amendment
to Its charter as set forth in this
resolution and to do all things
necessary or proper to accomp
lish the same.

elected second vice president of
the Southern Industrial Develop
ment Council. As head of the
community development branch
of Tech’s Industrial Development
Division, Cassell works with
Georgia towns to promote econo
mic growth.
He is a member of the board
of regents of the American In
dustlcal Development Council and
on the board of editors of the
Journal of this council.

University of Alabama in co
