selves, their associates and suc
cessors to be incorporated under
the name of "ROOKS & ROWE
WOODWORKS, INC.”

The object of said corporation
is pecuniary gain to itself and its
stockholders. The general nat
ure of the business to be trans
acted by the corporation shall be
that of general woodwork, mill
work, cabinet making, house re
modeling, and the buying and
selling of building and home mat
erials and supplies.

In addition, but not in, limitat
ion of, the general powers con
ferred by law, petitioners desire
for said corporation the power to
lend money and extend credit;
the power to enter into any con
tract of guaranty, surety or en
dorsement in which it shall have
no direct Interest; the power to
borrow money, issue bonds, pro
missory notes and other obligat
ions and evidence of indebt
edness, and to secure the same
mortgage, pledge or otherwise.
Petitioners desire that the cor
poration be given the power to
engage in any and all types of
business activity or activities
directly or Indirectly related to
the general nature of the
business.

The maximum number of sha
res of stocks outstanding at any
time shall be ONE THOUSAND
(1,000) shares of common stock
with a par value of TEN DOL
LARS ($10.00) per share.

Petitioners further desire that
said corporation be vested with
all the rights and powers now
or hereafter given to do any and
all things which may be needful
or proper in the operation of
the above described business, and
that said corporation have all
of the powers enumerated in Sec
tions 22-1827 and 22-1828, Geor
gia Code Annotated, and such
powers as may hereafter be given
by law.

The amount of capital with
which the corporation will begin
business shall be at least FOUR
HUNDRED DOLLARS ($400.00).

The corporation shall have its
principal office in Newton County,
Georgia, with the right to estab
lish additional offices elsewhere
within or without the State of
Georgia.

Petitloners desire that the cor
poration shall have an existence
of Thirty-Five (35) years.

hibit a certificate of the Secretary
of the State of Georgia, as pro
vided by section 22-1803, Georgia
Code Annotated.

pray to be Incorporated under
the name and style aforesaid with
all the rights, powers, privileges
and Immunities herein set forth,
and such additional rights, pow
ers, and privileges as may be
necessary, proper or incident to
the conduct of the business afore
said, and as may be inherent in
or allowed to like corporations
under the laws* of the state of
Georgia as they now exist or
may hereafter exist.

The undersigned, whose
names, signed by each of them,
and residences are hereto at
tached, bring this their petition,
and file the same in triplicate,
In pursuance of The Regulated
Certificated Bank Act of the Code
of Georgia, and respectfully
show:
1.
That they desire for them
selves, their associates and as
signs, to become incorporated
under the provisions of the law
of the State of Georgia relating
to regulated certificated banks
and to be made a body politic
under the corporate name and
style of “FIRST CITIZENS
BANK.”
2.
That the corporate existence
of the proposed regulated certi
ficated bank shall be for a period
of thirty years, with the right
of renewal as provided by law.
3.
That the proposed regulated
certificated bank shall be located
in the City, Town or Village of
Covington, Newton County Geor
gia, the same city In which
“FIRST CITIZENS BANK” (Pri
vate Bank—Not Incorporated) Is
located.
4.
That the paid In capital struc
ture, as of the beginning of bu
siness, will be as follows:

increased from time to time In
accordance with the provisions
of the laws of Georgia. If the
capital stock is Increased by the
number of additional shares
thereof, each shareholder shall
be entitled to subscribe for such
additional shares In proportion to
the number of shares of said ca
pital stock owned by him at the
time the Increase is authorized
by the shareholders, unless an
other time subsequent to the date
of the shareholders meeting is
specified in a resolution adopted
by the shareholders at the time
the increase is authorized. The
Board of Directors shall have the
power to prescribe a reasonable
period of time in which the pre
emptive rights to subscribe to
the new shares of capital stock
must be exercised.
The purpose and nature of the
business proposed to be con
ducted shall be that of a regulated
certificated bank. Said regulated
certificated bank shall have all
powers given Georgia banks
under Title 13 of the Code of
Georgia, as the same may now
or hereafter be amended, and
said regulated certificated bank
shall have existence for a period
of thirty (30) years from the
date of its incorporation, and
shall have the right from time
to time to renew its corporate
existence as provided by law.
Without limiting the generality of
the foregoing, said regulated cer
tificated bank shall have the right
and power to sue and to be sued;
to have and use a common seal
and at pleasure to alter the same;
to appoint such officers and
agents as the business of the
corporation requires and to pre
scribe their duties, fix their com
pensation and remove them at
pleasure; to make such bylaws
as may be necessary or proper
for the management of its pro
perty and regulation of Its af
fairs; to hold, purchase and dis
pose of and convey such real
and personal property as may be
necessary for its uses and bu
siness; to discount bills, notes,
or other evidences of debt; to re
ceive and pay out deposits, with
or without interest; to receive on
special deposit money or bullion
or foreign coins, or stocks or
bonds or other securities; to buy
or sell foreign or domestic ex
change or other negotiable paper;
to Issue and sell bills, notes,
acceptances or other evidences of
debt; to receive deposits of money
and commercial paper; to make
loans; to discount bills, notes and
other commercial paper; to buy
and sell bills of exchange; to lend
money upon personal security, or
upon pledges of bonds, stocks or
negotiable securities; to take and
receive security by mortgage or
otherwise on property, real or
personal; and generally to do
and perform all such other mat-
ters and things not hereinbefore
enumerated as are or may be

ing, conducted under the laws of
the State of Georgia, as the same

The number of Directors of
said regulated certificated bank
shall be not less than three (3)
nor more than twenty-five (25).
The first Board of Directors
shall consist of at least five
shareholders, who shall be the
organizers whose names are
signed below. The exact number
of Directors within such min
imum and maximum limits shall
be fixed and determined from
time to time by resolution of a
majority of the full Board of Di
rectors or by resolution of the
shareholders at any annual or
special meeting thereof. Unless
otherwise provided by the laws
of the State of Georgia, any va
cancy in the Board of Directors
for any reason, including an in
crease in the number thereof,
may be filled by action of the
Board of Directors. Each Di
rector shall be a stockholder
owning an amount of stock in the
corporation having a par value
of not less than SI,OOO.

private banker, was so register
ed with the Superintendent of
Banks as of January 1, 1966,
and was actively engaged in the
