Petitioners desire for them
selves, their associates and suc
cessors, to be Incorporated under
the name of TECHNICAL PRO
DUCTS, INC.

The object of said corporation
Is pecuniary gain and profit.
3.
The general nature of the bu
siness to be transacted Is as
follows: To buy, hold, manufac
ture, produce, fabricate, pro
cess, sell and otherwise dispose
of, either as principal or agent,
licensor or licensee, and upon
commission, sale, lease or
otherwise, all kinds of property,
both real and personal, includ
ing but not limited to all kinds
of hospital, surgical, clinical and
medical Instruments, equipment,
wares, utensils, articles, apparel
and paraphernalia, of every kind
and character useful or neces
sary in the treatment of patients
or for their comfort or welfare,
including the right to own, use
and acquire copyrights, patents
and patentrights for use In said
business.

said corporation b? vested with
all of the rights and powers now
or hereafter given to do any and
all things which may be needful
or proper in the operation of
said business, and that said cor
poration have all of the powers
enumerated in Sections 22-1827
and 22-1828, Georgia Code An
notated, and such powers as may
hereafter be given by law.

The maximum number of sha
res of stock shall be one thou
sand (1000) shares, all of which
shall be common stock and each
share of the par value of one
hundred dollars ($100.00). How
ever, the amount of capital with
which the corporation shall begin
business shall not be less than
Three Hundred Dollars ($300.00).
The corporation shall be authori
zed to additional shares, above
said minimum, from time to
time, for cash, assets or ser
vices, but within the limits set
forth in Section 22-1854 of said
code of Georgia, may reduce
the amount of capital outstanding.

The time for which the cor
poration is to have existence Is
35 years, with the privilege of
renewal of the charter, from
time to time, as provided by law.

The principal office of said
corporation Is to be located in
Newton County, Qeorgla, with
the privilege of establishing
branch offices and places of bu

The full amount of deposit for
one set of documents will be
returned to each General Con
tractor who submits a bona fide
bid upon the return of such set,
in good condition, within ten (10)
days after date of opening bids.
All other deposits will be re
funded with reduction approxi
mating the cost of reproduction
of the documents upon return of
same in good condition within
five days of opening of bids.
Contract, if awarded, will be
on a lump sum basis. No bid
may be withdrawn for a period
of 35 days after date of the bid
opening. Bids must be accom
panied by a bld bond In an amount
not less than 5% of the base bid.
Both a performance bond of 100%
and a payment bond of 50% will
be required in an amount of the
contract price. No form of
check will be acceptable for
bonds.
Bidding documents will not be
issued later than twenty-four (24)
hours prior to the time for re
ceiving proposals. No extension
of the bidding period will be
made. No oral, telephonic, tele
graphic or written modifications
of the proposal will be con
sidered. The Owner reserves
the right to accept or reject any

Payroll Taxes
Commissioner of Labor Sam
Caldwell has called on all Geor
gia firms who are delinquent In
their payroll taxes to bring their
accounts up to date. Mr. Cald
well said, "over 2,300 Georgia
firms are delinquent for the pay
roll taxes due under the Geor
gia Employment Security Law
and the amount is in excess of
$900,000. Although the total
amount represents less than
three percent of the annual tax
bill of over $35 million paid by
Georgia employers, and less than
two percent of the employers,
it is still significant and should
be paid.’’
The new Labor Commissioner
also reminded the delinquent
firms that, "the 1966 General
Assembly strengthened the delin
quent tax provision of the law by
providing for enforced collection
through a court injunction. I
believe this new legal process
should Improve the collection
effort and materially reduce the
delinquency.”
“The payment of all tax due
under the law allows the em
ployer who Is still in business
to receive full credit under fed
eral law and more important
improve his experience rating
record under the state law,”
Caldwell said.
"Even though all of this delin
quency has accumulated over the
past several years and many of
these firms are Inactive we are
going to make every effort to
collect this money,” the Com
missioner concluded.
