County, Georgia, and BILLY S.

ington, Newton County, Georgia,
respectfully shows:
1.
Petitioners desire for them
selves, their associates and suc
cessors, to be incorporated un
der the name of "NEWTON
ELECTRIC SUPPLY, INC.”.
2.
The object of said corporation
is pecuniary gain to itself and its
stockholders. The general nature
of the business to be transacted
by said corporation is the manu
facture, assembly, processing
and sale of electrical equipment
of all types, including but not
limited to switch boxes, fuse
boxes, circuit breakers, switch
boards, panelboards and allied
products, and plumbing supplies
of all types. It shall have all
the right, powers and privileges
incidental to corporations under
the laws of Georgia and to do all
acts necessary In the conduct of
the aforesaid business.

In addition, but not In limit
ation of, the general powers con
ferred by law, petitioners desire
for said corporation the power to
purchase, hold, and convey real
estate, and any personal property
as may be deemed advisable;
the power to enter Into any con
tract of guaranty, surety or en
dorsement in which It shall have
no direct interest; the power to
borrow money, issue bonds, pro
missory notes and other obligat
ions and evidence of indebt
edness, and to secure the same
by mortgage, pledge or other
wise. Petitioners desire that the
corporation be given the power
to engage In any and all types
of business activity or activities.

The maximum authorized cap
ital stock of the corporation shall
be fifteen hundred (1500)shares
of common stock with par value
of One Hundred ($100.00)Dollars.
5.
Petitioners further desire that
said corporation be vested with
all the rights and powers now
or hereafter given to do any and
' all things which may be needful
or proper in the operation of the
above described business, and
that said corporation have all of
the powers enumgc^ed in Si
ttons 22-m7 and 2^1^28, Geo
rgia Code Annotated, and such
powers as may hereafter be given
by law.
6.
The amount of capital with
which the corporation shall be
gin business shall be over $25,-
000.00.
7.
The corporation shall have its
principal office In Newton County,
Georgia, with the right to estab
lish additional offices elsewhere
within or without the State of
Georgia.
8.
. Petitioners desire that the cor
poration shall have an existence
of thirty-five (35) years with the
privilege of renewal of the char
ter, from time to time upon the
expiration of said period of 35
years.
9.
Petitioners further desire that
by-laws of the corporation shall
be adopted by the common stock
holders, and such by-laws shall
provide for the officers of the
corporation, the manner of their
selection, and such other rules
appropriate to by-laws which
have as their purpose the control
and management of the corpor
ation, Including provisions
whereby the by-laws may be
amended.
10.
Your petitioners herewith ex
hibit a certificate of the Secret
ary of the State of Georgia, as
provided by Section 22-1803,
Georgia Code Annotated.
WHEREFORE, petitioners
pray to be incorporated under
the name and style aforesaid
with all the rights, powers and
privileges and immunities here
in set forth, and such additional
rights, powers and privileges as
may be necessary, proper or In
cident to the conduct of the bus
iness aforesaid and as may be
Inherent In or allowed to like
corporations under the laws of
the State of Georgia as they now
exist or may hereafter exist.

COUNTY JUNIOR CHAMBER OF
COMMERCE, INCORPORATED,
a corporation of said State and
County, respectfully shows:

Petitioner was duly incorpora
ted under the laws of this State
by Order of this Court on the
27th day of May, 1957, and its
principal office is in said State
and County.
2.
Petitioner desires to amend
its charter by adding thereto as
Paragraph 9, the following:
"9.”
" This corporation shall not
carry on propaganda or other
wise attempt to Influence le
gislation, or participate in any
political campaign, and no part
of the net earnings of the cor
poration shall inure to the
benefit of any private share,
holder or member or Indivi
dual. In the event of dis
solution of this corporation,
any and all assets of the cor
poration shall be distributed
for charitable purposes as di
rected by the Board of Di
rectors, in accordance with
the purposes of the corporat
ion as set forth in Paragraph
6, above; and no part of such
assets shall inure to the bene
fit of any private share hold
er or member or individual.”

That said amendment has been
adopted and approved by the
members of this corporation as
provided by law, as shown by the
certificate of the Secretary, at
tached hereto as Exhibit "A”
and made a part hereof.
WHEREFORE, petitioner
prays that the Charter of this
corporation be amended as here
inabove set out, as provided by
law.
