1. Petitioners desire for th

period of thirty-five years, with
the privilege of renewal as pro

2. The principal office of the
Corporation shall be In Newton
County, Georgia, but petitioners
desire the privilege of establish
ing branch offices and places of
business elsewhere, as may be
determined by a majority vote
of the stockholders.
3. The purpose and object
of said Corporation is pecuniary
gain for itself and its stockhold
ers.
4. The general nature of the
business to be transacted and
conducted by said Corporation
shall be: To engage in the bus
iness of buying, selling, install
ing and repairing all types and
kinds of air conditioning and
heating eo.uipment and installing
all types of electrical wiring,
including commercial, industrial
and residential; to buy, sell and
lease property for the purpose
of carrying on said business;
and to contract and sub-contract
on the above.
5. Petitioners desire that
said Corporation be vested with
all the rights, privileges and po
wers now or hereinafter given
or granted to do any and all
things which may be needful or
proper in the operation of the
above described business, and
that said Corporation have all
the powers, as provided in Sec
tion 22-1827 and 22-1828 of the
Code of Georgia of 1933, as
amended.
6. The authorized capital
stock of said Corporation shall
be Fifty Thousand Dollars ($50,-
000.00), divided Into fifty thou
sand shares of common stock
of the par value of One Dollar
($1.00) per share. Each share
of stock shall be entitled to one

7. The capital with which the
Corporation will begin business
with shall not be less than Eight
Thousand ($8,000.00) Dollars.

lars. The corporation shall be
authorized to issue additional
shares up to the maximum sum
above stated, and thereafter,
from time to time, to reduce
the amount of capital outstanding, 1
but not below the mini mum above
stated, and all this, upon a major- 1
ity vote of the Board of Direc
tors, approved by a two-thirds 1
majority vote of the stockhold
ers.

In addition to all other powers,
said corporation shall have the

The control and management
of said corporation, including

by the by-laws to be duly adopt
ed by the stockholders, such by
laws not to be inconsistent here
with or the laws applicable here
