holders so desire in such amount
as by them may be deemed
necessary; to act as agents for
other corporations and persons,
and to employ other persons and
cor p or ations to act as agents for
this corporation: and to have all
other powers, rights and privi¬
leges not herein specifically
prayed for that may be necessary
to carryout the purpose of this
corporation,
Eighth. Petitioners pray that
said corporation be empowered to
sue and be sued: to plead and be
empleaded: to have and to use a
corporate seal: to make such by-

pedient for the government of
said corporation: to establish such
rules and regulations as to the
election of officers of said corpora¬
tion; providing the time and
manner of such election and the

corporation shall be the president

ing of not less than seven of the
holders of common stock.
Ninth. Petitioners de ire that
any one or all of said officers may
also be eligible for membership on
the board of directors if the stock¬
holders may so desire.

that they may be granted an order
incorporating them as aforesaid
with all the rights, powers, and
privileges herein rights prayed for, and
such other powers, and
privileges as the may be necessary and
incident to purposes of this
corpoaation, laws not contrary to the

Brick Building Will
Displace Dempsey
The Hotel Dempsey, one of the
oldest land marks in the city, has
now passed into oblivion, for
week the frame work was torn
way and Little and Phillips, con-
tractors, have begun work on a
block of brick stores.
The Dempsey, for years . nd
years was the leading hotc-l of the
city, but with the recent advent of
more modern houses, it was forced
into the background.
A short while back, the second
story was destroyed by lire, and
the owner, of the property. Dr.
Griffin, of Valdo.ii, several weeks
ago decided upon the course he is
now pursuing — the construction
of a modern brick building on the
old site.
Dr. Griffin’s decision is consid-
ered by everyone as being a very
wise one, and the, new building
will be a great improvement to
East Pine.
J. G. Knapp And
Family Left Sunday
Ex-Mayor James G. Knapp and
family left Fitzgerald last Sun¬
day for Kimberly. Nev.. where he
expects to reside permanently.
He has not disposed of his proper¬
ty here and does not intend to dis¬
pose of his extensive holdings in
Fitzgerald dirt or other interests.
He will remain as a director of the
Third ^National Bank, of which he
is interested as a stock holder as
well as other corporation. The
Leader as well as the balance of
the citizens of Fitzgerald regret
exceedingly to have Mr. Knapp
and his excellent family leave
Fitzgerald, but we wish them the
best of luck in their new field and
hope for a speedy return. Mr.
Knapp will not only be missed by
his large circle of friends and
business associates but the city at
large will miss him. He is a valu¬
ed and enterprising citizen and one
of our responsible and progressive
business men. who has made a suc¬
cess of his undertakings. The
Leader is glad to commend him to
the business people of Kimberly.
