PETITION FOR CHARTER
GEORGIA—Ben Hill County.
To the Superior Court of said coun
ty:
‘the petition of J. E. Bishop, G. E.
Davig and Eldridge Cutts, of said
county, respectfully shows:
1. They desire for themselves,
their associates and successors to be in
corporated under the name of Bishop
Automatic Fire Alarm Company, for
the period of tyenty years.
2. The principal offce of said cor
poration shall be in the city of Fitz
gerald, Ben Hill County, Georgia, but
petitioners desire the right to estab
lish branch offices in said state or
elsewhere whenever a majority of the
stockholders shall so determine.
3. The object of said corporation
is pecuniary gain to itself and its
stockholdrs. ”
4. ‘The business of said corporation
shall be to manufacture, buy, sell
lease, rent, of otherwise deal in auto
matic fire alarms, and other f{ire
alarms, automatic or electrical de
vices, appliances, novelties, patent
rights or accessories and do whatever
else is deemed necessary or ipcidenmt
to such business.
5. The capital stock of said cor
poration shaiit be seven thousand five
hundred dollars ($7,500.00) divided in
shares of one hundred dollars each,
with the privilege of increasing the
same from time to time up to fi:ty
thousand dollars. Petitioners desire
the right to have such stock paid in
money or property at a reasonable
valuation. More than ten per cent of
said capital has been paid in.
6. Petitoners desire for said cor
poration the right to sue and be sued,
to plead and be impleaded, to have and
use a common seal, to make all neces
sary by-laws and regulations and to do
all other things that may be necessary
for the proper carrying on of said
business. including the right to buy,
own, hold, and sell real and personal
property. suitable to the purposes of
the corporation, to execute notes and
bonds as evidence of indebtedness in
curred in the conduct of the affairs
of the corporation and to secure the
same by mortgage, security deed or
other form of lien under existing laws.
They desire for said corporation pow
er and authority to apply for and ac
cept amendments, either of form or ot
substance, to its charter by vote of a
majority of its stock; also to have
authority to wind uyp its affairs, liqui
date and discontinue, its business at
any time it may determine to do so
by a vote of two-thirds of its stock
outstanding at the fime
7. They desire for said corpora
tion the right of renewal when and as
provided by the laws of Georgia, and
that it have all such otuer rights, pow
ers, privileges and imunities as are
incident to like corporations or per
missable under the laws of Georgia.
Wherefore, petitioners pray to be
incorporated under the name and style
aforesaid, with powers, privileges and
immunities herein set forth and as
are now or may hereafter be allowed !

terested in the Fitzgerald Base
Ball Team for this year beg to
say that practically all of the
men for the team have been
signed and Fitzgerald will be
well rapresented on the diamond
during the coming season. For
good reasons the names of those
engaged is being witheld, but
will be known in plenty of time
for all to get a line on what to
expect. :
~ As to the financial end of the
team it might be well to say that
the time has arrived for the pay
ment of two thirds of your stock
and I trust those who have sub
’scribed will give the matter their
very early athention. Also if
there are those who did not sub
seribe, and wish to help out, it
will be in order for you to ad
vise us how many shares of
stock you will take at $lO.OO
each. We really need about
$300.00 more to be entirely on
the safe side. The Grand Stand
and rebuilding of the fence is
taking several hundred dollars
and then we want a surplus for
emergencies. Kindly advise
some of the Directors just how
much ycu will help and we will
call on you for the money within
the next thirty days.
