Evans, of the Borough of Essex Falls, State of New Jersey; S. W. Thompson, of the City of Jamestown and State of New York; W. J. Weinman, of the City of Cartersville and State of Georgia, re spectfully shows: 1- That they desire for themselves, their associates and successors, to be incorporated and made a body politic for the period of twenty years, with the privilege of Yenewal at the end of that time, under the name and style of THOMPSON-WEINMAN COMPANY. 2. Th eprincipal office of said shall be in the City of Cartersville, State and County aforesaid, but the petitioners desire the right to estab lish branch offices within this State, or elsewhere, whenever the holders of a majority of the stock may so deter mine, or it may be so determined by a majority of its directors. 8. (C) The building, using and operat ing of any factories, machinery, wa ! ter power, railroads, operated with either steam, electric or gas power, and any tracks, switches, tramways, aerial tramways, dirt roads, pipe lines, mud ponds, and all suitable con nections therewith to and from any works, mines, operations, mills or es tablishments necessary, usual or con venient for said corporation. J (D) The erection, operation and maintenance of any establishment nec essary for the utilization, directly or indirectly, or any raw material ob tained from any property owned, leased, possessed or enjoyed by said corporation, and the manufacturing of any articles from any mineral, metal lic or fossil substance, and the manu facturing of electricity and conveying the same to their own mills, mines or property, including the right to sell the same to private individuals, firms or corporations or to the public, in eluding the right of erecting, using ; and operating all necessary, usual or l convenient transformers, conductors, j poles and wires for the purpose of properly conveying electrical current or power to the place or places of its consumption. (E) The selling and disposing of any of the products of the works or factories of said corporation or other corporations. (F) The buying and selling of goods, wares and merchandise of any form or kind, at retail or wholesale, for cash or credit. (G) The purchasing, using, selling and disposing of such patents and pat ent rights, formulas and processes as it may deem advisable in any one or more of the businesses of said cor poration. (H) The purchasing, selling and hypothecating of stocks, bonds, de bentures and other securities, issued by any corporation, including its own, private or municipal, State or nation al, or natural persons. (I) The holding, purchasing, mort gaging or conveying real or personal property in any State, territory or colony of the United States, or in any foreign country or place. 5. The capital stock of said corpora tion shall be $600,000, with the privi lege of increasing same to the sum of $1,000,000 by majority vote of the stcokholders, said stock to be divided into shares of SIOO.OO each. Ten per of the capital to be employed by them will be actually paid ifi before said corporation commences to exer cise any of the privileges herein prayed for. Petitioners desire the right to have the subscriptions to said capital stock paid in money or Prop erty to be taken at a fair valuation. 6. Petitioner aes ij e the right to sue and to h e sue( j ( to plead and to be im peded, to have and use a common seal, to make all necessary by-laws and regulations, and to do all other things that may be necessary, usual or convenient for the successful car- rying on of &aid business, including the right to execute notes and bonds as evidence of indebtedness incurred, or which may be incurred in the con duct of the affairs of the corporation, and to secure the same in any way deemed best by them. 7. They desire for said corporation the proper authority to apply for and ac cept amendments to its charter of either form or substance by a vote of the majority of its stock outstanding at the time. 8. Petitioners desire that no personal liability shall attach to any of the ‘ stockholders of said corporation after | payment by him or them to said cor poration, either in property or in cash, of all their subscriptions to the capi i lal stock. 9. They desire for the said corpora tion the right of renewal when and as provided by the laws of Georgia, and that it have all such other rights, powers, privileges and immunities as are incident to like corporations or permissible under the laws of Georgia. Wherefore, petitioners pray to be incorporated under the name and style aforesaid with the powers, privileges and immunities herein set forth, and as are now, or may hereafter be, al- ter under the laws of Georgia.
