The petition of the Planters Bank
of Americus, a banking corporation
of this state having its place of bus
iness in the City of Americus, Sumter
county,. Georgia,
eth:
That petitioner was granted a
charter, and made a body politic un
der the corporate name of the Plan
ters Bank of Americus for a period
of thirty years by an Act of the Gen
eral Assembly of this state approved
"ier tilth, 1891, and that by the
of the charter so granted to it,

on October 13th, 1921.
Petitioner shows that its original
charter has been amended only so as
to allow the cashier to be elected from
the board of directors.
Petitioner shows that at a meeting
of Its board of directors pn Mav 20th.
1921, at which said mdeting a quo
rum was present, a call was issued for
a meeting of the stock-holders for
|June ?, 1921. for the purpose of
passing n resolution for renewal of
petitioner's charter and that written;
notice of such meeting was mailed
to each of petitioners stock-holders
on May 20th, 1921, as they appeared
of record on petitioner's stock book.
Petitioner shows that at the stock
holders meeting held in accordance
with the notice aforesaid more than
two-thirds of the capital stock of
petitioner was represented and that
at said meeting of the stock-hold
ers by the unanimuos vote of all
of the stock represented a resolu
tion was passed that petitioner's
charter be renewed for a period of
thirty years, a certified copy of which
said resolution as it appears on the
minutes of the meeting is hereto at
tached and made a part hereof.
Now, therefore, comes the "lan
tern Bank of Americus, within the
time allowed by law and In accord
ance with the said resolution and
the laws of this state made and pro
vided and makes this application for
a renewal of its original charter,
and the said amendment thereto, to
the Honorable Secretary of State of
the State of Georgia, and prays that
its charter be renewed for a period of
thirty (30) years from October 13th
1921, with all of the privileges,
rights, powers and immunities as pro
vided in itvsaid original charter and
the amendnlint thereto, together with
such rights, powers, privileges and
immunities to which it may be enti
tled under the laws of this state made
and provided.
Petitioner further prays that the
necessary certificates for publication
of this petition and transmission to

shows:
1. That they desire for them
selves, their associates, successors and
assigns to become incorporated and
made a body politic under the name
anil style of the Americus Golf Club
for n period of twent years, w'th the
privilege of renewal as provided by
the laws of Georgia.
II. The principal office of said
corporation shall be in the City of
Americus, Sumter County, Georgia,
and its club house and grounds in said
county of Sumter.
III. The object of said corporation
shall be to promote golf, tennis, swim
ming and other outdoor and athletic
sports, and the social life uf the
members of the club..
IV. The capital stock of said
corporation shall be live thousand
($6,600.00) dollars, to be divided in
to fifty shares of the par value of
one hundred $(100.00) dollars each,
with the privilege of increasing said
capital ato?!: from time to time by a
majority 'vote of the stockholders,
not to exceed ten thousand ($10,-
000.00) dollars, each share to be of
the, par value of one hundred
($100.0Q) dollars. Said capital stock
has been subscribed for and ten per
cent, of said capital .stock has been
paid in. All of said stock shall be
common stock.
V, Petitioners desire that said
corporation shall have the right to
sue and be sued, to plead and-be im
pleaded, to have and use a common
seal, to make all necessary by-laws
and rules and regulations, and to do
all other things that may be neces
sary for the.successful carrying on
of the business of said corporation,
including the right to buy, hold, own
and sell and convey real estate and
personal property suitable to the pur
poses of the corporation, and to exe
cute notes, and bonds as evidence of
indebtedness incurred, or which may
be incurred, in the conduct of the af
fairs of the corporation and to so-
cure the same by mortgage, deed to
secure debt, or other form of lies
under the laws of Georgia.
VI. That said corporation, by
action of its stockholders who shall
be regular members in good standing,
shall have power ond authority ti
adopt a constitution and by-laws pro
viding for and fixing the kinds of
membership in the said club, the
maximum number of members in
each class of membership, the quali
fications of members, the method of
electing members, the amount of
membership fees, the amount of
monthly dues to be paid by each
member, for the expulsion c-f mem
bers, to make rules and regulations
for the control of grounds, buildings
and property of the club and the
conduct and the behavior of mem
bers, visitors and all persons while
on the premises of the club, and to
provide how the courtesies of the
club may be extended to persons not
members of the club.
VII. The capital stock of said
corporation shall be owned by the
regular members of sai-1 club in
good standing and each regular mem
ber shall own at least one whole share
of said stock and each member shall
have only one vote in stockholders’
meetings.
VIII. Shores of stock owncil and
held by a regular member, who re
signs his membership in the club,
dies, or is expelled from the member
ship of the club, may be sold, trans
ferred or assigned to no one, except
a regular member of the club, and
such sale, transfer or assignment
ahall be subject to the approval of
the Board of Directors of the corpor
ation. and each regular member, in
cluding charter members and mem
bers elected after the adoption of the
charter, accepts this limitation of his
right to sell, transfer or assign his
share or shares of stock as a port of
the consideration and as a condition
precedent to his qualification and
right to become a stockholder in the
corporation and a member of the
club. Anv sale of the shares of stock
of this corporation made except as
herein provided shall be void. Where

IX. In addition to the general
power and authority to expel mem
bers for cause after conviction by
the members of the board of direc
tors as may be provided by the con
stitution and by-laws, the following
is specially provided; No member or
guest shall be allowed on the prem
ises of the club, or entitled to its
privileges, while under the influence
of intoxicating liquors, or any other
intoxicant; no member or guest shall
carry or cause to be carried on the
premises of the club intoxicating
liquors or other intoxicants; In
member or guest shall engage in any
game of chance, generally known as
gambling, or in any act or thing that
would be in violation of the penal
law,- of the State of Georgia; no
member or guest shall be guilty of
immoral practices of any kind on the
premises of the club; no member or
guest shall use coarse, abusive or
obscene langugue, or engage in un-
gcntlemanlv conduct on the premises
of the club; any member found guilty
of violating 'any one of the forego
ing provisions of this article shall
upon trial and conviction by the
Board of Directors forfeit his mem
bership in'the club and his initiation
fee, and said conviction shall operate
automatically to expej said .member
from this club, and he shall not be
eligible to re-election to membership
in the club; any guest violating any
of the foregoing provisions of this
article, on trial and conviction by the
directors, shall not be entitled to the
courtesies of the club and any cour
tesy card issued to him shall be
withdrawn or cancelled and the cour
tesies of the club shall not be again
extended to such guest.
X. That the corporation shall
have all other rights, powers, au
thority, privileges and immunities as
are incident to like corporations or
permissible under the laws of Gcor'-
gia.
Wherefore, petitioners pray to be
incorporated under the name and
style of the Americus Golf Club with
the powers, privileges and immunities
herein set forth and as are now, or
may hereafter be allowed corpora
tions of similar character under the
laws of Georgia.
