PETITION FOR CHARTER
Georgia. Walker County.
To the Superior Court of paid County:
The petition of F. H. Kirby, J. M.
Tate and Norman Shattuck, all of gaid
county, respectfully show:
1. That they desire for themselves,
their associates and successors, to be
incorporated and made a body politic
under the name and style of Kirby
Trading Company, for the period of
twenty years.
2. The principal office of said com
pany shall be in the City of LaFay
ette, State and county aforesaid, but
petitioners desire the right to estab
lish branch offices, within this Btate
or elsewhere, whenever the holders of
a majority of the stock may so deter
mine.
3. The object of said corporation is
pecuniary gain to itself and its share
holders.
4. The business to be carried on by
said corporation is the buying and
selling of hardware. automobiles,
trucks, tractors, live stock, of all
kinds, sawmill outfits complete, the
buying and selling of timber, with the
right to cut and market the same; if
they so desire: the buying and selling
of coal, or mineral interest, also min
ing of same, if they so desire, the
buying and selling of real estate, the
buying and selling of gas and oil,
cotton and cotton seed; also the right
to buy, sell or hold stock in other cor
porations. Also the right to buy and
sell feed, to buy, use and operate a
corn mill, and the right to acquire
and use a cotton gin or ging; and to
maintain a general trading bqginess,
with the right to buy and sell, or
trade in any commodities or articles
of trade which they may desire.
5. The capital stock of said corpo
ration shall be $100,000.00, with the
privilege of increasing same to the
sum of $200,000.00, b ya majority
vote of the stockholders, said stock to
be divided into shares of SIOO.OO each.
Ten per cent of the amount of capi
tal to be employed by them has been
actually paid in. Petitioners desire
the right to have the subscriptions to
said capital stock paid in money or
property, to be taken at a fair valu
ation.
Petitioners further desire that they
at any time, by a majority vote of the
stockholders of said corporation, shall
have the privilege to issue preferred
stock, the rights of the holders of the
preferred stock shall be set forth and
determined by the by-laws to be adopt
ed by the corporation. Such parts of
said by-laws, as relate to the rights
of the preferred stockholders shall
not thereafter be altered or amended
without the unanimous vote of the
said preferred stockholders.
6. Petitioners desire the right to
sue and be sued, to plead and be im
pleaded, to have and use a common
seal, to make all necessary by-laws
and regulations, and to do all other
things that may be necessary for the
successful carrying on of said busi
ness, including the right to buy, hold
and sell real estate, and personal
property suitable to the purposes of
the corporation, and to execute notes
and bonds as evidence of indebted
ness incurred, or which may be incur
red, in the conduct of the affairs of
the corporation and to secure the
same by mortgage, security deed, or
other form of lien, under existing
laws.
7. They desire for said corporation,
the power and authority to apply for
and accept amendments to its charter
of either form or substance by a vote
of a majority of its stock outstanding
at the time. They also ask authority
for said corporation to wind up its af
fairs, liquidate and discontinue its
business at any time it may determine
to do so by a vote of two thirds of its
stock outstanding at the time.
8. They desire for said corporation
the right of renewal when and as pro
vided by the laws of Georgia, and that
it have all such other rights, powers,
privileges, and immunities as are inci
dent to like incorporations or permis
sible under the laws of Georgia.
Wherefore, petitioners pray to be
incorporated under the name and style
aforesaid with the powers, privileges,
and immunities herein set forth, and
as are now. or may hereafter be al
lowed a corporaton of similar charac
ter under the laws of Georgia.
