To the Honorable George S.
Carpenter, Judge of the Superior
Court, and to the Superior Court
of said County:
James R. Potash, William A.
Potash, Clarence E. Potash, Sam
‘ E. Carnahan and John Wall, here
inafter called applicants, bring this
application for the granting of a
charter for a private corporation,
and show the court the following
facts:
1. They desire for themselves,
their associates and successors, to
be incorporated under the name of
Alexander Potash and Sons, Inc.,
Pipeline Division. The principal
office and place of business of said
corporation shall be located at Ir
winton, Wilkinson County, Geor
gia, with the privilege of establish
ing branch offices and places of
business in such other places as
may be determined.
2. The applicants are residents
of, and their post office addresses
are, to wit:
James R. Potash, Oakland, New
Jersey.
William A. Potash, Oakland,
New Jersey.
Clarence E. Potash, Oakland,
New Jersey.
Sam E. Carnahan, Lake Charles,
Louisiana.
John Wall, Allensville, Ken
tucky.
3. The purpose and object of said
corporation is pecuniary gain and
profit for its stockholders. The
general nature of the business to
be transacted is, and the corporate
powers desired are:
(a) The installation and construc
tion of gas transmission and dis
tribution systems;
(b) The installation and con
struction of municipal and private
water systems and filtering plants;
(c) The installation and con
struction of sanitary sewer systems
and disposal plants;
(d) The installation and con
struction of storm drain systems;
(e) The installation and con
struction of products transmission
systems;
(f) To operate earth moving
equipment and to engage in road
building and construction;
(g) To engage in any kind of
construction contracts;
(h) To prepare plans, blue prints,
and engineering data of any kind
to be used in construction con
tracts;
(i) To sublet to other contractors
any part or all of any contract en
tered into;
(j) To purchase, manufacture
and process any material used in
any contract;
(k) To buy and sell, acquire, own,
hold, rent, lease, transfer and as
sign, equipment needed in the
business engaged in, personal pro
perty of every kind, and real es
tate, and deal with the same in
any way and manner that may be
deemed expedient;
(1) To have all the powers and
enjoy all the privileges enumer
ated in Sections 22-1827 and 22-
1870 of the Code of Georgia and
all the other powers and privileges
enumerated in Chapters 22-18 and
22-19 of said Code and all the pow
ers and privileges enumerated
therein are made a part hereof to
the same extent as if the same
were quoted herein;
4. The time for which said cor
poration is to have existence is
Thirty-five (35) years.
5. The amount of the capital
with which the corporation will
begin business shall be Twenty
five Thousand ($25,000.00) Dol
lars, either in cash or other assets
or a combination of the two.
6. The capital stock of said cor
poration shall be divided into One
Hundred (100) shares, without

nominal or par value, each share
of which shall stand upon equal
ity with every other share, togeth
er with the right to issue the same
to the organizers or their designat
ed assigns in exchange for cash for
the capital stock, or in exchange
for equipment, material, and any
other contracts, useful and neces
sary in the prosecution of the com
pany’s business or for such other
property, tangible or intangible,
as may be deemed Accessary or ex
pedient by a majority of the
stockholders at their meeting for
organization, and to have all the
powers with reference thereto
enumerated in Section 22-1830 of
the Code of Georgia:
7. Applicants pray that the.lia
bility of stockholders in said cor
poration be confined to such
amount as may be due by the par
ticular stockholder for the pur
chase price of the stock subscrib
ed for by each.
Wherefore, applicants pray to be
incorporated under the name and
style aforesaid, with all the rights
and privileges herein set out, and
such additional powers and privi
leges as may be necessary, proper
or incident to the conduct of the
business for which applicants are
asking incorporation, and as may
be allowed like corporations under
the laws of Georgia as they now or
may hereafter exist.

The foregoing petition of James
R. Potash, William A. Potash, Clar
ence E. Potash, Sam E. Carnahan
and John Wall to be incorporated
under the name of Alexander Pot
ash and Sons, Inc., Pipe Line Di
vision read and considered. It ap
pearing that said petition is with
in the purview and intention of the
laws applicable thereto, and that
all of said laws have been fully
complied with, including the pre
sentation of a certificate from the
Secretary of State as required by
Section 22-1803 of the Code of
Georgia, Annotated;
It is hereby ordered, adjudged
and decreed that all the prayers
of said petition are granted and
said applicants and their associates,
successors and assigns are hereby
incorporated and made a body
politic under the name and style of
Alexander Potash and Sons, Inc.,
Pipe Line Division for and during
the period of Thirty-five (35)
years, with the privilege of re
newal at the expiration of that
time according to the laws of Geor
gia, and that said corporation is
hereby granted and vested with all
the rights and privileges mentioned
in said petition.

regular forms, which will be supplied
by the undersigned, and may be
obtained by a payment, in advance ol
$5.00 for each proposal issued. When ,
the proposal is submitted, it must be
accompanied by a cei tided check,
cashier’s check, negotiable United
Stales Bonds, or other acceptable
security in tne amount of ssooo.oo,and

Road Construction,’’ County and
Number, and show the time of opening
as advertised. Check of the low bidder
will be cashed and all other checks will
be returned as soon as the contract is
awarded, unless it is deemed advisable
by the State Highway Department to
