COUNTY:
The petition of “CLAYTON COUNTY
COMMUNITY’ CHEST, INC.”, herein
after called the applicant, shows the fol
lowing facts:
1. The principal office of said corpora
tion is located in said county, and said
corporation was incorporated under the
“Corporation Act of 1938” on the 21st
day of December. 1954.
2. This petition is brought to amend
the Charter of said corporation in the
particular hereinafter set out, this pro
posed amendment having been favorably
voted for and consented to by all of the
members of said corporation at a regular
meeting of said members, as shown by
a certificate of the Executive Secretary
of said corporation attached hereto as
“Exhibit A” and made a part hereof.
3. The particular in which said charter
is hereby sought to be amended is as
follows, to wit: Petitioner desires to rent,
buy, lease, hold, own. sell, and other
wise dispose of all kinds of property,
both real and personal, including the
right to borrow money and to secure the
payment thereof by mortgage, deed or
other instrument of conveyance and se
curity.
WHEREFORE, petitioner prays that
the Charter of said corporation be
amended as hereinabove set out upon a
due compliance with the law in such
cases made and provided.

The foregoing petition of “CLAYTON

amend its charter in the particulars
therein set out, read and considered. It
appearing that said petition is made is
accordance with Chapter 22-18 of the
Georgia Code, and that the requirements
of law in such cases provided have been
fully complied with:

JOHN L. WATSON, and HAROLD E.
SMITH, hereinafter called petitioners re
spectfully show-:

Petitioners desire for themselves; their
associates; and successors to be incor
porated in the name of LAKE SPIVEY
PARKS. INC . for a term of thirty-five
years will all privileges of renewal.
2.
The general nature of the business to
be conducted is that of engaging in the
business of owning, operating and con
ducting a recreational area or areas; to
rent and sell certain privileges including
but not limited to the right to picnic,
swim, hunt or boat upon any premise
now owned or to be purchased or
leased by this enity; to engage in the
restaurant business or any related busi
ness, and to do any other thing or things
which may in any wise be considered
recreational, healthful, or promotional to
health or recreation; to buy. sell, lease,
operated, repair, maintain, mortgage or
encumber, or otherwise deal in real or
personal property of any kind or char
acter; to buy, sell. or issue stocks, bonds,
mortgages and other commercial paper
for itself or as agent, and to hold and
acquire stock in other firms or corpora
tions in addition to its own; to lend or
borrow money and to pledge its assets
to secure the same; and to do any and
all legal things necessary for the success
ful conduct of such business for pecu
niary gain to its stockholders.

The minimum paid in capital stock of
the corporation shall be $300.00, divided
into 3 shares of common stock of the
par value of SIOO.OO per share, and peti
tioners desire the right to increase said
capital stock at any time upon a ma
jority vote of the stock of the stockhold
ers present at such vote, whether they
be present in person or by proxy, up to
1000 shares, such increase to be either
common or a preferred stock under such
rights and restrictions as shall be decided
by a majority vote of the stock of the
stockholders present at such vote,
whether they be present in person or by
proxy, authorizing the same. The capital
stock may be decreased likewise but not
below the minimum stated.

The Nar^es and post office addresses
of the incorporators are as follows;
a. Edwin S. Kemp, whose post office
address is. 106 E. Mill Street, Jonesboro,
Georgia;
b. John L. Watson, whose post office
address is, 3162 Oakdale Road, Hape
ville, Georgia; and,
c, Harold E. Smith, whose post office

Building, Atlanta 8, Georgia.
The principal office of the corporation
shall be in Clayton County, Georgia, and
petitioners desire the right to establish
branches and offices elsewhere in the
State of Georgia, if desired.

Petitioners desire for the corporation
all of the rights, powers, privileges, and
immunities now or hereafter accorded to
similar corporations under the laws of
Georgia.
WHEREFORE, petitioners pray to be
incorporated under the name and style
aforesaid for the term aforesaid with all
the powers, privileges and immunities
praved for and such as are now or here
after accorded to similar corporations
under the laws of Georgia.

The petition of Jonesboro Industries.
Inc., respectfully shows to the Court as
follows:
1.
That it is a corporation that w 7 as duly
chartered in this Court on December 30,
1944
2.
That petitioner now desires to surren
der its charter and franchise to the State
of Georgia and be dissolved as a corpora
tion.
3.
Such dissolution may be had without
injustice to any stockholder or to any
person having any claim or demand of
any character against said corporation.
4.
That it has arranged or provided for
the payment of every debt, demand or
obligation owed by it to any person, and
for the distribution of its assets among
its stockholders.
5.
Pursuant to resolution of the Board of
Directors recommending dissolution, all
of the stockholders of petitioner, waiving
call and notice, met on April 16, 1959,
and unanimously adopted a resolution
providing for the dissolution of petition
er and the surrender of its charter to the
State according to law. Copy of that reso
lution, certified by petitioner’s Secretary,
is attached hereto as Exhibit “A” and
made a part hereof.
WHEREFORE, Petitioner prays that an
Order be entered accepting the surren
der of its Charter and dissolving it as a

I am the secretary of Jonesboro Indus
tries, Inc. a corporation organized and
existing under the laws of the State of
Georgia, with its principal place of busi
ness in Fulton County, Georgia, and that
at a special meeting of the stockholders
of this corporation, held on April 16. 1959,
at which meeting all of the stockholders
were present and waived all requirements
of call and notice, the following resolu
tion was unanimously adopted.
RESOLVED: That the Charter of Jones
boro Industries. Inc., be surrendered to
the State of Georgia and that the cor
poration be dissolved. The officers of the
corporation are hereby directed to take
necessary and proper steps and proceed
ings to accomplish this purpose in the
manner provided for by law, and to do
any or all other things necessary to such
an end.

To All the Good People of Clayton County:
I note that some of you feel that we are being misled. It seems
the other way around.
We are being told by some of the county officials that law en
forcement without legal controlled beer tax is costing much less
than before. The amount of law enforcement will run more for
1959 than for the same period of 1958.
In as much as some of our county officials know the facts
and figures why not let all the people know the amounts. I feel
sure that the people who are being misled are honest in their be
lief and believe, what they are told.
Let me say that it is not the quantity of law enforcement that
counts, it is the quality.
I am sure the people who are asking your help in having legal
law and legal control would welcome your help in having the
above law enforcement.
I also note that some of the good people are being led to believe
that our county tax and the growth of Clayton County will offset
any and all revenue received from Legal Controlled Beer.
Please do not overlook the fact that it cost our county a lot
more to grow than they get out of the extra tax. If not we could
have some of the things we need without asking the taxpayers
to pay for same.
Why not ask yourself about these things and check the rec
ords before making your decision?

I would like to give my point
of view on the reason why our
County needs a new jail.
Mr. R. S. (Bob) Mundy, my late
husband, was Deputy Sheriff for
Clayton County for a number of
years and from 1931 to 1938, a
total of seven years, we lived in
the downstairs living quarters
of the jail, and looked after the
prisoners that were brought
there.
The Jail at that time was in
bad condition, but a lot of re
pair work was done on it during
the time we lived there, but it
still was considered inadequate.
The plumbing and heating was
constantly giving trouble, nor
was there enough room at that
time to house all the prisoners.
Clayton County is considered
one of the fastest growing Coun
ties in the United States and it
is a disgrace to our County to
have a pre-historic jail like we
have now.
There is no facilities for juve
niles, and I believe our County
should provide this space for
them by building a new Jail.
I sincerely hope that the vot
ers of Clayton County will pass
this bond issue so we can have
an adequate jail for human be
ings.

The issue is for package beer
only, with consumption on the
premises prohibited by law. Pro
ponents say the availability of
beer would virtually eliminate
the sale of domestic wine in the
county. Domestic wine is sold
legally in Clayton.
On the jail bond issue Sheriff
Dickson pointed out this week
that plans for the new jail in
cluded a first floor of 8,029 square
feet, with 6,000 feet of space for
juvenile detention. The rest of
this space would include offices,
heating, food storage, laundry,
etc.
The same space on the second
floor would be for adult prison
ers.
The old jail, in addition to all
of its other shortcomings, is
deemed a health hazard.
Sheriff Dickson urges all citi
zens to give this matter thought
ful consideration and to vote
bonds for a new jail, make seg
regation possible once again and
provide segregated quarters for
juveniles.
