ter by striking therefrom Paragraph 6 in
its entirety, and inserting in lieu thereof
the following: ‘
“Paragraph 6. The maximum nuthnrizcd‘
capital stock of the corporation shall be

Conversion Rights. Class B stock, as
a class, shall at any time ana trom time
to time be convertible to Class A shares |

shares issued on conversion of Class B
shares equal to the total number of Class
A shares sold for cash. The number of
Class B shares so converted by any par
ticular holder of Class B shares may be
determined by agreement among the

convert Class B shares to Class A shares
shall be pro rata as among holders of
Class B shares.
Prior to this amendment, the enth‘e!
outstanding capital stock of the corpora
tion consisted of 300 shares of common |

common stock to 60,000 shares of Class
B common stock, so that each share of

The business to be transacted shall be

oil and products used for motor fuel or
lubrication, all manner of accessories and
appliances used on_ motor vehicles of
every description, the servicing, lubri
cating, wuhlni. polishing and storing
of motor vehicles; and engafimg in the

parking lot and automobile servicing
business, including the storage of cars,
automobiles, trucks and other vehicles,
the servicing, repairing, towing and ren
dering any and all manner and kind of
services in respect to conducting a gen

doing any and all things and acts inci
dental, usual and necessary in conducting

(a) The maximum number of shares of
stock shall be 1,000 shares of common
smk with a par value of SIOO.OO per
share.
(b) The corporation shall begin busi
ness with not less than $1,000.00 paid in
capital. -
The corgoration shall have an exis
tence of thirty-five (35) years, with the
!privuege of charter 6renewal.
The princi{)al office of the corpora
tion shall first be located in Clayton
County, Georgia, with the privilege of
later removing same to other locations
in the State and with the privilege of
establishing branch offices and business
places both within and without the State.
WHEREFORE, petitioners pray incor
poration under said name and in the

the rights, powers, privileges and im
