GLYNDON PRUETT, and MARVIN
MILLER hereinafter called petitioners,
respectfully show to the Court;
That petitioners desire, for themselves,
their successors, and assigns to be in
corporated, as a body politic, under the
name and style of:
“the Seacrest company, inc.” ;

property, life interests, reversions, or
other securities or investments for
money and all transactions and negotia
tions on commissions or otherwise
relating to such business; and to ad
vance or negotiate the advance of money
at interest on securities, or otherwise;
and to carry on the business of Dealer
or Limited Dealer in slock and share
brokers. land, estate, and mortgage
agents and brokers in all branches; fur
ther, to buy and sell promissory notes,
mortgages, and other forms of indebted
ness having realty or personalty as
collateral security to purchase, hold,
sell, assign, transfer, mortgage, pledge or ,
otherwise acquire and dispose of the

tions; exercising all rights of owner
ship in stock; and any and all other
kinds, types and nature of business re
lated, incident to, or arising out of the
principal business of the corporation

all things necessary to effect the purpose
and objectives that are required in this
type of business as above generally de
scribed, including, but not limited to,
the buying, selling, dealing in and with
all types of hardware, chemicals, paints,
etc.; to buy, hold for investment, sell,
lease, rent and otherwise deal in and
with property of every kind and descrip
tion, either real or personal; to act as
agent, factory representative, and gen
erally to manage any and all business
negotiations and transactions necessary
to be done within the United States for
businesses, concerns or corporations lo
cated within foreign countries where
such action is not prohibited by law.
The capital stock of the corporation
shall be Fifty Thousand Dollars ($50.-
000.00), divided into Fifty Thousand
(50,0001 Shares of Common Stock, the
par value of One Dollar ($1.00) per
share. Stock in the corporation may be
issued in whole or fractional shares, and
for money, property or service, or a
combination of the same, or any other
thing of value taken at a fair and rea
sonable valuation.

The corporation shall have the power
to ci eate and issue rights or options
entitling holders thereof to purchase
from said corporation shares of its
capital stock upon such terms and at
such times and at such prices as pro
vided bv the Board of Directors of said
corporation.
The corporation shall have the power
to issue stock of the corporation in con
formity with, and under the provisions
of. Section 1244 of the United States In
ternal Revenue Code, as amended.

Said corporation shall have the power
to guarantee, become surety upon or
endorse the obligations of any other cor
pora,‘ion, firm or individual as to any
matter irrespective of whether said cor
poration has a direct interest in the sub
ject matter of the contract or obliga
tion guaranteed; and to enter into part
nership or into any arrangement for
sharing of profits, union of interest, co
operation, joint venture, reciprocal con
cession or otherwise, with any other
corporation, firm or individual: and to
acquire, own and hold, stock in any
other corporation and enter into ar
rangements for purchase of any other
corporation as a subsidiary, and to con
summate any and all arrangements nec
essary thereto.

enumerated in Title 22 of the Georgia

tion <to include both the aggregate
amount of money and other property
received by the corporation as a con
tribution to capital and as paid in sur
plus) in consideration of the stock to
be offered and issued shall not exceed
$500,000; and the total of the aggregate I
amount of stock which may be offered
and issued plus the equity capital of
the corporation as defined in Section
1244 of the Internal Revenue Code of the
United States (as now written or as

date upon which this corporate charter
is granted, shall not exceed $1,000,000.
