TO THE SUPERIOR COURT OF CLAY-

The Petition of W. H. HUDDLESTON,
J. CARL HODGES, JR., and G. ROBERT
OLIVER hereinafter called Petitioners,
respectfully shows to this Court the fol
lowing: j
Petitioners desire for themselves, their
associates and assigns to be incorporated
under the name of HUDDLESTON CON
CRETE COMPANY, for a period of
thirty-five <35) years with the privilege
of renewal.
2.
The object of said corporation is pe
cuniary gain.
3.
The general nature of the business or
businesses to be transacted is as follows:
The manufacture, buying, selling, and
dealing in concrete products and con
crete aggregates, building materials,
building supplies, and all other wares,
goods and merchandise of every kind,
character arid description; the buying,
selling, exchanging and leasing and sub
dividing and approving of real estate;
to purchase, borrow, lease as lessor or
lessee, mortgage, rent, lend, exchange,
transfer and sell and otherwise oeal in
real, personal and intangible property of
all kinds and character in entire business
entities; to borrow and lend money and,
as an accommodation or otherwise, to
guarantee or become surety on any obli
gation; with all the usual and neces
sary services for itself and others in
the aforesaid business and all other busi
nesses related thereto.

Petitioners further desire that said
corporation be vested with all the rights
and powers now or hereafter given to do
any and all things which may be reason
able and proper in the operation of the
above-described business or businesses,
and that the said corporation have all
the powers enumerated in Sections
22-1827 and 22-1828, Georgia Code An
notated, as amended, and such powers
as may hereafter be given by law.

The maximum number of shares of
stock will be 2,500, all of which shall
be common stock and all of which shall
have a par value of SIOO.OO per share.
The amount of capital with which the
corporation shall begin business shall not
be less than ONE HUNDRED THOU
SAND DOLLARS ($100,000.00). The cor
poration shall be authorized to issue
additional shares up to the maximum
sum above stated, and thereafter, from
time to time, to reduce the amount of
capital outstanding, and all of this, upon
a majority vote of the Board of Direc
tors approved by a two-thirds majority
vote of the stockholders.

The post office addresses of the Peti
tioners are: W. H. HUDDLESTON,
Fayetteville, Georgia; J. CARL HODGES.
JR.. Jonesboro. Georgia; G. ROBERT
OLIVER, Jonesboro, Georgia.
7.
The principal office of the corporation
will be located in Clayton County, Geor
gia. but the privilege is desired of estab
lishing branch offices and places of busi
ness both within and without the State
of Georgia.
8.
Your Petitioners herewith exhibit a
certificate of the Secretary of the State
of Georgia provided by Section 22-1803,
Georgia Code Annotated, as amended.
WHEREFORE, your Petitioners pray
to be incorporated under the name and
style aforesaid with all the rights, powers,
privileges and immunities herein set
forth, and such additional rights, powers
and privileges as may be necessary,
proper or incident to the conduct of the
business or businesses aforesaid and as
may be inherent in, or allowed to, a
like corporation under the laws of the
State of Georgia as they may exist or
may hereafter exist.
