CLAYTON COUNTY. GEORGIA
YOU ARE HEREBY NOTIFIED tha
on the 17th day of September, 1963, ar
election will be held in said County, al
which election there will be submitted
to the qualified voters thereof for then
determination the question of whethri
or not bonds in the aggregate principal
amount of $1,200,000 shall be issued Ln
Claxton County School District for the
purpose of providing funds to acquire,
construct and equip school buildings and
other buildings and facilities useful in
connection therewith, to add to, im
prove. renovate, repair and equip exist
ing educational facilities of the Clayton
County School System, to acquire the
necessary property therefor, both real
and personal, and to pay expenses inci
dent to accomplishing the foregoing;
said bonds, if so authorized, are to be
dated October 1. 1963. to be in the de
nomination of SI,OOO each, numbered
consecutively from 1 upward to 1,200,
inclusive, in order of maturity, to bear
interest from date at such rate or rates
not exceeding four and one-half per
centum <4 b 2 r 7) jer annum in any year,
all interest payable December 1. 1964
and semi-annually thereafter on the Ist
days of .Tune and December in each year
and the principal to mature on the Ist
day of December, lowest numbers first,
in the vears and amounts, as follows:
$20,000 in each of the years 1964 to
1968. inclusive.
$30,000 in each of the years 1369 to
1974, inclusive,
$40,000 in each of the years 1975 to
1979. inclusive,
$50,000 in each of the years 1980 to
1985. inclusive.
$60,000 in each of the years 1986 to
1992, inclusive.
The principal of and interest on said
bonds shall be payable in lawful money
ol the United States of America at a
bank or hanks to be designated later.
Those desiring to vote for the issuance
of said School Bonds for the above
stati'd purpose shall do so by casting
their ballots having written or printed
thereon the words: “FOR $1,206,000
(LAYTON COUNTY SCHOOL DIS
TRICT BONDS", and those desiring to
vote against the issuance of said School
Bonds for the above stated purpose shall
do so by casting their ballots having
written or printed thereon the words:

The several places for holding said
election shall be at the regular and
established voting precincts of Clayton
County. Georgia, and the polls will be
opened at 7:00 o’clock A.M and closed
at 7:00 o’clock P.M., Eastern Standard
Time, on the day fixed for the election.
All persons qualified to vote' in general
elections and onix those registered and
qualified to vote in general elections,
will be allowed to vote in thi^ election.

To the Superior Court of said County:
The petition of Walter B. Spivey,
Emilie P. Spivey and Walter B. Spivey,
Jr. respectfully shows:
FIRST
That Petitioners desire that a charter
be granted them under the name and
style
LAKE SPIVEY BEACH AND
COUNTRY CLUB
(Incorporated I
for a period of Thirty-Five (35) years,
with rights of renewal thereafter from
time to time: and with all rights, powers
and privileges as are now or max here
after be granted to corporations of sim
ilar character, and with the powers,
privileges, limitations, immunities, and
characteristics as hereinafter set forth.
SECOND
That the object of said corporation
is pecuniary gain and profit, and the
general nature of the undertaking to be
engaged in by it will be to contact citi
zens of good moral character, and permit
those contacted who desire and are
approved by the Board of Directors of
the corporation to become members of
a group herein referred to as "regular
members", and to permit those con
tacted who desire and are approved by
an officer and director of the corpora
lion to become a member of a group
herein referred to as “associate mem
ber.'-". entitled to use during the con
tinuance of their membership, recrea
tion and other facilities provided by the
corporation for swimming, fishing, sun
bathing on the beach, picnicing, and
the like, upon and under such terms and
conditions and subject to such rules,
regulations and restrictions as the Board
of Directors may from time to time
determine, and charge each member and
associate member a foe or dues for the
privilege of so using such facilities; and
ihe corporation desires the right and
power to contract with third parties to
make such facilities available to such
members and associate members, for
their use exclusively or in common with
others; and to purchase, lease, hold, sell,
develop, mortgage, encumber, convey or
otherwise dispose of, real estate and’per
sonal property necessary or proper for
carrying out the purposes of this corpo
ration.
THIRD
That the powers of the corporation,
its officers and directors are limited
under this charter to the extent that no
person may become a regular member
unless first approved by a unanimous
vote of the entire Board of Directors
with all members of the Board being
present and voting at a special meeting
duly called for the purpose of consider
ing the specific application of the person
or persons seeking to become a regular
member; and if any person be so ap
proved that he or she must become a
stockholder in the corporation as a pre
requistie to becoming a regular mem
ber; and
That no person may become an asso
ciate member unless approved by a per
son who is an officer and director; and
That no associate member can be sold
or granted any interest or stock in the
corporation, or have any voice or vote
in the affairs of the corporation or in
electing directors or officers of the cor
poration; all to the end that the sole
right which can be granted an asso
ciate member by the officers and direc
tors of the corporation will be the right
to use the recreation and other facilities
provided by the corporation, upon and
under such terms and conditions, and
subject to such rules, regulations and
restrictions as the Board of Directors of
the corporation may from time to time
determine.
FOURTH
The authorized capital stock of the
corporation shall consist of Fifty Thou
sand (50,000) shares of common stock
having a par value of One Dollar ($l.OOl
per share; and the amount of capital
stock with which the corporation max
commence business shall be Three Hun
dred Dollars ($300.00), represented bv
Three Hundred (300) shares of said
stock; but the amount of stock may be
increased or decreased, at any time, and
from time to time; to an amount not to
exceed Fifty Thousand Dollars ($50.-
000.00), nor less than Three Hundred
Dollars ($300.00), by issuance, purchase
or retirement of common stock when
approved by the vote of the holders of
two-thirds of the capital stuck of tin
corporation entitled to vote thereon,
provided, that in no event shall there
ever be less than Three Hundred (300»
shares of the common stock issued and
outstanding; and provided further, that
the stock max be issued for any con
sideration, whether money, property, or
services, which is at least equivalent to
the full par value of the stock to be
issued, in the judgment of a majority of
the directors of the corporation.

Ms follows:
1.
Amend Section 7 of said charter by
striking Section 7 in its entirety and
substituting in lieu thereof a new Sec- ,
tion 7 to read as follows: (
The board of directors of the corpora
tion shall consist of the pastor and five
members of the board of trustees. The
length of the pastors term of office shall
be the will of the majority of the mem
bers of the church. The term of office
of directors or trustees shall be twelve
months and elected as provided by the
constitution and by-laws of said church
and corporation. Upon the death or
resignation of a member of the Board,
the trustees shall call a special meeting
lor the election of his successor. A ma
jority vote of the members of the Board
shall be necessary for the election of
his successor. Should a member of the
Board of Trustees become disable or for
■my reason cease to function and the
same continue for a period exceeding six
6) months, then the remaining members
■>f the Board of Trustees shall have the
noxver to declare the office vacant and
call an election to elect a successor trus
tee in the manner provided above.
Section 9 to be amended by adding
a section to be known as 9A and to
read as follows:
At such time as The Victory Baptist
Church, Inc . ceases to operate as a
church or religious organization, then
at that time all assets of said church or
corporation shall revert to The World

The governing body of the corpora
tion shall consist of a Board of Direc
tors. Several of the Incorporators herein
shall be among the first members ol the
Board of Directors. Said Board shall
consist of a number of persons to be
fixed by the Board of Directors in the
adoption of By-Laws, who shall proviae
for the filling of vacancies on the board,
the terms oi office of the board members
and the manner of selection thereof.

The Board of Di lectors shall have to
power to adopt all rules, by-laws and
regulations for the government of the
corporation consistent with its charter
and applicable laws of the state.

and pledge the revenues received by it

Directors in their Discretion see fit to
do. and to perform any other act or
